Will it create momentum for change?” Modern Healthcare; and, “Why Health-Care Workers are Quitting in Droves”, The Atlantic. Merkley commented both articles relate to challenges facing the health care industry as a whole including rural hospitals. The strain of staffing shortages and long standing effects of the COVID-19 pandemic have greatly impacted the mental health and well-being of many medical professionals including our own here in Brookings. Executive Reports CEO Report Merkley noted despite the challenging year, Brookings Health was recognized, for the 5th consecutive year, with the National Organization of State Offices of Rural Health (NOSORH) Performance Leadership Award in the quality outcomes category. The award reflects performance among all rural hospitals in the nation. Additionally, Brookings Health System Foundation had good participation in the SD Day of Giving with over $12,000 in donations. These funds will support mental health and wellbeing resources for our local health care workers. We are thankful for the community’s generosity. CFO Report Wagner commented on the business office claim processing conversion to a new platform (Quadax) went live early November. The new software works directly with our EMR and will improve claim submission and reimbursement accuracy and efficiency. Provider Relief Fund (PRF) Phase 4 and American Rescue Plan funds were received in November. Funds received were based on Medicare and Medicaid claims data. Merkley added, unfortunately, Brookings Health is excluded from some funding opportunities from the State of South Dakota due to being a city owned, municipal hospital. The Innovation Grant proposed by the Noem Administration to help improve quality of life for person’s living in South Dakota nursing homes isn’t a grant Brookings Health can even apply for due to its municipal status. Merkley has been in contact with the State Secretary of Health and others to discuss the lack of fairness on this situation and asked for reconsideration but without much success. CNO Report Hillestad noted the Emergency Department has been very busy administering monoclonal antibody infusion treatments to ill patients with COVID-19. In November alone, 68 treatments were given and a total of 246 treatments since the approval of this therapy in March 2021. If given at the right time after testing positive for COVID, this therapy has been effective at keeping ill patients from being admitted to the hospital. The treatments are time intensive at 3 to 4 hours per infusion so staff are hopeful the FDA will approve Pfizer’s oral antiviral treatment. Board Committee Reports Administrative Committee Committee member Englund provided a report; the Administrative Committee met on December 7, 2021. Topics of discussion included Workforce/Market Adjustments, Medical Marijuana, SDSU/BEDC/Vision Brookings Funding, COVID/Vaccinations, 2022 Committee Assignments, 2022 Officer Elections, AHA Rural Health Care Leadership Conference, Board/CEO Evaluations and CEO Compensation. 5 Finance Committee Committee member Anderson provided a report; the Finance Committee met on December 9, 2021. The committee reviewed and approved the payables, financials and adjustments for October. Members also reviewed the proposed 2022 Operational Budget. Wagner provided a review of the highlights and assumptions of both the 2022 Legacy and Enterprise Operating budgets. Operating margins are budgeted at 2.39% for Enterprise and 4.97% for Legacy. A motion was brought forward from the Finance Committee recommending approval of the FY22 Operational Budget as presented. The motion was seconded by Meyer. Action: All present voted yes; motion carried. Quality Committee Quality Committee Chair Ellsworth provided a report; the Quality Committee met on December 7, 2021. Topics of discussion included 2021 Performance Improvement Projects, SD Department of Health Vaccine Provider Site Visit, Performance Leadership Award and the COVID Vaccination Policy. Old Business COVID/Vaccinations Merkley stated there have been significant changes since the board last met. The vaccine mandate from the Biden Administration and CMS required Brookings Health to create a policy which has been in place for about a month and will remain in place despite the temporary hold in the court system. The policy provides for exemptions based on recognized medical conditions or sincerely held religious beliefs with an appropriately completed exemption form. There are quite a few employees not in compliance at this time and suspensions/terminations are likely to take place. In addition, our Influenza Vaccination Policy remains as a condition of employment as it has for the previous eight (8) or so years and only allows for medical exemptions. New Business Medical Staff Credentialing A motion was made by Darnall, seconded by Sell to approve the re-credentialing as recommended by the Medical Executive Committee. Action: All present voted yes; motion carried. Ellsworth abstained. AHA Rural Health Care Leadership Conference Merkley shared the AHA Rural Health Care Leadership Conference will be held February 6 – 9, 2022. Attendance is available to any board member who would like to participate. It’s a good conference with key rural health topics from a board perspective. Members were asked to reach out to Wiig if interested in attending. 2022 Board Officer Elections Discussion took place regarding Board Officer Positions/Elections. Based on the discussion and proposed slate of officers, members were in agreement to elect Dick Peterson as President, Sheila Anderson as Vice President and Lynn Darnall as Secretary. A motion was made by Ellsworth, seconded by Meyer to approve the 2022 nomination of Board Officers as proposed. Action: All present voted yes; motion carried. 6 2022 Board Committee Assignments Incoming president Peterson will be reaching out to members based on the proposed committee assignments for 2022:  Administrative Committee - Dick Peterson, Sheila Anderson, Lynn Darnall, Daryl Englund  Finance Committee - Sheila Anderson, Chair; Jim Morgan, Tracy Greene  Quality Committee – Mary Anne Krogh, Chair; Andrew Ellsworth, David Meyer Annual Board Self Evaluation The Administrative Committee reviewed all responses from Board members and compiled results from evaluation forms. The evaluation questions are laid out according to the Board bylaws and core values. Self- development and strategic planning for the future are areas to focus on going forward. Anderson thanked members for participating and stated, overall, responses were very positive and the comments provided good feedback. Members thanked Anderson her management of the evaluation process. Farewell and Thank You to Justin Sell President Englund thanked Sell for his expertise and leadership and expressed sincere appreciation for his time serving on the board. Merkley provided a review of Sells history on the board and thanked him for ten (10) years of service, leadership and dedication to Brookings Health System. Sell played a significant role on the board leadership team including the major hospital expansion and renovation. Sell commented being a member of the Board of Trustees has been very meaningful and being a part of all the important changes for our community was very rewarding. Sell also thanked Merkley for his leadership and the many accomplishments since his arrival. Executive Session A motion was made by Anderson, second by Darnall to enter into Executive Session at 6:11 p.m. pursuant to SDCL 1-25-2.(1), discussing a personnel matter. Members present: Anderson, Darnall, Ellsworth, Englund, Sell and Meyer. Motion carried. While in executive session, the Board discussed the CEO compensation program background and components. The Board reviewed the CEO’s performance, considering the Board members’ responses to the CEO evaluation questionnaire, the doctors’ responses to the CEO evaluation survey, and BHS historical financial and quality metrics. Also reviewed were regional hospital and Gallagher CEO Compensation comparables and expectations for other BHS staff increases. Upon motion by Meyer, second by Darnall, the executive session concluded at 6:33 p.m. and continued in regular session. A motion was made by Sell, second by Darnall that the 2022 base pay for Merkley be increased by 3% and set at $189.42 per hour and the incentive program remains in place with the same metrics. Motion carried. Upon motion by Anderson, second by Meyer the meeting adjourned at 6:40 p.m. Motion carried by unanimous vote.
