Merkley commented on the article from SDSU’s College Nursing regarding the newly established
West River Health Sciences Center in Rapid City for individuals interested in pursuing a health care
career in the Black Hills region and western South Dakota. Congratulations was extended to Krogh,
Dean of the College of Nursing, on the recent announcement by the state Board of Regents
regarding Senate Bill 55. SDSU will take over all nursing education for western South Dakota
beginning in January 2022 under an expansion/consolidation plan. USD will phase out their west
river nursing program in 2023.
Executive Reports
CEO Report
Merkley noted Brookings High School graduate, Taylor Bortnem, is this year’s recipient of the
Brookings Health System Educational Scholarship. Bortnem will attend SDSU to pursue a career in
nursing while also working at Brookings Health System as a Certified Nursing Assistant and/or
Patient Care Technician. Merkley also stated the Aiming to Inspire Health Sporting Clay
Tournament will take place as planned and will be held on Thursday, August 12th.
CFO Report
Wagner commented on the status of COVID-19 Relief Funds reporting and was pleased to share
notice was received last week that the Paycheck Protection Program (PPP) funding received from
the Small Business Administration (SBA) has been forgiven. Reporting is still in process for
Provider Relief Funds (PRF), SD CARES Funds and Medicare Advanced Payments.
CNO Report
Hillestad commented on three departments that are experiencing positive trends; Emergency
Department visits have increased over the past four months to nearly pre-Covid state; Wound
Care/HBO patient visits have exceeded what was initially expected; and, Community Education

classes held at the Ambulance Education & Training Center have restarted and are being held in
person i.e. Safe Sitter, Safe at Home and CPR.
Board Committee Reports
Administrative Committee
Committee member Morgan provided a report; the Administrative Committee met on June 22,
2021. Topics of discussion included the Brookings Health System Strategic Plan, da Vinci Robot Xi,
Workforce Strategy/Salary & Wage Survey, Marijuana Taskforce, Vaccination Update, Inpatient
Coverage\Hospitalist and Supplemental Executive Retirement Plan (SERP).
Building Committee
Committee Chair Morgan provided a report; the Building Committee met on June 22, 2021. A
presentation was made by Kraus-Anderson Construction representatives regarding Brookings
Health System’s campus wide Facility Condition Assessment.
Finance Committee
Committee Chair Peterson provided a report; the Finance Committee met on June 24, 2021. The
committee reviewed and approved the payables, adjustments and financials for April and May. The
Committee also discussed and recommended Board approval of the Excess Operating Cash policy
which allows the CFO/CEO to invest excess cash or reduce debt within specific guidelines.
A motion was made by Peterson to approve the Excess Operating Cash policy as recommended and
carried forward from the Finance Committee. The motion was seconded by Meyer.
Action: all present voted yes; motion carried.
Quality Committee
Quality Committee Chair Ellsworth provided a report; the Quality Committee met on June 22, 2021.
Topics of discussion included the 2021 Contract Services report, Influenza Vaccination Summary
and the Performance Improvement Project on EMS Chute Times. A report was also given on the
COVID-19 vaccination rate amongst Brookings Health System staff.
Old Business
COVID-19/Vaccination
Merkley provided an update on COVID-19 vaccination efforts. At this point in time, individuals
seeking the vaccine can contact local clinics and pharmacies. Merkley continues to be optimistic
that expenses will be reimbursed by the State for vaccination efforts put forth by Brookings Health
System. As fall approaches, Brookings Health will be proactive in rolling out vaccine information to
SDSU students as they move into the area. It continues to be very important for those age 29 and
under to get vaccinated. Currently 73.5% of all Brookings Health staff are fully vaccinated, 41% in
Brookings County and 39% in the state.
Medical Marijuana Taskforce
Hillestad presented information on Initiated Measure 26 (IM-26) legalizing medical cannabis in
South Dakota effective July 1, 2021 and efforts taking place within Brookings Health System to
address the passage of the law. A clinical taskforce was formed internally to spearhead creation of
policies, procedures and compliance with the legalization of medical marijuana and as of now,
Brookings Health will not allow medical marijuana as a treatment which aligns with other hospitals
in the state.

This topic is very fluid and continues to change with new information being released almost daily.
The State Department of Health must enact final administrative rules by October 29, 2021 and rules
for the issuance of registry identification cards no later than November 18, 2021. In order to qualify
to possess and purchase cannabis, individuals must apply for a registry card, have a written
certification (not a prescription) from a physician and diagnosis of a debilitating condition.
A taskforce has also been formed to address this matter from a human resources/employee
perspective. Both the clinical and HR taskforce is equally important and challenging in a healthcare
environment. Research and education will be ongoing within our facility as more information
becomes available.
New Business
Medical Staff Credentialing
A motion was made by Ellsworth, seconded by Peterson to approve the credentialing and re-
credentialing as recommended by the Medical Executive Committee.
Action: All present voted yes; motion carried.
Executive Session
A motion was made by Anderson, seconded by Peterson to enter into executive session at 6:40 p.m.
pursuant to SDCL 1-25-2. (1), discussing personnel. Members present were Anderson, Darnall,
Ellsworth, Englund, Krogh, Meyer, Morgan, Peterson and Sell; motion carried.
While in executive session, the Administrative Committee, led by Englund, reviewed the proposal
for the Supplemental Executive Retirement Plan (SERP) which included justification for the offer,
affordability, the plan type which aligns with IRS regulations, impact on the balance sheet and
interest rate, and the due diligence performed. The Modern Capital Executive Benefit Plan details
were also reviewed. Morgan also discussed board recruitment activities.
Upon motion by Sell and second by Darnall the executive session concluded at 7:45 p.m. and
continued in regular session; motion carried.
A motion was made by Peterson and seconded by Darnall to approve the proposed Supplemental
Executive Retirement Plan (SERP) for Jason Merkley.
Action: Motion approved unanimously.
Upon motion by Peterson second by Anderson, the meeting adjourned at 7:50 p.m.
