At 5:00 p.m., members toured the new Wound Center and Hyperbaric Oxygen (HBO) treatment
room.
President Englund called the meeting to order at 5:35 p.m.
Telehealth Services Presentation
Merkley welcomed and introduced Lynne Thompson, Case Management Director at Brookings
Health System. Thompson has been with Brookings Health for many years and in addition to being
Case Management Director, she assumed the role to oversee Respiratory Therapy and Telehealth
services.
Thompson presented information on eConsult services provided by Brookings Health System.
eConsults began about 10 years and have improved greatly over the years with technology. A
telehealth visit at BHS is conducted through Avera eCare equipment and includes a clinical health
person with the patient to assist and work with the provider on the other end of the virtual visit. At
least 80% of eConsults are for patients with infectious disease. Other consult services have taken
place with inpatients, outpatients, maternal fetal medicine, neurology, pulmonology and
nephrology. An advantage to eConsults is patients do not need to drive to Sioux Falls and patients
needing infectious disease treatment can be hospitalized at Brookings Health. Virtual visits are a
great convenience, however, they do not provide the benefits of a face to face doctor visit. In 2019,
278 eConsults were conducted at Brookings Health.
Thompson was thanked for her presentation and exited the meeting at 6pm.
Dr. Andrew Ellsworth provided a demonstration of Avera’s AveraNow provider virtual visit which
is very similar to a video chat that can be utilized for treatment of common illnesses. AveraNow is
accessible through a free app that can be downloaded on a computer, tablet or smartphone and is
private and secure. Huge growth was seen in 2020 due to the pandemic with 11,000 virtual visits
being conducted through AveraNow. At times, managing schedules, time commitments and
reimbursement can be challenging. There is no substitute for an in person face to face visit, but a
virtual visit is better than no visit at all and proved to be very helpful during the pandemic.

Merkley commented on the article regarding long-term care models. The industry as a whole is
being challenged and has been seriously impacted by the pandemic. Nursing home occupancy is at
an all-time low and 143 facilities closed or merged across the country. We have been fortunate
enough to keep COVID out of our long-term care facility, but concerns are still present when it
comes to workforce, referrals and reimbursement.

Executive Reports
CEO Report
Merkley noted today is the last day of the Flower Fundraiser to support Brookings Health System
Foundation. Approximately 300 items have been ordered so far. Darnall, owner of Medary Acres,
was thanked for teaming up with the Foundation for this first time fundraiser. Leadership training
is underway for our leaders and supervisors; BHS partnered with SDAHO in an online package with
a variety of course topics designed to develop skills and further education.
CFO Report
Wagner commented, unfortunately, an agreement was not reached with Wellmark regarding their
Wellmark Medicare Advantage plan (a plan that provides Medicare benefits through a private-
sector). Wellmark was not able to increase reimbursement to account for the RCHD Medicare
payment BHS receives. We will be reviewing all other Medicare Advantage plans to evaluate
continued participation. Tax season wrapped up this week with all 990’s being filed.

CNO Report
Hillestad stated that today we had our first hyperbaric oxygen (HBO) therapy patient and
everything went well. Hillestad also noted Brookings Health was recently contacted by an
individual that works for Quick Care clinics, currently located in Watertown and Huron. Quick Care
will soon be opening a clinic in our community and we will plan to support them with our radiology
and lab services. Quick Care or urgent care clinics are ramping up quickly all over the country, not
just in South Dakota.

Administrative Committee:
Committee member Morgan provided a report; the Administrative Committee met on April 20,
2021. Topics of discussion included HBO/Telehealth, Medicare Advantage – Wellmark & Others,
Facility Condition Assessment – Kraus Anderson, Non-Compete Language/Marijuana House Bills
and COVID-19 Vaccination Update.
Finance Committee:
Committee Chair Peterson provided a report; the Finance Committee met on April 22, 2021. The
committee reviewed and approved the payables, adjustments and financials for March. Other topics
of discussion included Adjustment Analysis and Cash Flow History.
Quality Committee:
Quality Committee Chair Ellsworth provided a report; the Quality Committee met on April 20, 2021.
Topics of discussion included Final 2020 TeamShare Results, Organ/Tissue & Eye Donation
Procurement Program, PEPPER Report, National Rural Health Association Top 20 Report, and
COVID-19 Vaccination Update.
OLD BUSINESS
COVID-19/Vaccination Process
Merkley stated vaccine demand has fallen off very quickly; there were only about 300 doses given,
including walk-ins, at the last vaccination POD event on April 22nd at the Swiftel Center. Brookings
Health will continue to assist with scheduled second dose POD events. Information was issued
today that South Dakota will resume use of the Johnson & Johnson vaccine noting the benefits of the
vaccine outweigh the risks. In an effort to help SDSU students get vaccinated, the J&J vaccine will be
offered at this week’s POD event. Discussions will take place soon on transitioning back to holding
vaccine opportunities at the local clinics. Internally, Brookings Health holds a monthly vaccine clinic
for new employees, residents and those that may be on the fence whether or not to get the vaccine.
Communication and campaign efforts continue to address vaccine hesitancy.
City Ex Officio, Patty Bacon, took a moment to express her appreciation for Brookings Health’s
participation with the City and others in all the efforts to keep our community safe throughout the
pandemic.
NEW BUSINESS
Medical Staff Credentialing
A motion was made by Ellsworth, seconded by Peterson to approve the credentialing and re-
credentialing as recommended by the Medical Executive Committee.
Action: All present voted yes; motion carried.
EXECUTIVE SESSION
A motion was made by Morgan, seconded by Darnall to enter into Executive Session at 6:55 p.m.
pursuant to SDCL 1-25-2. (1), discussing personnel. Members present were Merkley, Anderson,
Darnall, Ellsworth Englund, Krogh, Meyer, Morgan, and Peterson; motion carried.
While in executive session, Anderson reviewed the CEO Incentive program structure previously
approved by the Board. Anderson reviewed the 2020 incentive results based on audited figures

and noted the GASB adjustments are not in the EBIDA formula and should not be included in future
years. Merkley excused himself.
Additional discussion was held surrounding TeamShare results for finance and quality, the many
hospital awards earned during the pandemic year, and the additional efforts made by all employees
to provide quality service and support the community during the past difficult pandemic year.
Merkley rejoined the meeting to discuss an additional bonus for staff based on these efforts.
Upon motion by Darnall and second by Krogh the Executive Session concluded at 7:40 p.m. and
continued in regular session; motion carried.
A motion was made by Ellsworth and seconded by Peterson to approve a one-time special bonus to
employees based on a staggered formula to be determined by Merkley, not to exceed $400,000 in
total.
Action: Motion approved unanimously.
A motion was made by Anderson and seconded by Morgan to approve Merkley’s 2020 bonus
calculation with GASB adjustments removed.
Action: Motion approved unanimously.
Upon motion by Krogh second by Anderson, the meeting adjourned at 7:44 p.m.
