President Englund called the meeting to order at 5:15 p.m.
INVITED GUEST
Via WebEx, Geoff Knobloch, CPA/Partner with Eide Bailly was introduced and welcomed. Knobloch
presented an overview of the FY20 audit results. The audit is pending final approval from the State
Department of Legislative Audit, however, Eide Bailly is prepared to issue a clean, unmodified audit
opinion.
Overall, Brookings Health System did well despite the world wide coronavirus pandemic. 2020’s
year-end net position was $83.7 million compared to $74.5 million in 2019. Total revenue was
$70.8 million with operating expenses totaling $72.4 million. Ratio and benchmark comparisons
were favorable in relation to other South Dakota hospitals, Moody’s and the Optum database data.
Knobloch also provided further explanation on the pension expense and financial impact due to
Governmental Accounting Standards Board (GASB). Knobloch indicated the audit went very well
and financial statements are in good order.
Knobloch was thanked for his presentation and exited the WebEx at 5:50 p.m.

Merkley commented on the article regarding Long-Term Care, stating there is a concerning
downward trend for the long term care industry and it will take some time to recover from the
nationwide scrutiny and numerous COVID-19 impacts to operations. The Neighborhoods at
Brookview has been fortunate in this aspect.
REPORTS
Executive Reports
CEO Report
Merkley commented on the two (2) recent unsolicited awards Brookings Health has been
recognized for; Brookings Health named one of Newsweek’s World’s Best Hospitals and named one
of the National Rural Health Association top 20 rural and community hospitals in the country.
Brookings Health is the only facility in South Dakota to achieve the top 20 award this year. Merkley
also noted March 30th is National Doctor’s Day, an annual observance aimed at appreciating the
contribution of physicians who serve our community and surrounding area. To thank them for their
service, each physician will receive a token of appreciation from Brookings Health System.
CFO Report
Wagner noted significant improvements have been made to reduce the number of Days not Final
Billed (DNFB) in order to submit payer claims much quicker after a visit or inpatient discharge. The
one (1) month average is now down to 7.6 days which aligns more closely with industry standards.
Wagner also commented a new Medicare Advantage plan with Wellmark is being evaluated and
considered for the 2022 Medicare open enrollment period.

CNO Report
Hillestad noted that requirements have not yet been met for the medical gas certification.
Additional regulators and a pressure switch alarm are required to be installed to serve the
Hyperbaric Room. Once Medical Gas Certification is received, the installation of the HBO chambers
can begin. Everything should be in line for HBO therapy to begin late April.
Board Committee Reports
Administrative Committee:
Committee member Morgan provided a report; the Administrative Committee met on March 23,
2021. An announcement was made regarding Brookings Health System being chosen for the fourth
time as one of the highest ranked rural/community hospitals in the country. Other topics of
discussion included Legislative Update and Medicaid Expansion, FY20 Audit, Physician Recruitment
and COVID-19 Vaccination Update.
Finance Committee:
Committee Chair Peterson provided a report; the Finance Committee met prior to the Board
meeting today, March 29th. The committee reviewed and approved the payables, adjustments, and
financials for February. Geoff Knobloch, CPA/Partner with Eide Bailly provided a detailed review of
the FY20 audit report. February’s Finance Committee Meeting minutes will be included with the
consent agenda in next month’s board packet for approval.

Quality Committee:
Quality Committee Chair Ellsworth provided a report; the Quality Committee met on March 23,
2021. The NRHA top 20 rural and community hospital award was noted. Topics of discussion
included Cardiac Rehab Performance Improvement Project, Q4 2020 Patient and Resident Safety,
Q4 2020 Patient Experience and COVID-19 Vaccination Update.
OLD BUSINESS
COVID-19/Vaccination Process
Merkley stated South Dakota continues to do well on vaccination efforts. Brookings Health will
continue to assist with Point of Dispensing (POD) events being scheduled. The next POD is planned
for Thursday, April 1 at the Swiftel Center to deploy 1,500 Moderna vaccine doses mainly for SDSU
faculty and staff and some for Phase 1E individuals which includes fire service personnel and other
critical infrastructure workers. The next first dose POD is planned for April 15th for Phase 1E. POD
events are also being planned in between for individuals to receive their second dose. Sanford and
Avera continue to provide vaccinations to their patients with doses being allocated from the supply
Brookings Health receives from the State and all local pharmacies are offering vaccine opportunities
through the Federal Pharmacy Program.
NEW BUSINESS
Medical Staff Credentialing
A motion was made by Ellsworth, seconded by Peterson to approve the credentialing and re-
credentialing as recommended by the Medical Executive Committee.
Action: All present voted aye; motion carried.
EXECUTIVE SESSION
A motion was made by Darnall, seconded by Morgan to enter into Executive Session at 6:46 p.m.
pursuant to SDCL 1-25-2. (1), (4), discussing personnel and contract negotiations. Members present
were Anderson, Darnall, Ellsworth Englund, Krogh, Meyer, Morgan, Peterson and Sell; motion
carried.
While in Executive Session, the Board discussed the Administrative Committee study and review of
Supplemental Executive Retirement Plans (“SERP”). The Board also discussed 2020 performance
results and a process to finalize the 2020 bonus for Merkley.
A motion was made by Anderson, seconded by Englund to exit Executive Session at 7:37 p.m.;
motion carried.
Upon motion by Morgan, second by Darnall the meeting adjourned at 7:36 p.m.
