HomeMy WebLinkAboutBHSMinutes_2022_08_291 Brookings Health System Board of Trustees Minutes of Meeting August 29, 2022 Members Present: Dick Peterson, Sheila Anderson, Lynn Darnall, Daryl Englund, Tracy Greene, Mary Ann Krogh, David Meyer, Jim Morgan; ex-officio: Joey Collins & Ryan Krogman Absent: Andrew Ellsworth Management Present: Jason Merkley, CEO; Tammy Hillestad, CNO; Melissa Wagner, CFO and Sheri Wiig, recorder President Peterson called the meeting to order at 5:15 p.m. INVITED GUEST – Avera Health IT Cybersecurity ITC Director, Mike Von Bergen, and Information Security Officer, Jim Hanson at Avera Health were welcomed and introduced. Von Bergen and Hanson presented important information and statistics regarding today’s cybersecurity challenges and threats. Avera sees cybersecurity as a critical issue, especially with health information and protected confidential information, so hardly a day goes by when health care is not being targeted by people trying to gain access to our information system. Statistically, ransomware attacks occur every 14 seconds and every 39 seconds a new cybersecurity attack occurs on the internet. Cyberattacks against large corporations are up 91% due to phishing emails. Phishing emails are still the most prevalent method for intruding malware to enter the system and have increased 600% nationally. To prevent and manage loss, Avera Health has many defenses in place and participates in third party cyber events, incident response table-top exercises and annual Mandiant Purple Team Exercises. Extended multi-factor authentication, firewall upgrades and ongoing employee education are also critical in data loss and prevention. Von Bergen and Hanson were thanked for their presentation and exited the meeting at 5:40 p.m. Recently appointed City Ex-officio, Joey Collins, was welcomed to the Board. Merkley commented on the “Seizing the Conversation” article. It is nice to see Brookings Health receiving national attention by the American Hospital Association for Brookings Health System’s Foundation “Home is Where the Heart Is” program. The program recognized employees who worked 100 hours or more per pay period during the height of the pandemic. REPORTS Executive Reports CEO Report Merkley noted Christine (Christy) Virchow, RN, was recently promoted to Nursing Director at The Neighborhoods at Brookview and is orientating to her new role. Virchow has 14 years of long-term care nursing experience. Safety of our staff at Brookings Health is of utmost importance for leadership and recommendations for improvements by BHS’s Safety Committee have been initiated and are to be implemented over the remainder of this year to help keep staff safe. CFO Report Wagner reported on the recent increase in Net Days in AR which is partially due to staff turnover and partially a payer issue. The payer matter is being closely monitored and will soon be corrected as the payer remit process improves and/or BHS receives interim payments. In addition, the finance team is beginning to work on the 2021 Federal Single Audit with the City for federal funds received in 2021 by both entities. CNO Report Hillestad commented, the SD Department of Health recently visited the White Medical Clinic for their annual review which resulted in one (1) minor deficiency. In addition, the Huron Consulting Group was onsite at the hospital to conduct an assessment related to improving the patient experience. Many positive findings were shared as well as recommendations. Board Committee Reports Administrative Committee Committee member Englund provided a report; the Administrative Committee met on August 23, 2022. Topics of discussion included space planning for the Yorkshire Medical Building, Board Member Appointee, Travelers Insurance/FEMA, SDAHO Salary Survey & Benefit Review, SDSU/BHS Partnership Proposal, Masking/COVID/Flu, BREATHE – SD Grant, Quality Assessment Performance Improvement Plan and Bylaws Annual Review, and Presentation on Cybersecurity. Finance Committee Committee Chair Anderson provided a report; the Finance Committee met on August 23, 2022. The committee reviewed and approved the payables, adjustments, and financials for June and July. A report on the Rural Community Hospital Demonstration Program Impact of rebasing in 2021 was also reviewed. 7 Quality Committee Committee Chair Krogh provided a report; the Quality Committee met on August 23, 2022. Director of Home Health and Hospice, Lynne Kaufmann, provided an overview of the recent Hospice survey conducted by the State Department of Health which resulted in no deficiencies. Other topics of discussion included Deficit Reduction Act/Hospital Acquired Conditions quality measure, Outpatient Surgery Measures Report, Influenza Vaccination Program and Masking Guidelines. OLD BUSINESS SDSU Proposal Further discussion took place regarding the SDSU partnership and investment request from the SDSU Foundation. The best opportunity for Brookings Health, from an exposure standpoint with students and the general public, is the naming opportunity associated with the First Bank & Trust Arena Ticket/box office. The pledge amount to SDSU Foundation would be paid over approximately seven (7) years. A motion was made by Englund, seconded by Meyer to approve the SDSU Partnership/Investment recommendation as presented. Action: All present voted in favor except for Krogh and Greene who abstained; motion carried. Inspiring Health Sponsorship Program To address our workforce shortage and future student recruitment, Brookings Health created and is implementing the Inspiring Health Sponsorship Program which provides financial resources to students who commit to a professional career at Brookings Health System. BHS will budget a total of $40,000/year for potential allocation of such dollars to students interested in joining the BHS Team. Students interested in this program may reside within any accredited health program in either a University or Technical school. The sponsorship is directly solicited to the student and does not involve any school related foundation investment. NEW BUSINESS Medical Staff Credentialing A motion was made by Morgan, seconded by Meyer to approve all credentialing as recommended by the Medical Executive Committee. Action: All present voted in favor; motion carried. Board Nominee According to the ordinance of Chapter 42-92, a formal letter recommending an appointee to replace Englund’s City seat on the board as well as recommended reappointments will be provided to Mayor Niemeyer. City Council will be voting on board appointments in October.
