HomeMy WebLinkAboutBHSMinutes_2004_12_21 BROOKINGS HOSPITAL AND BROOKVIEW MANOR BOARD OF TRUSTEES MEETING December 21, 2004 The regular meeting of the Board of Trustees of the Brookings Hospital and Brookview Manor was held at 7:00 p.m. December 21, 2004, in Hospital Conference Rooms A-B-C with the following members present: John Ramsay, Dianna Evers, Dave Kasperson, Michelle Robbins, Chuck Blazey, Roberta Olson, and President Jones. Ex-officio Tim Reed, Administrator Ron Waltz, CFO Kevin Coffey, Executive Secretary Pam Emmett, three representatives from East Central Multi-District, and one government student were also present. Absent members: Ardelle Roberts. The meeting was called to order at 7:00 p.m. by President Jones. Financial Report: CFO Coffey presented the Brookings Hospital, Brookview Manor, Home Health/Hospice Agency, and Brookhaven Estates financials for November 2004. Motion by Robbins, seconded by Olson to approve the financial report. All members present voted in favor of the motion. This included $927,874.17 in payroll and benefit expense for the month. East Central Multi-District: Staff of East Central Multi-District presented information on the health occupations and pro-med courses. They thanked the Board for its past support. VanLaecken, 8.42 16-Slice CT Scanner: Board members discussed the recommendation for authorization to bid for a new 16-slice CT scanner. Some members attended a demonstration of the equipment and were very impressed. After lengthy discussion a motion was made by Olson, seconded by Robbins to authorize the advertisement for bids for a new 16-slice CT scanner. All members present voted in favor of the motion. The low bidder will be asked to demonstrate their machine prior to purchase. Dexa-Scanner: It was noted that the physicians were in favor of the hospital purchasing a dexa- scanner. A dexa-scanner would do both hip and lumbar spine scans. After lengthy discussion a motion was made by Olson, seconded by Blazey to authorize the advertisement of bids for a dexa-scanner. All members present voted in favor of the motion. Committee Reports: Joint Conference (Medical Affairs), Strategic Planning, Finance/Personnel, and Executive Committee: None of the committees have met this month. Unfinished Business: Administrator Waltz brought the Board up-to-date on the following items: CEO search, WellAhead, critical access study, Board Bylaws, connection from Brookhaven Estates to BVM, E-ICU, Chief of Staff for 2005, and a community newsletter. Tim Reed explained how the city was investing our funds. Kevin Coffey has been in contact with the city finance officer; the hospital may take over some of the duties that their office is currently doing on our behalf. New Business: Election of officers was held. Motion by Evers, seconded by Kasperson to nominate Ardelle Roberts for president. All members present voted in favor of the motion. Motion by Evers, seconded by Wicks to nominate Michelle Robbins for vice-president. All members present voted in favor of the motion. Motion by Robbins, seconded by Wicks to nominate Dianna Evers as secretary. All members present voted in favor of the motion. It was noted that as the new president, Ardelle Roberts will need to make committee assignments for the coming year. Tim Reed explained the Regional Economic Development Model. He forwarded the city’s request of us for a $50,000 donation for each of the next five years. The same request is also being made of other area entities. We may be asked to recommend a member of our board to be a part of the Regional Economic Development Board. There was consensus that we needed more information prior to making any commitment, as this was the first presentation on this proposal. He stated a forthcoming commitment would be appreciated. Reading and Information: Board members received for reading and information: Minutes from Executive Committee and Quality Council meetings; Correspondence from Bert Neiber; and SDAHO Unified Voice Newsletter. Comments: Board members felt that our scholarship policy needs to be amended to expand the scope of employees that would be eligible. Administrator Waltz presented two quotes for professional liability insurance. After discussion, a motion by Wicks, seconded by Olson to change insurance companies for our liability and directors’ and officers’ coverage contingent on the fact that we are getting the same or better coverage. All members present voted in favor of the motion. The workmen’s comp policy will remain where it has been previously. The Board presented a plaque to Dave Kasperson for three years of dedicated service to our Board. There being no further business, there was a motion by Olson, seconded by Evers to adjourn at 9:50 p.m. All members present voted in favor of the motion.
