BROOKINGS HOSPITAL AND BROOKVIEW MANOR
BOARD OF TRUSTEES MEETING
December 2, 2004
The regular meeting of the Board of Trustees of the Brookings Hospital and
Brookview Manor was held at 7:00 p.m. on December 2, 2004, in Hospital
Conference Rooms A-B-C with the following members present: Michelle
Robbins, John Ramsay, Dianna Evers, Ardelle Roberts, Dave Kasperson, Chuck
Blazey, Roberta Olson, and President Jones. Ex-officio Tim Reed,
Administrator Ron Waltz, CFO Kevin Coffey, and Executive Secretary Pam
Emmett were also present. Absent members: Zeno Wicks.
The meeting was called to order at 7:00 p.m. by Vice-President Roberts.
President Rob Jones arrived and the Agenda was approved as presented.

Statistics: Administrator Waltz presented statistical graphs on outpatient
ancillary visits, BVM census, average daily census, acute
admissions/observation beds, OP/IP surgeries, home health visits, and
DRG’s with 10 or more cases. An overhead showing 44 levels of

charges at BVM was also shown.
Financial Report: CFO Coffey presented the Brookings Hospital, Brookview
Manor, and Home Health/Hospice Agency financials for October 2004.
Motion by Robbins, seconded by Olson to approve the financial report.
This included $ in payroll and benefit
expense for the month.

Committee Reports:
Joint Conference (Medical Affairs): Has not met.
Strategic Planning: The Strategic Planning Committee has not met but
will be meeting to discuss the change in our stationary. We are not
looking at changing the name of the hospital, just our stationary would
change to better reflect all of our services. Administrator Waltz stated
City Hall has given him the go ahead to change our stationary. He also
stated we are looking at an outside company to help with our
newsletter. We now have a quarterly newsletter inside the facility, but
would also like a newsletter that would go to the public.
Finance/Personnel: Roberts reported on the Finance Committee. It
was noted that a fixed MRI should be looked into further, and space for

this would be determined by the WellAHEAD study. Administrator
Waltz stated that Avera would like to partner with us on a fixed MRI
unit with us owning 51% and Avera owning 49%. Motion by Olson,
seconded by Blazey that the administrator continue to explore a fixed
MRI with Avera.
The Open House for Brookhaven Estates was discussed. The Board
wished to express their special thanks to Richard Shillander, Jan Clites,
Lyla Olauson, Joan Smedsrud, and Eddie Brockhoft for all the extra
time they have put into Brookhaven.
Executive Committee: The Executive Committee met to discuss the
hiring of a new CEO. It was noted that we could either hire and
outside firm, or have Administrator Waltz do the search for an
additional salary.
Unfinished Business: Administrator Waltz brought the Board up to date on the
following items: WellAhead, meeting with Fran Schoenfelder from East
Central Multi-District, critical access study, connection from Brookhaven
Estates to BVM, Christmas party, E-ICU, CT presentation, new Chief of
Staff for next year, and a newsletter for the public.
Reading and Information: Board members received for reading and
information: Minutes from Executive Committee and Medical Staff
Business meetings; Thank you letters from Dr. Vande Kop, Dr. Youngren,
and Dr. Smith; Corporate Compliance Officer’s Report; and a Thank You
from the Brookings Marathon Committee.
New Business: Board appointments and reappointments were discussed. After discussing the
process we should take for hiring a new CEO, a motion was made by Blazey, seconded by
Evers to hire Administrator Waltz to do the search for the new administrator at a cost of
$8,000. All members presented voted in favor of the motion.

There being no further business, there was a motion by Olson, seconded by
Blazey to adjourn at 9:2o p.m. All members present voted in favor of the
motion.
