BROOKINGS HOSPITAL AND BROOKVIEW MANOR
BOARD OF TRUSTEES MEETING
October 28, 2004
The regular meeting of the Board of Trustees of the Brookings Hospital and
Brookview Manor was held at 7:00 p.m. on October 28, 2004, in Hospital
Conference Rooms A-B-C with the following members present: John Ramsay,
Dianna Evers, Ardelle Roberts, Zeno Wicks, Dave Kasperson, Chuck Blazey,
Roberta Olson, and President Jones. Ex-officio Tim Reed, Ex-officio Julie
Whaley, Administrator Ron Waltz, and Recorder Lisa Will were also present.
Board members toured Brookhaven Estates at 7:00 p.m.
The meeting was called to order at 7:40 p.m. by President Jones. Agenda was
approved as presented.

Report; Statistical Graphs; All members present voted in favor of the
motion.
Financial Report: Administrator Waltz presented the Brookings Hospital,
Brookview Manor, and Home Health/Hospice Agency financials to
include graphs for September 2004. This included $867,317.00 in
payroll and benefit expense for the month.

Committee Reports:
Joint Conference (Medical Affairs): Has not met.
Strategic Planning: Roberta Olson presented minutes from the October
27 Strategic Planning meeting. Items discussed were use of conference
rooms, private rooms, new CT machine, community events, public
health checks, BVM remodeling project, link between Brookhaven and
Brookview Manor, and facility space usage study. A motion by Wicks,
seconded by Olson to go ahead with the link between Brookhaven and
Brookview Manor. Blazey abstained, all other members present voted
in favor of the motion.
Finance/Personnel: Roberts presented minutes from the October 25

Finance/Personnel meeting. Items reviewed were capital budget, air
handler, CT scanner, fracture table, cost for BVM remodeling, phone
system, revenues at Brookhaven and possibility of building a second unit,
and methods for presenting numerical data to the Board. A motion by
Blazey, second by Evers to have presentation of new illustrations for
numerical data at Board meetings. Waltz would like new CFO to
present this information. All members present voted in favor of the
motion.
Executive Committee: Has not met.
Unfinished Business:
CFO Position: It was noted that Kevin Coffey will start Monday,
November 15. There is a welcome reception scheduled for Monday
morning at 9:00 a.m.
Director of Elder Care Services Position: It was noted that Brenda
Johnson will start employment on Monday, November 22.
Critical Access Study: It was noted that we have signed an agreement
with Eide Bailly to do a study on critical access.
New Business:
CEO Position: Waltz suggested that we use the whole name and not just
Brookings Hospital and Brookview Manor when advertising for a new
CEO. Jones stated we have four options for hiring a CEO. We could
utilize Sioux Valley Hospital or Avera McKennan, we could hire an
outside firm, or we can utilize our current CEO. It was felt the Finance
and Personnel Committee should look at options to include hiring of a
firm for approximately $18,000-$20,000. It was noted that we need

to have a time frame set for start of a new CEO.
Stationery: There was discussion on changing the stationery name to
Brookings Health Care System with subheadings for Brookings Hospital,
Brookview Manor, etc. with phone numbers listed for each entity.
Motion by Olson, seconded by Roberts to change stationery name to
Brookings Health Care System. Motion amended to reflect investigation
first by the city and county. This will go to Strategic Planning with a
recommendation coming from this committee for the December
meeting. Rob will communicate with Alan Lanning regarding this issue.
All members present voted in favor of the motion.
Hospital Status: Wicks stated he would like to see the pros and cons of
staying independent vs. management contract. After lengthy discussion
a motion was made by Wicks, seconded by Evers to stay independent.
Wicks voted no and all other members present voted in favor of the
motion.
Board Vacancies/President Term: It was noted that three Board
members terms are up at the end of this year. Jones term for
president is also up at the end of the year. Board members need to
determine who will be staying on the Board or if we will need to solicit
new Board members. Discussion was held regarding the term for the
president being a two or three year term. This will be put on the
agenda for the December meeting along with the Board Bylaws.
Dates Changes: The dates for the November and December meetings
have been changed to December 2 and December 21.
Reading and Information: Board members received for reading and
information: Minutes from Executive Committee, Thank you from
Marlys Landgren for her retirement reception, a Thank you from the

family of Cal Simmons, and a Thank You from Andy Stockholm,
Director of 2005 Brookings Marathon for donation.
Comments: It was noted that Fran Schoenfelder would like to address the
Board.
Dr. Gail Benson has applied for courtesy medical staff privileges to do
limited orthopedic surgery here.
There being no further business, there was a motion by Olson, seconded by
Wicks to adjourn at 9:27 p.m. All members present voted in favor of the
motion.
