BROOKINGS HOSPITAL AND BROOKVIEW MANOR
BOARD OF TRUSTEES MEETING
September 23, 2004
The regular meeting of the Board of Trustees of the Brookings Hospital and
Brookview Manor was held at 7:00 p.m. on September 23, 2004, in
Hospital Conference Rooms A-B-C with the following members present:
John Ramsay, Dianna Evers, Ardelle Lundeen, Michelle Robbins, Zeno Wicks,
Dave Kasperson, Chuck Blazey, Roberta Olson, and President Jones. Ex-
officio Tim Reed, Administrator Ron Waltz, Executive Secretary Pam
Emmett and Board attorney Rich Helsper were also present.
The meeting was called to order at 7:15 p.m. by President Jones. Agenda
was approved as presented.
Executive Session: Motion by Olson, seconded by Lundeen to adjourn to an
executive session at 7:17 p.m. for the purpose of consulting with legal
counsel. All members present voted in favor of the motion. The Board
reconvened in open session at 8:36 p.m.
Motion by Evers, seconded by Blazey that the Brookings Hospital and
Brookview Manor Board of Trustees cannot recommend that
Brookings Hospital/BVM be sold or leased, but the Board, as part of
its management duties, shall investigate and study any opportunity or
arrangement that promotes high quality health care for the greater
Brookings community and surrounding area. Kasperson and Wicks
abstained; all the other members present voted in favor of the
motion.
Executive Session: Motion by Wicks, seconded by Olson to adjourn to an
executive session at 8:54 p.m. to discuss personnel issues. All members
present voted in favor of the motion. The Board reconvened in open
session at 9:05 p.m.

Committee Reports:
Joint Conference (Medical Affairs): Ardelle Lundeen reported on the
Joint Conference Committee meeting that was held August 23, 2004.
Items reviewed were statistical report, budget process, the addition of

four new physicians to the Avera Brookings Medical Clinic, 7 Scope
of Work, and how to proceed with our administrator position.
Strategic Planning: Michelle Robbins reported their committee had
met on September 21, 2004. Items discussed were E-intensive care,
future direction of organization, link between Brookhaven Estates and
Brookview Manor, and a possible Brookview Manor dining room

addition. Two thirds of the apartments at Brookhaven Estates have
already been spoken for. Motion was by Blazey, seconded by Wicks to
proceed with planning for inclusion of E-ICU in 2005 budget. All
members present voted in favor of the motion. Motion by Olson,
seconded by Kasperson to approve a study and establishment of the
link between Brookview Manor and Brookhaven Estates. Blazey
abstained; all other members present voted in favor of the motion.
Motion by Blazey, seconded by Olson to do a study on preliminary
costs of a dining room addition to Brookview Manor. All members
present voted in favor of the motion.
Finance/Personnel: It was noted that the budget work continues, but
finalization may be held up until the new CFO is in place.
Executive Committee: Has not met.
Unfinished Business: It was noted that the project by JD Jacocks, Southwest
Hospital Consultants, is on hold until the new CEO is in place.
New Business: Motion by Wicks, seconded by Olson that we retain Rich
Helsper as our contractual attorney. Kasperson and Jones abstained,
and all other members present voted in favor of the motion.
Mr. Waltz stated he had attended a meeting on the Brookings "B"
logo. There was a suggestion to consider changing our name to include
"system" or "campus” to better define all scopes of care that make up
our organization.
Critical access status of the hospital was discussed. Motion by Wicks,
seconded by Evers to have Eide Bailly do a study on critical access. All
members present voted in favor of the motion.

information: Minutes from Executive Committee and Medical Staff
meetings, letter from Medical Staff, Preliminary Results-Quality of
Life Survey, and a Thank You from the Boys and Girls Club for our
