INFORMATIONAL ITEMS Articles of interest provided included: “Part Three, The Future of Healthcare”, “Preventing Diversion in the ED”, “MU Stage 3: Can we get there from here”, and AHA – The Value of Membership. Merkley noted the article regarding the value of membership in the American Hospital Association (AHA) is very informative and covers several areas of importance that affect our health system. Our membership provides a good return on our dues investment. Merkley currently serves on the AHA Small/Rural Governing Council. A discussion took place surrounding the article about preventing diversion in the ED. A multifaceted approach, including use of technology, policy adherence, staff education, and robust oversight, is necessary to prevent diversion. REPORTS Operational CEO Report From his report Merkley shared benefit open enrollment for all eligible employees took place earlier this month. The health insurance premium will increase 4% to 5% in 2016. The health system will be absorbing 100% of the increase and not pass it on to employees. This is the right thing to do for our staff based on our successful year. Merkley also noted Project Joy was a great success this year; staff donated 329 toys/cash equivalent versus 132 toys/cash equivalent in 2014. CFO Report From his report, Lindemann noted the Medical Health Information department has faced a few challenges with unbilled accounts due to shortage of staff, therefore days not final billed (DNFB) will increase. Lindemann also noted we are evaluating the Dietary Department contract with Sodexo and alternatives through PACE Premier for future procurement of Dietary needs and food purchasing. The vaccine was well matched this year as there have been very few cases of flu in comparison with last year. Board Committees Building Committee: The Building Committee met on December 17, 2015. Topics of discussion included the Hospital Expansion/Renovation – Screen wall, Alternates: Boiler/HVAC, Subcontractors; Medical Office Building; and Yorkshire Eye Clinic/Knutzen Dentistry Appraisal. There were no action items. Finance Committee: The Finance Committee met on December 17, 2015. The committee reviewed and approved the payables, adjustments, and financials for November. Other topics of discussion included ICD-10 Update, Self-Pay Accounts Receivable, and BHS Foundation. Quality Committee: The Quality Committee met on December 17, 2015. Topics of discussion included the Customer Experience Report, Performance Improvement Project Update, and Meeting Format Discussion. There were no action items. Strategic Planning Committee: The Strategic Planning Committee met on December 17, 2015. Topics of discussion included the Hospital Expansion/Renovation, Capital Campaign, and Board Officer Elections/Committee Assignments/Appointments. There were no action items. UNFINISHED BUSINESS Capital Campaign Merkley stated the Capital Campaign funds raised/pledged are currently at a total of $4.43M. Another $130k was raised over the last few weeks and year-end donations are being received. We are very hopeful we will attain the $4.6M goal in the early part of 2016. Merkley and the Board extended thanks to the City for including $750k in their Capital Improvement Plan for the Hospital’s expansion project. Meditech 6.x Merkley shared discussions are continuing to take place with Senior Leadership and the Director of IT from a strategic standpoint on our Meditech upgrade to 6.x. A meeting recently took place with Avera and Brookings Health System’s IT steering committee to begin to answer some questions. Many questions still remain to be answered as we learn and move forward. Implementation will not take place until 2018 but building and process flow mapping will begin very soon. 2016 Board & Committee Dates A final draft of the 2016 meeting dates was provided. NEW BUSINESS Medical Staff Credentialing A motion was made by Ellsworth, seconded by Morgan to approve the credentialing request as recommended by the Medical Executive Committee. Performance Dashboard Merkley stated both the Neighborhoods at Brookview and the Health System continue very positive trends that are trending through in each of our pillars of success: Finance, Growth, People, Quality, and Service. Some of the quality measures will be updated as new indicators are added and others will be removed as CMS makes changes to their Quality based incentives and metrics. 2016 Board Officer Elections Discussion took place regarding Board Officer Positions/Elections. The consensus amongst the group is to maintain the same slate of officers through 2016. Justin Sell will remain as President, Walt Wosje will remain as Vice President, and Jim Morgan will remain as Secretary. A motion was made by Englund, seconded by Morgan to approve the retention of Board Officers for 2016. Action: All present voted yes; motion carried. 2016 Board Committee Assignments Sell noted the current committee structure is working well. A small change for 2016 will take place. Committee assignments will remain the same with the exception of Wosje who will now serve on both the Strategic Planning Committee and the Building Committee and Sell will now serve on the Quality Committee. A motion was made by Getting, seconded by Baker to approve the Committee assignments for 2016. Action: All present voted yes: motion carried. STRATEGIC DISCUSSION Board Self Evaluation An evaluation discussion took place amongst all Board members. All agreed there has been a positive impact on the progress of the health system. Board education and strategic planning topics will be key areas of focus and opportunity going forward as well as a continued focus on the expansion/renovation project. Performance standards will also continue to be communicated to City and County officials along with continued collaboration and communication.
