CEO Report

Koroglu reported Doctor’s Day was March 28; a dinner event for physician’s and physician’s assistants was
th
coordinated in conjunction with the 100 anniversary of USD’s School of Medicine. With two months to go to a
smoke free campus, Carda provided an update regarding the status of smoking cessation. Classes are now being
offered along with the medication to those employees who have decided to stop tobacco use. Carda noted on April
th
26 the same evening as the next Board Meeting, SDSU Foundation is having a dinner. The group decided that the
th
Board would meet on the 26, Jones will chair the meeting. Sleep Lab has doubled the number of customers. Carda
th
indicated he will be participating in the MDA Lock-Up on April 24.
CFO Report
The February finances for the month ended higher than speculated for the month. Home Health continues to see a
high volume. Total organizational expenses for March were $686,983.67. Payroll and benefit expense for the
month of March was $1,187,342.16.

Committee Reports
Strategic Planning Committee – The Strategic Planning Committee met twice in March to review the draft of
the strategic plan along with selecting a tag line and a strategy brief for advertising campaigns of the future.

Finance Committee – The Finance Committee met on March 15. Criner presented an update on the
information systems process. The process started approximately two years ago. Once the vendors were narrowed
down to two, by staff majority Meditech was selected. It was noted Meditech has been in business almost 40 years
and maintains a 98% customer retention rate. Carda commented that the architect has confirmed that the location
chosen to house the new system appears to be sufficient.

Executive Committee – The Executive Committee met on March 21. Olson provided a hand out titled “Legal
Duties of Board Members” she asked that members read it over and keep it with their other board related materials.
It will also be added to the orientation packet for new Board Members.
Executive Session
The board went into executive session at 7:37 p.m. The board members came out of executive session at 8:24 p.m.
A motion by Faltemier to approve the Strategic Planning Committee’s recommendation of the tag line “Inspiring
Health”. Motion seconded by Johnston. Motion carried. A motion by Corbet to approve the strategy brief of the
image campaign development plan as was proposed. Evers seconded the motion. Motion carried with one
abstention by Johnston.

Deep Dive Discussion
There were two discussion topics for this month: 1) Becoming Comfortable with Change and 2) External
