BROOKINGS HEALTH SYSTEM
BOARD OF TRUSTEES MEETING
June 23, 2005
The regular meeting of the Board of Trustees of the Brookings Health System was held at 7:00
p.m. on June 23, 2005, in Hospital Conference Rooms A-B-C with the following members
present: Carole Johnson, Rob Jones, John Ramsay, Michelle Robbins, Chuck Blazey, Zeno
Wicks, Dianna Evers, Roberta Olson, and President Ardelle Roberts. CEO Vern Carda, CFO
Kevin Coffey, Executive Secretary Pam Emmett. Cindy Mydland from the Sioux Valley Clinic
was also present.
The meeting was called to order at 7:00 p.m. by President Roberts.
Dr. Gloria Craig from SDSU College of Nursing presented information on Simulation Training
for Tomorrow’s Nurses. The simulation training offer real-life experiences to students before
they enter the clinical setting. The enhanced simulation labs will allow students to practice
realistic patient scenarios without risk or harm to the patient or health-care provider. They will
also ensure that students receive the opportunity to follow through on the most important and
most common patient care scenarios, including cardiac arrest and childbirth. The Board thanked
Dr. Craig for her presentation.

voted in favor of the motion.
Financial Report: CFO Coffey presented the Brookings Hospital, Brookview Manor, Home
Health/Hospice Agency, and Brookhaven Estates financials for May 2005. CFO Coffey
reported that expenses were up due to a 5-week payroll, paying two administrators, paying
recruitment fee for hiring of new administrator, and paying for coverage for relief
CRNA’s. Home health looked better this month due in part to CME physician training for
criteria for admitting patients to hospice. Motion by Blazey, seconded by Olson to
approve the financial report. All members present voted in favor of the motion. This
included $797,557.90 in payroll and benefit expense for the month. CFO Coffey
also presented statistical information and distributed statistical graphs.

Committee Reports:
Joint Conference (Medical Affairs): Joint Conference is scheduled to meet June 27,
2005.
Strategic Planning: Has not met but needs to meet.
Finance/Personnel: Dianna Evers reported from minutes of June 17. Board members
reviewed a preliminary contribution policy. After review, it was noted that one of the
forms was missing for the contributions policy. Robbins made a motion, Olson seconded
to table the policy. All members present voted in favor of the motion. On a
recommendation from the Finance/Personnel Committee, Board members voted to donate
$2,500 to the Boys and Girls Club. All members present voted in favor of the motion. On
a recommendation from the Finance/Personnel Committee, Board members voted to
approve Eide Bailly to conduct a charge-master review at a cost of approximately $19,500.
All members present voted in favor of the motion. Board members discussed the
information presented by Dr. Craig regarding the Simulation Training for Tomorrow’s
Nurses. Board members want to see a Memorandum of Understanding between SDSU and
Brookings Health System which will allow the equipment and instructors to be used by our
facility staff. and bring this back The MOU will be brought to next month’s Board
meeting. Blazey voted to table and Wicks seconded to table until next month. All
members present voted in favor of the motion.
The Brookings Economic Development Committee was discussed. It was noted we need
to appoint a facility representative to the committee. and we need to set up a committee
for this.
An update on the open CRNA position was discussed. The frequency of weekend on call
requirements here has been a problem for applicants. A CRNA pool is available to cover
some of the weekend call so It was noted that we are trying to create a pool so that
CRNA’s are on call one in every four weekends instead of one in every three weekends. It
was questioned if we should contract with that group. Board members felt this was a
management decision not a Board decision.
Executive Committee: Items from the Executive Committee were moved to Executive
Session.

Unfinished Business: The status of our request to maintain 49 licensed beds was discussed.
Vern Carda reported the Health Department has no problem with the request and has
directed us to forward the request to our fiscal intermediary.
New Business: It was reported that we had been surveyed by State and Federal surveyors. The
SD Department of Health no longer uses F-tags, but it was felt there were eight areas of
concern. Board members will receive more information when we get information back
from the SD Department of Health.
The walkway between BVM and home health has been torn down. There is now a

residents and we are looking at a covered walkway to replace the wooden walkway.

It was noted that we had a break in plumbing and water leaked into the medical records in
the basement.
Cindy Mydland from the Sioux Valley Clinic stated they have started construction and are
looking at opening the first of October. She stated she had been working with CFO Carda

Executive Session: Board members went into Executive Session at 8:31 p.m. in accordance with
SDCL 1-25-2.5) after President Roberts read the reminder of the responsibility to maintain
confidentiality of the items discussed. Board members came out of Executive Session at 9:37
p.m.
On a motion by Olson and seconded by Wicks, the Board approved CFO Carda to check into
other health care providers’ interest in developing a partnership percentages on a fixed MRI. All
