BOARD OF TRUSTEES MEETING
January 27, 2005
The regular meeting of the Board of Trustees of the Brookings Hospital and Brookview Manor was
held at 7:00 p.m. on January 27, 2005, in Hospital Conference Rooms A-B-C with the following
members present: Michelle Robbins, John Ramsay, Dianna Evers, Zeno Wicks, Chuck Blazey,
Roberta Olson, and President Roberts. Ex-officio Tim Reed, Administrator Ron Waltz, CFO Kevin
Coffey, Executive Secretary Pam Emmett. Absent members: Rob Jones
The meeting was called to order at 7:00 p.m. by President Roberts.

Advertise for Bids for Argon Beam Cautery Unit: awards bid to ConMed/Utica with a
bid of $20,378.20; Funding of Sick Pay; Statistical Report; Statistical Graphs; All
members present voted in favor of the motion.
Financial Report: CFO Coffey presented the Brookings Hospital, Brookview Manor, Home
Health/Hospice Agency, and Brookhaven Estates financials for December 2004 and year
end statistics. Investment of funds was also discussed. Motion by Robbins, seconded by
Wicks to approve the financial report. All members present voted in favor of the motion.
This included $747,775.08 in payroll and benefit expense for the month.
Board Bylaws: Board Bylaws were changed to make the chairperson of each committee be
comprised of any officer, not a specific officer. Motion by Olson, second by Robbins to
approve. All members present voted in favor of the motion.
Committee Listing: President Roberts appointed Michelle Robbins to chair the Strategic Planning
Committee. Members of the Strategic Planning Committee will be Michelle Robbins, Zeno
Wicks, Chuck Blazey, and Roberta Olson. President Roberts appointed Dianna Evers to
chair the Finance and Personnel Committee. Members of this committee will be Dianna
Evers, John Ramsay Rob Jones and the appointee from the County Commission. Olson
approved the appointments, Blazey seconded. All members present voted in favor of the
motion.

Joint Conference (Medical Affairs): Has not met.
Strategic Planning: Has not met.
Finance/Personnel: Has not met.
Executive Committee: Michelle Robbins reported on the items discussed at the Executive
Committee meeting. Minutes were distributed to all Board members for their review. The
CEO search was discussed. It was noted that there was $2,000 donated for the Aviary at
Brookview Manor to be updated. We would need an additional $2,400 to redo the aviary.
A motion by Olson, seconded by Blazey that we put $2,400 towards the updating of the
Brookview Manor aviary. All members present voted in favor of the motion. Critical
access was discussed and Board members felt this should be referred to the Strategic
Planning Committee for further review.
Unfinished Business: Administrator Waltz brought the Board up-to-date on the following items:
CEO search, WellAHEAD, E-ICU, Scholarship Awards. Credentialing of Gail Benson,
M.D. was discussed. A motion by Robbins, seconded by Wicks to approved Dr. Benson for
1-year provisional courtesy medical staff. All members presented voted in favor of the
motion.

New Business:
Cumulative Turnover Study: Presented to the Board for information.
2004 Employee Incident Summary by Job Classification/Department: Presented to the Board
for information.
Inpatient survey results were reviewed and distributed for information. It was noted that the
survey needs to be redone.
Community survey: It was noted that a public opinion firm has been conducting a telephone
survey regarding healthcare issues in our community. There is the possibility of doing focus
groups in the community after looking at the results of the survey.
Downtown Brookings, Inc. A letter from the Downtown Brookings, Inc. was reviewed and
discussed by Board members. Board members left the donation amount to Downtown
Brookings at the discretion of the administrator. Our donation would come from our public
relations fund.
NAMI Brookings: Correspondence from NAMI was reviewed and discussed. A motion by Olson,
seconded by Wicks that Administrator Waltz send a letter to NAMI declining our
involvement in this endeavor. Board members felt this was outside the realm of our
expertise.
East Central Multi-District: Correspondence from East Central Multi District (ECMD) was
reviewed and discussed. There was discussion about tying in the academic portion of the
CNA training done at ECMD with our hands on portion of training to help us recruit CNAs
to our facility. A motion by Olson, seconded by Wicks to continue payment through May
and during that time work out a plan for training CNAs to help us in recruiting CNA staff.
Robbins abstained. All other members present voted in favor of the motion.
Reading and Information: Board members received for reading and information: Minutes from
Executive Committee and Quality Council meetings; Inpatient satisfaction survey results for
July-December.
Executive minutes were reviewed by Administrator Waltz. Board members will have a special
meeting to have Jay Bender present information on the Regional Economic Development Model. It
was noted that if we plan to have a seat at the table for the Regional Economic Development, this
money could come from non-operating income and would not raise healthcare costs.
Comments:
A Government Improvement Technique evaluation was handed out and Board members felt
we should do a Board self-evaluation. Chuck Blazey will work on a self-evaluation form.
Administrator Waltz noted that we have been working with Ginger Thomson and Jay
Vanduch to develop a monthly newsletter that will be mailed to staff at their homes. The
