Absent: Zeno Wicks President Roberts called the meeting to order at 7:05 p.m. The agenda was revised to consider the new business Microbiology instrument purchase first. Linda Minor reported the current instrument was purchased in 1992 and after being depreciated, has been carried on the capital equipment inventory as a non-repair / replace item. The manufacturer can no longer support the software. Following discussion, replacement was recommended on a motion by Roberta Olson and seconded by Chuck Blazey. All members voted in favor of the motion. Consent agenda: The minutes of the July meeting were moved to unfinished business on a request by Chuck Blazey. Recommendation authorizing a bid for orthopedic fracture table, Credentialing recommendations, the revised Swing Bed Program Manual, Statistical report; Statistical graphs. All members present voted in favor of the motion. Financial Report: CFO Coffey presented the August 2005 financials for Brookings Hospital, Home Health/Hospice Agency, Brookhaven Estates, and Brookview Manor. This included $1,031,735.81 in payroll and benefit expense for the month. A $43,000 loss at BVM was discussed. It was questioned if the remodeled Hospice room at BVM is being used for Hospice patients. Kevin Coffey reported recent Hospice patients requiring facility care have been admitted to the Hospital. All BVM rooms are being used at this time. An appropriate roommate is not available for all residents. Allocations to the BVM budget are being reviewed. Personnel Information: New employees: C. Committee reports: Joint Conference committee: Did not meet in August. Strategic Planning: Michelle Robbins reported from the minutes of the September 19, 2005 Meeting. All items are contractual, to be discussed in the Board executive session. Finance /Personnel: Dianna Evers reported on the September 28 meeting. For information; a donation request was tabled until more information is provided. New information management software is being evaluated; The EICU plan is being tabled. Contractual recommendations were referred to the Board executive session. Executive Committee: Did not meet in August. Unfinished Business: Critical Access Hospital discussion: Vern Carda reported from the Eide Bailly report and discussed payment projections. Additional information about utilization and payers was reviewed and discussed. It was recommended on a motion by Dianna Evers and seconded by Michelle Robbins that Brookings Health System maintain the current 49 bed acute care status. All members present voted in favor of the motion. Chuck Blazey requested the minutes of the August meeting be corrected to record his motion that Brookings Health System participate in a partnership with the Pain Clinic. There was no second for the motion. Comments: Cindy Mydland reported the plan to begin providing service at the new Sioux Valley Clinic by mid October continues. Two surgeons started providing same day surgery here in August. They have reported they are very satisfied with Brookings Health System resources. They plan to increase utilization of our services in the future. Executive Session: The Board went into executive session according to SDCL: 1-25-2.5 at 8:03 p.m. President Roberts read the reminder for maintaining confidentiality of all information discussed during the executive session. All members agreed to the terms of the requirement. The Board came out of executive session at 9:05 p.m. The Finance /Personnel Committee moved we accept the General Electric bid for the MRI. All members present voted in favor of the motion. It was recommended on a motion by Dianna Evers and Seconded by Carole Johnson that we establish a lease plus interest joint venture contract with Avera McKennan. Dr. Ramsay abstained. All others voted in favor of the motion. The Strategic Planning Committee moved the facility accept a proposal from the Chancellor Group for a comprehensive strategic planning process and hire the group to assist with our strategic plan development. All members voted in favor of the motion. The Strategic Planning Committee moved the facility accept the MSA comprehensive employee opinion survey proposal and hire MSA to conduct the employee opinion survey. All members present voted in favor of the motion. A bid From Lawrence Research for a community survey was reviewed and discussed. It was recommended on a motion by Roberta Olson and seconded by Michelle Robbins that we hire Lawrence Research for no more than $17,000 to conduct the community survey.
