RESOLUTION NO. 1-96
AUTHORIZING THE MAYOR TO SIGN CONTRACT
FOR PROFESSIONAL SERVICES WITH ADMED, LTD.
BE IT RESOLVED by the Board of Commissioners of the City of Brookings to authorize
the Mayor to sign a contract for professional services to provide drug and alcohol testing services.

BILLING AGREEMENT
This agreement is made between AdMed, Ltd. and the below named Municipality. The Municipality desires to have AdMed, Ltd.,
through its aff'iliation with a NIDA/SAMHSA certified laboratory, provide drug testing services.
The Municipality shall pay AdMed. Ltd. for services performed under this agreement. The initial term of this agreement shall be
one yeaz, beginning on the date it was signed, and shall be renewed for an additional term, following the initial term, unless either
party notifies the other, in writing, of its intent not to renew. Either party may terminate this agreement, at any time, by providing
30 day written notice to the other.
The Municipality shall submit payment, in full, at the time of the agreement and when invoiced by AdMed, Ltd. Payment by the
Municipality does not waive the Municipality's right to dispute charges at a later date.
At the option of AdMed, Ltd., payments not received 10 days after date of invoice may cause an account to be placed on HOLD.
Past-due balances (due beyond 30 days) will be charged 1% per month service charge (annual rate of 12%). A 2% discount may
be available to Municipalities who pay within the first 10 days after invoice date.
The Municipality agrees to indemnify, defend and hold AdMed, Ltd., their directors, o�cers, agents and employees harmless from
any loss, cost and/or expense (including court cost and attomeys fees) arising out of or resulting from any action taken by the
Municipality with the testing results received from AdMed. Ltd. or its affiliated laboratories.
This agreement shall not be assignable by either party without the written consent of the other, ezcept in connection with a corporate
reorganization, merger, or sale of substantially all of the drug testing assets of the Agency.
The Municipality may terminate this agreement in accordance with provisions for terminations specified in the written agreement
between AdMed, Ltd. and the Drug and Alcohol Compliance Consortium under Section G.
This agreement shall be governed by and construed under the laws of the State of South Dakota.
