WHEREAS, the United States of America Department of Commerce, Economic
Development Administration, (the"Government") entered into a Financial Assistance Award
(the "Award") with the City of Brookings (the "Recipient") on or about September 30, 1996; and
WHEREAS, the Recipient has requested certain changes in the Award; and
WHEREAS, it is in the best interest of the Government and the Recipient to amend the
Award to provide for such changes and revisions as are deemed necessary;
NOW, THEREFORE, BE IT RESOLVED that the Mayor of the City of Brookings,
South Dakota be authorized to sign the offer to amend the Financial Assistance Award for
Project No. OS-01-02932.
Passed and approved this 11`h day of August, 1998.

Ladies and Gentlemen:
Enclosed herewith are two signed copies of an Offer to Amend the Financial Assistance Award for
Project No. OS-01-02932. The Economic Development Administration has reviewed your original
application, the basis for the approval of the original award, and the material submitted by you to this
Agency in support of the change to the original award.
Your request to amend the Financial Assistance Award to revise Attachment Number 1, to the financial
award documents, is approved. The Offer to Amend the Financial Assistance Award does not change
the amount of the grant.
Your acceptance of the Offer to Amend the Financial Assistance Award should be indicated by the
signature of your principal official, and certified to by an official other than the accepting official on
one of the signed copies of the Amendment. The acceptance copy should be returned to Mr. John D.
Woodward, Regional Director, Denver Regional Office, Economic Development Administration, 1244
Speer Boulevard, Room 670, Denver, Colorado 80204.
You are cautioned not to make any commitments in reliance on this Offer to Amend the Financial
Assistance Award, nor to enter into negotiations relative hereto, until you have carefully reviewerl the
terms and conditions and have determined that you are in compliance or that you can comply therewith.
Any commitment or undertakings entered into prior to obtaining the approval of the Government in
accordance with its terms and conditions of the grant, as amended, will be at your own risk.

TO: City of Brookings, Brookings County, South Dakota
WHEREAS, the United States of America Department of Commerce, Economic Development
Administration, (the "Government") entered into a Financial Assistance Award (the "Award") with the �
City of Brookings (the "Recipient") on or about September 30, 1996; and
WHEREAS, the Recipient has requested certain changes in the Award; and
WHEREAS, it is in the best interest of the Government and the Recipient to amend the Award
to provide for such changes and revisions as are deemed necessary;
NOW THEREFORE, for and in consideration of the mutual benefits flowing to the Government
and the Recipient, the Government hereby offers to amend the Award as follows:
Revise project budget, (see Attachment 1, ED-508).
All other terms and conditions of this Award shall remain in full force and effect.
This Offer to Amend the Financial Assistance Award must be accepted and returned to the Economic
Development Administration not later than 15 days from the date of the letter enclosing the Offer to
Amend the Financial Assistance Award.
