RESOLUTION NO. 51-98
RESOLUTION RELATING TO LEASE-PURCHASE OF CITY FACILITIES; RENEWING THE
LEASE-PURCHASE AGREEMENT FOR FISCAL YEAR 1999; AUTHORIZING CERTAIN
AMENDMENTS AND SUPPLEMENTS TO FINANCING DOCUMENTS; APPROVING AND
AUTHORIZING EXECUTION OF RELATED DOCUMENTS.
BE IT RESOLVED by the City commission of the City of Brookings, South Dakota (the City) as
follows:
Section 1. Recitals.
1.01. The City is authorized by South Dakota Codified Laws, Chapters 9-40 and 9-41, as
amended(together, the Act), and the city charter,to acquire land and acquire and construct
improvements and equipment comprising a system for the purpose of providing(i) electricity, gas or
other light,heat and power, (ii)water and water supply for municipal, industrial and domestic purposes,
(iii)collection, treatment and disposal of sewage and other domestic, commercial and industrial wastes,
and(iv) a telephone system and related services. Pursuant to the Act and the city charter,the City has
established the Brookings Municipal Utilities (the Utility)to provide such services.
1.02. The City and First National Bank in Brookings, Brookings, South Dakota(the Trustee)
have entered into a Ground Lease and Easement Agreement, dated December 1, 1997,between the City
and the Trustee(the Ground Lease),whereby the Trustee has acquired certain interests in real property
(the Land, including any Facilities now in existence, which are to be repaired or renovated) from the
City, and the Trustee has leased its interest in the Land and leased and agreed to sell the Facilities to be
acquired, renovated, constructed and equipped thereon to the City pursuant to a Lease-Purchase
Agreement, dated December 1, 1997,between the Trustee and the City(the Lease).
1.03. The Trustee has executed and delivered a Declaration of Trust, dated December 1, 1997, �
(the Trust Agreement),joined in by the City,pursuant to which the Trustee has(i) issued Certificates of
Participation(the Certificates) in the lease payments to be made by the City under the Lease and(ii)
received the proceeds of the sale of the Certificates and will disburse such proceeds for payment of
Construction costs and Costs of Issuance(as defined in the Lease).
1.04. The Certificates are to be tendered and remarketed on June 23, 1998, as provided in the
Trust Agreement. The Trust Agreement provides that Certificate proceeds cannot be disbursed for the
payrnent of Construction Costs until all Certificates have been remarketed to their final maturity dates.
The City, the Utility and the Trustee have agreed to amend the Trust Agreement to permit a portion of
the Certificate proceeds to be disbursed for the payment of Construction Costs and Costs of Issuance.
The Certificates will be divided into Series 1997A and Series 1997B Certificates and the City and the.
Utility will provide additional security for the Series 1997A Certificates.
Section 2. Approvals.

2.01 Authorization and Approval of the Remarketing and Amendments and Supplements to the
Documents. The division of the Certificates into Series 1997A Certificates and Series 1997B
Certificates, and the release of Certificate proceeds, in an amount equal to the principal amount of the
Series 1997A Certificates, to be disbursed for the payment of Construction Costs and Costs of Issuance
is hereby approved. The respective aggregate principal amounts of the Series 1997A Certificates and the
Series 1997B Certificates shall be agreed to by the Utility Board and the Remarketing Agent(as defined
in the Trust Agreement), and shall be set forth in a supplement to the Trust Agreement, to be dated June
23, 1998. The supplement to the Trust Agreement will establish the next remarketing date for the Series
1997A Certificates and the Series 1997B Certificates as October 29, 1998. If required, the City will also
enter into an amendment to the Ground Lease and the Lease. The Mayor, Finance Officer and City
Attorney are authorized to approve the final forms of supplement and amendments and the Mayor and
Finance Officer are directed to execute the supplement and amendments. Copies of all such documents
shall be delivered, filed and recorded as provided therein. The Mayor, Finance Officer and City
Attomey are also authorized and directed to execute such other instruments as may be required to give
effect to the transactions herein contemplated. The City will cooperate in the remarketing of the
Certificates and the Mayor, Finance Officer and the City Attorney shall execute such other instruments
as are necessary to the remarketing of the Certificates.
2.02. Pled�e of Utility Revenues. The supplement to the Trust Agreement and the amendment to
the Lease, if any,will contain a provision by which the City agrees to pledge the Utility Revenues to
secure the payment of the Series 1997A Certificates, in the event that they are not successfully
remarketed on October 22, 1998. Such pledge will continue in effect until the Series 1997A Certificates
are remarketed or paid in full, or until December 31, 1999,the end of the Fiscal Year for which the
Lease has been extended, whichever is earlier. The Commission concurs in this pledge of the Utility
Revenues, and agrees that it will take all actions necessary to collect and remit the Utility Revenues in
the event that the Series 1997A Certificates are not successfully remarketed.
Section 3. Renewal of Lease Term. This Commission acknowledges that the Utility Board has
found that the Utility Revenues are anticipated to be sufficient in the Fiscal Year ended December 31,
1999, to make all payments to become due under the Lease in such Fiscal Year, including the amounts
necessary to pay the Series 1997A Certificates in the event that they are not successfully remarketed.
The City hereby agrees that the Lease is renewed for the Fiscal Year ended December 31, 1999, and the
City will take all actions necessary to appropriate or otherwise provide the moneys necessary to pay all
amounts which become due under the Lease for the Fiscal Year ended December 31, 1999.

BE IT RESOLVED by the City Commission of the City of Brookings, South
Dakota(the City), as follows:
Section 1. Recitals.

of the Fiscal Year for which the Lease has been extended, whichever is earlier. The Commission
