President Wosje called the meeting to order at 5:00 p.m.
INVITED GUESTS:
Merkley welcomed Avera Health representatives, Teri Bergeleen and Stacey Lenker, who were
invited to present an update regarding the Accountable Care Organization (ACO) Prairie Vista Care
Organization. Progress is rolling forward to commence the Track 1 ACO in January, 2018. The
application for intent to participate has been filed and the ACO will finalize agreements with CMS in
mid-November. Currently, there are an estimated total of 20,000 beneficiaries assigned to the ACO.
Lenker and Bergeleen also provided information on data gathering, governance, patient
engagement and 2018 ACO strategy.
Guests were thanked for their informative presentation. Both exited the meeting at 5:45 p.m.

Merkley noted, for the protection of our staff and community, Brookings Health System has a Safety
Committee in place to assist in planning for potential workplace violence such as an active shooter,
as well as emergency preparedness for natural disasters. Appropriate policies have been developed
and drills take place each year to help prepare for emergencies that may happen in Brookings.
REPORTS
Operational
CEO Report
Merkley noted the SHIINE educational seminar that took place on Medicare enrollment received
much attention with our conference room exceeding capacity. Future sessions are being planned for

next spring and fall. Megan Bultsma has been chosen as this year’s recipient of the Brookings Health
System Health Professions Scholarship in Athletics. Bultsma is a SDSU women’s basketball center
and is majoring in Psychology. A ribbon cutting event in the new Grand Lobby will be held next
Friday, November 3rd at 2pm. Board members were encouraged to attend.
CFO Report
Lindemann noted the Rural Demonstration Project (RCHD) will provide Brookings Health System
approximately $2M in reimbursement for 2015, 2016 and 2017. The settlements for 2016 and 2017
have been received. CMS will be providing further guidance on settlement for the last three months
of 2015 which are still outstanding. Brookings Health System Investment Authority documents are
moving forward; Articles of Incorporation have been submitted to the Secretary of State; bylaws are
near completion; RFP has been completed and is ready to be distributed if approved by City Council
at their late November meeting.

CNO Report
Hillestad noted Brookings Health System’s sleep study program recently purchased and installed
new equipment to allow the program to transition from a contracted service to a service being
provided by newly BHS trained staff. A significant cost savings is expected. The number of sleep
studies continues to grow and has a two (2) to three (3) week waiting list. Hillestad also noted the
Pain Management Taskforce is reviewing the use and benefits of aromatherapy as an alternative to
pain medications.
Board Committee Reports
Administrative Committee:
Administrative Committee member, Morgan, provided a report; the Administrative Committee met
on October 17, 2107. Topics of discussion included Brookings Health System Investment Authority,
Prairie Vista ACO and Board Nominations. There were no action items.
Building Committee:
Building Committee Chair, Englund, provided a report; the Building Committee met on October 17,
2017. Topics of discussion included Hospital Expansion/Renovation (schedule, site
plan/landscaping, punch list), Yorkshire Eye and Dental Clinic, Ambulance Garage/Building and the
White Clinic – Farmstead project. There were no action items.
Finance Committee:
Finance Committee Chair, Peterson, provided a report; the Finance Committee met on October 19,
2017. The Committee reviewed and approved September 2017 Financials, Adjustments and
Payables. Other topics of discussion included the Investment Authority, Rural Community Hospital

Demonstration Settlement, 2018 Operating Budget and the 2018 Capital Budget; total capital
requests are set at $1.1M which includes $347k in contingency identified for equipment that may
need to be replaced as well as Meaningful Use Stage 3 contingencies and an additional contingency
of $300k was added for the Avera Hosted Meditech conversion and potential early software
installations.
A motion was brought forward from the Finance Committee to approve the FY18 Capital
Budget. The motion was seconded by Englund.

Quality Committee:
Quality Committee Chair, Ellsworth, provided a report; the Quality Committee met on October 17,
2017. Topics of discussion included Housekeeping Patient Satisfaction Survey, Performance
Improvement projects, Legislative Advocacy Projects, Mortality Taskforce and We are the Patient
Experience Campaign II. There were no action items.
OLD BUSINESS
Brookings Health System Investment Authority
Merkley noted the Investment Authority is moving forward with all of the required documentation
in final stages. In November we will meet with the Mayor and City Council to request the
supplemental ordinance. Shortly thereafter the RFP will be sent out to seek an Investment Manager.
The goal is to have everything ready by January 1 or shortly thereafter.
RCHD Extension
Merkley noted, as Lindemann previously stated, the time period in question is for the retroactive
2015 payment. Noridian is waiting for further direction from CMS.
AHA Rural Health Care Leadership Conference
Merkley reminded members the 31st American Hospital Association (AHA) Rural Health Care
Leadership Conference will be held February 4 – 7, 2018 and encouraged board members to attend
if schedules allow. Registration is now open with the early bird discount deadline of December 15.

Medical Staff Credentialing
A motion was made by Ellsworth, seconded by Morgan to approve the credentialing and re-
credentialing as recommended by the Medical Executive Committee.

Bylaws of the Medical Staff
For informational purposes an updated version of the Medical Staff bylaws was provided. Merkley
stated our Medical Staff leadership review the bylaws and make revisions, if necessary, on a yearly
basis. These bylaws ultimately reflect the quality of services being provided which are governed by
the Board of Trustees.

Q2 2017 Performance Dashboard
Merkley reviewed the overall performance snapshot for the Hospital and the Neighborhoods at
Brookview. Q2 2017 trends met expectations with some opportunities for improvement related to
our pillars of success: Finance, Growth, People, Quality, and Service. Strategies are in place with the
rollout of the second phase of our “We are the Patient Experience” Campaign which will focus on
“Every Patient, Every Time, Every Interaction”.
Board Calendar
A draft calendar of important dates that require Board attention/action was shared. Members were
asked to review and let Wiig know if anything needs to be changed or added.
Other
Corbett shared, the Brookings Holiday Celebration will be held on Thursday, December 7th, from
5:00-7:00pm at McCrory Gardens Education and Visitor Center. All members were invited as an
opportunity to express his thanks to the Board. A formal invite will be mailed soon.
Merkley reminded members of the 3rd Annual Physician Appreciation Event to recognize and honor
our physicians. The event will be held on Thursday, November 16th from 6:00-8:00pm.
