Wicks, III, Secretary, Jim Booher, Arne Brown, Sandra Faltemier, Debra Johnston, Teresa McKnight, Julie Whaley, ex-officios: John Kubal and Mike McClemans Guests: Jay Bender, Al Kurtenbach and Robert Nelson on behalf of Vision Brookings, BHS Foundation Chair Roberta Olson (arrived at 8:02 p.m.), Kevin Coffey, Interim CEO, Dave Timpe, Accounting Consultant, Tammy Hillestad, CNO and Deb Davis, recorder. Jones called the Hospital Board of Trustee Meeting to order at 6:10 p.m. He noted there were two groups invited to present. The first group will speak about Vision Brookings and the Chair of the BHS Foundation will be arriving around 8:00 p.m. Invited Guest Al Kurtenbach, spokesperson for Vision Brookings, made a request to the Board to consider a six-year pledge of $150,000 paid in two segments. The initial commitment of $25,000 per year for three years to help fund an active workforce development effort designed to attract medical professionals such as physicians, therapists and other needed medical specialists. The option to renew for an additional three years based on achievement of metrics and benchmarks established jointly by the health system and the Brookings Vision Board of Advisors. The goal of this program will be to supplement attraction efforts of local healthcare providers as they actively seek and retain medical professionals to live and maintain a practice in Brookings County. Expenditures for this activity will be based on guidelines established by the Vision Brookings Board of Advisors who may provide matching funds to be determined by the amount of money available. Kurtenbach, Bender and Nelson were excused at 6:58 p.m. Booher made a motion to continue to fund $25,000 for the next three years to Vision Brookings. Whaley seconded the motion to move it to discussion. Timpe reminded the Board that the entire commitment ($75,000) would be recorded as an expense in the fiscal year the commitment is made. The motion was approved unanimously with one abstention by McKnight. Motion carried. Second invited guest was Roberta Olson, Chair of the BHS Foundation. The Foundation’s Executive Board met with committee chairs and developed a major gifts prospect list. Olson asked each of the Hospital Board of Trustees to assist the Foundation with making the initial contact with the prospect name. She asked that the Board members communicate to Davis by September 26th. Olson was excused at 8:27 p.m. Page 2 of 7 Informational Items Brown and Wicks were not present at the Board meeting as they were attending the SDAHO Conference in Rapid City. The Brookings Health System’s Auxiliary and Nursing Homes President, Hazel Hauff submitted an annual report for viewing. Motion carried. Reports Operational CEO Report Coffey noted the first review of the capital budget came in at $5.4 million. He is meeting with department managers to reduce the total amount by half. Coffey also noted the web site is in the process of being overhauled. Marketing of BHS to the community has also increased. The paperwork on the recent land purchase located on the corner of Yorkshire Drive and Sunrise Ridge Road on the north side of the road has been finalized. CFO Report Timpe presented the financial summary for August 2011. For August the corporation made a profit of $153,159, beating the budget by $13,568. Year-to-date figures show the organizational profit is over budget by $358,423. Charity write-off for August was $35,458 with year-to-date deduction of $163,431. Page 5 of 7 Fiscal year 2010 Charity write-off was $311,830 and in 2009 Charity write off was $284,470. Total cash disbursements for August totaled $5,359,630.21. Wright, $10.40; CNO Report Hillestad noted Home Health/Hospice has relocated to the recently purchased building located at 22nd Avenue and Yorkshire Drive. The inpatient areas have launched a program titled SHHH, Silent Hospitals Help Healing. A quiet hour has been established to allow patients to rest with minimal interruptions by staff. A video is being created for patients and family of pediatric patients undergoing surgery, with the intent of reducing fear and anxiety. This video will be available on the BHS website and through the physician clinic. Implementation of the volunteer Doula program is underway to support laboring patients. Education has been provided and a coordinator has been designated. Board Executive Committee: The Executive Committee did not meet in September. QI/Personnel Committee: The QI/Personnel Committee met on September 8, 2011. Second quarter 2011 reports in the following areas were reviewed in detail by the committee: Infection Control, Nursing Home Infections, Falls, Medication Errors and Customer Service. The Flu Campaign for staff is underway. Strategic Planning Committee: The Strategic Planning Committee met on September 20, 2011. An invited guest spoke to the committee regarding the closed-unit dialysis and a patient being unable to choose a provider. The committee talked about the Chiller Farm and what the options were that HGA recommended. Coffey noted the current chiller farm still needs two 200-ton chillers to serve the cooling needs. The remodeling is finishing up at the recently purchased building located at 22nd Avenue and Yorkshire Drive. Final paperwork to establish the Home Medical Equipment business is completed. Coffey noted a Board consisting of three staff from Page 6 of 7 BHS and three staff from Avera needs to be created. The Board Retreat will be put on hold until the decision is made on the CEO Search. There were no action items from the committee. Finance Committee: The Finance Committee met September 19, 2011. Booher noted Phil Wagner updated the committee on the estimated costs of the skilled nursing facility. Horty-Elving was provided a budget figure of $10 million utilizing 60,000 square feet. Presently what is programmed is at 72,000 square feet at a cost per square foot of $153.85. Adding a 5% contingency and FFE the estimated costs are at $12,796,000. The Board requested that Horty-Elving come to the Board meeting in October to provide an update on the programming phase of the project. Booher brought forth one action item from the Finance Committee regarding designated funds. Timpe has been working on a proposal as a result of the auditors’ suggestion to have designated funds. The proposed plan could also save money when completing the Medicare Cost Report. The designated funds would show up under the noncurrent cash and reserves in the Balance Sheet. The motion came from Wicks with second by Brown. The motion reads as follows: The Board hereby directs administration to create a Board designated (depreciation fund) account on the books in the amount of $9,000,000.00 (nine million dollars). The monthly earnings from these investments should be added to the Board designated (depreciation fund). Withdrawals can be made, with Finance Committee approval, for property, plant or equipment acquisitions or principal payments on debt. Unanimous approval of the motion. Motion carried. New Business Veterans Administration Request for Proposal Coffey received an updated request for proposal for a new Eastern Veterans Home from the Department of Military & Veterans Affairs Office. The deadline for submission of a proposal is December 15, 2011. Coffey asked the Board whether they were still interested in submitting a proposal to the VA from the hospital. He noted the original projections that were done at the beginning of 2011 showed a construction cost of $5 million dollars and an annual operating loss of $300,000/year. He reminded the members that the numbers originally submitted assumed a cost, for replacing the nursing home of $9 million. Since that time, the cost of the nursing home has increased substantially, which now puts into question whether the hospital can still allocate the funds needed to pay for the cost of constructing the VA building as originally planned. Baker asked the question does the community want a VA nursing home. Johnston indicated from a physician perspective the needs of a VA patient (documentation) can be challenging. McKnight made a motion that BHS is not interested in submitting a Request for Proposal for consideration of the Eastern Veterans Home. Johnston seconded the motion. Vote: Jones, no, Baker, no, Booher, yes, Faltemier, yes, Johnston, yes, McKnight, yes, Whaley, yes. Motion approved. Jones noted the Mayor would like to attend the October Board Meeting to talk about the proposal, but he suggested that a small group meet prior to the full Board Meeting. A motion by McKnight that the Mayor meets with the entire Board and not a sub-committee. Johnston seconded the motion. The main discussion regarding this motion centered around the lack of available hospital funds to construct the VA building, and that there were many other projects that would take priority over the VA nursing home. Vote: Jones, no, Baker, no, Booher, no, Faltemier, yes, Johnston, no, McKnight, yes, Whaley, yes. Motion failed. Jones and Baker will meet with Mayor Reed to communicate the Board’s decision to not pursue the request for proposal on the VA nursing home. Renal Dialysis The Strategic Planning Committee met with John Mathison from Avera. Dr. Mathison is the Assistant VP of Medical Specialty Clinics. In light of Prairie Lakes Healthcare System (PLHS) changing all of their dialysis locations to closed units, Mathison brought his concerns to the SP committee. Coffey noted the current contract with PLHS is written with a 60-day out. McKnight asked where the division line Page 7 of 7 between the board reviewing contracts and the CEO’s role in contract review. Coffey responded that management was responsible for negotiating contracts but would seek assistance from the board members as needed. Coffey noted he will schedule a meeting with the CEO of PLHS to meet with the Strategic Planning Committee in October. Unfinished Business CEO Search Baker noted all the interviews have taken place. The Search Committee will meet on September 30th to bring forth a recommendation to the Board of Trustees. The following week a special Board meeting will be called to review the recommendation made from the Search Committee. Bylaws A draft of the revised Bylaws was presented for review. McKnight asked the members to review the changes during the next month and email her with any concerns/questions. A couple of points for discussion are Board compensation and city and county vacancies. Discussion of the proposed Bylaws will take place at the regular October Board meeting. HIT Grant Update Coffey updated the Board on the health information technology grant. At the June 9th Board Meeting, Sterud presented information on the technology grant that was submitted for funding between Brookings Health System, Avera and United Retirement Center/Avera. BHS received word the grant was approved and the award is $900,000 over a three year period. Conditions of the grant are not as stringent as originally thought and Coffey recommended to the Board that they accept the award. A motion by Johnston to accept the $900,000 Health Information Technology Grant along with the terms and conditions set forth in the grant. Faltemier seconded the motion. Unanimous approval of the motion. Coffey noted there would be a full time Project Director that will be hired to oversee the grant. The new position will be for the duration of the grant and will be paid from the grant dollars. Skilled Nursing Facility Update Discussed under Finance Committee report.
