Absent: Carole Johnson, and Roberta Olson. President Roberts called the meeting to order at 7:00 p.m. David Allen, representative of the Chancellor Group was contacted via conference call. He reported findings and recommendations from the November Board Strategic Planning Retreat. A summary of identified priorities was included in the Board’s advance agenda packet. Mr. Allen stressed the responsibility of the Board is to hold the CEO accountable to implement the outlined priorities without acting as management. The outlined priorities were reviewed and discussed in detail. Financial Report: CFO Coffey presented the October 2005 financials for Brookings Hospital, Home Health/Hospice Agency, Brookhaven Estates, and Brookview Manor. Statistical graphs were distributed. Ardelle Roberts questioned if income and expenses for the new MRI service can be tracked. Kevin Coffey reported allocations have been separated to show charges and to meter electricity used. Strategic Planning: Michelle Robbins reported the committee has not met since the strategic planning retreat. She distributed an information sheet to show facility Public Relations opportunities on local Daktronics scoreboards used for youth activities in the community and proposed the scoreboards be used to advertise facility services. She reported the scoreboards have the potential for reaching hundreds of thousands of people who represent the demographics we are targeting at a reasonable cost. The Board’s priority to burnish the facility’s image as discussed with the Chancellor Group report was noted. Following discussion it was recommended on a motion by Zeno Wicks and seconded by Dianna Evers that Vern Carda negotiate Brookings Health System facility advertising on scoreboards for Fishback Soccer Park, Bob Sheldon Baseball Field, and Larson Ice Arena. All members present voted in favor of the motion. Finance \ Personnel Committee: Dianna Evers reported from the minutes of the November 28, 2005 meeting. The committee reviewed the proposed 2006 budget and recommended the facility be more aggressive in making competitive increases in our charges wherever possible to generate additional funds to be invested back into the facility to make it a premier health care system. Kevin Coffee presented a proposed amended budget that showed more aggressive increases in charges for services. Opportunities for appropriate improved utilization of OT and PT services at BVM, adjustments to cover increased charges for heat, electricity and food at Brookhaven, and more competitive charges for hospital room rates and ancillary services were made. The proposed Salary Wage Schedule was reviewed and discussed. The recommendation to base future salaries on employees’ value to the organization and their regional or national market value was noted. The Capital equipment budget for 2006 was reviewed. Following discussion the committee recommendations were approved on a motion by Dianna Evers and seconded by Michelle Robbins. All members present voted in favor of the motion. The discussion and action about the facility Sick Leave Policy was reviewed. It was questioned if employees who can receive a payout for accumulated time should be required to use the accumulated hours first. The committee’s motion to cap salaries at current (2005) level was amended by Zeno Wicks. The motion was revised to recommend Vern Carda work with the facility attorney to draft a policy that reflects auditor recommendations to limit facility liability in the sick leave policy. The motion was seconded by Dianna Evers. All members present voted in favor of the motion. The committee’s motion for approval of the final MRI contract was noted. Following discussion, Dr. Ramsay abstained from the vote. All other members present voted in favor of the motion. Executive Committee: Ardelle Roberts reported from the minutes of the November 21, 2005 meeting. Dr. Cook has requested another meeting with the Board to discuss partnership opportunities. Following discussion it was recommended on a motion by Zeno Wicks and seconded by Rob Jones that Dr. Cook be invited to meet briefly with the Board in January 2006. Dr. Ramsay abstained from the vote. Dianna Evers voted no. All other members present voted in favor of the motion Multiple Medical Staff credential files have been found to be incomplete and will be brought to the December Board meeting. Multiple new medical staff applications are pending. The facility contract for emergency room physician services was discussed. Discussion of the Boards succession plan was tabled until December 22, 2005. Information System Discussion – Mark Criner, information management staff member, presented a power point program on the facility information system status. Kevin Coffey reported the facility non- repair / replace policy has resulted in multiple components of the information management system being outdated and at risk of failure. Critical issues were noted. Goals for converting facility programs from multiple individual computers to an application server were outlined. Following review and discussion it was recommended on a motion by Zeno Wicks and seconded by Dianna Evers that the 2005 budget be increased to allow the outlined necessary hardware upgrades be made. All members voted in favor of the motion. Comments Ardelle Roberts reported the City Council brought up the composition of the Board for discussion at their last meeting. They initially recommended two clinics have physicians as ex-officio members on the Board. Concerns that physicians who are not allowed to vote on issues would not be interested in attending Board meetings were noted. The majority of Board members polled support having one medical staff member as a voting member of the board to act only on behalf of the hospital. A draft description of Board of Trustee composition was distributed. Following review and discussion the draft was tabled to be reviewed at the next Board meeting.
