Student athlete, Kaitlin Lang, was chosen as the 2016 scholarship recipient. Lang is active in softball and is majoring in Psychology. Merkley noted the Executive Summary from SDAHO regarding the task force on ensuring access in vulnerable communities which was formed in 2015 concluded their work in June 2016. Task force members provided interesting data in the summary on what is happening across the state and nation. The task force felt strongly that Critical Access Hospitals are very important to maintaining access to high quality health care services in rural/frontier communities. 4 REPORTS Operational CEO Report From his report, Merkley noted the Full-Scale Disaster Drill went well and there was good participation from staff. The mock disaster was a charter bus crash with 30 victims which were brought to the Emergency Department and triaged through the drill. Outside of some minor opportunities to improve upon, Merkley feels confident Brookings Health System will be able to handle a disaster if it were to happen in Brookings. Merkley also noted the Mental/Behavioral Health discussion held at the City Council Study Session went very well and was a good exchange of information. CFO Report From his report, Lindemann noted the Business Office will soon be fully staffed. Even though staffing was down, billers were able to keep days discharged but not final billed (DNFB) at 18. The new Director begins his duties on October 31st. Lindemann also noted no construction project borrowing was necessary in October. A sub-committee has been formed to assist in the goal of moving Brookings Health System from a 4 Star facility to a 5 Star facility. As a 4 Star hospital, Brookings Health System is in the top 29% across the country. Hillestad also mentioned mandatory flu vaccinations for all staff are underway. Board Committee Reports Building Committee: The Building Committee met on October 18, 2016. Topics of discussion included the Hospital Expansion/Renovation, Schedule/Cost Estimate, Site Plan, Phasing and Yorkshire Eye Clinic. There were no action items. Merkley added the variances for the on-site and building signage were granted by the Board of Adjustment. 5 Finance Committee: The Finance Committee met on October 20, 2016. Topics of discussion included monthly financials which were approved, Business Office Staffing, MRI Contractuals, the Strategic Plan-Finance Pillar and the 2017 Capital Budget. Total capital requests are set at $1.3M which includes $247k in contingency for Meditech enhancements. A motion was brought forward from the Finance Committee to approve the FY17 Capital Budget. The motion was seconded by Englund. Action: All present voted yes; motion carried. Quality Committee The Quality Committee met on October 18, 2016. Topics of discussion included educational updates on the Hospital Acquired Condition Reduction Program, Hospice Quality Reporting Program and Brookings Health System’s Patient Experience Campaign. There were no action items. Strategic Planning Committee: The Strategic Planning Committee met on October 18, 2016. Topics of discussion included the Hospital Expansion/Renovation, Strategic Plan–Finance Pillar, BHS Health Insurance – Captive Option, Board Appointments and a surplus items related to the Hospital Project. A motion was brought forward from the Strategic Planning Committee to approve the MRI trailer be declared as surplus with a $0.00 value. The motion was seconded by Morgan. Action: All present voted yes; motion carried. OLD BUSINESS Physician Appreciation Event The Board of Trustees sponsored Physician Appreciation Event will be held the evening of November 2nd at Craft Fusion Restaurant. Merkley reminded members to attend if able. Dr. Holm will be honored for 35 years of service and three new physicians will be welcomed and recognized; Dr. Evans, Dr. Vossler and Dr. Bhat. AHA Rural Health Care Leadership Conference Merkley reminded members to inform Wiig if interested in attending the AHA Rural Health Care Leadership Conference. The Conference will be held February 5 – 8, 2017. Board Appointments Merkley shared Englund and Anderson have expressed their interest in continuing to serve on the Board. We are waiting to hear from the County and City regarding their reappointments. Baker has fulfilled his (3) three year terms and will need to be replaced as a City appointee. 6 NEW BUSINESS Medical Staff Credentialing A motion was made by Ellsworth, second by Booher to approve the credentialing and re-credentialing requests as recommended by the Medical Executive Committee. Action: All present voted yes; motion carried. Englund noted he saw a ruling was made by the South Dakota Supreme Court on the case of Dr. Allen Sossan. Dr. Sossan was a former surgeon in Yankton who committed fraud and negligence. The ruling states hospitals cannot be compelled to turn over materials gathered by peer review committees to assess the performance of a health care provider. Merkley noted the importance of provider credentialing and our own peer review processes in order to ensure the high level of quality medicine at Brookings Health System. 2017 Board/Committee Meeting Dates An initial draft of the 2017 Board and Committee meeting dates was provided. There is still time to make changes if needed. Officer elections will take place at the December Board meeting, as well as possible updates of Committee Chairs. “Movember” Basketball Game – November 11, 2016 Merkley mentioned the November 11th “Movember” basketball game will be sponsored by Brookings Health System and focuses on men’s health. Dr. Ellsworth and Dr. Bhat will be participating with us and promoting men’s health on behalf of the event. Members were encouraged to attend if able. STRATEGIC DISCUSSION Strategic Plan – Finance Pillar Lindemann presented an overview of the Finance Pillar which states “We will achieve profitability and strengthen the financial positon of Brookings Health System”. The five objectives were reviewed along with corresponding key accomplishments, as well as current results and recommendations. After discussion, a recommendation was made to redefine the pillar as Brookings Health System has achieved profitability over the last 5 years and is in a good financial position. It was suggested to remove Excess Margin and replace with Debt Service Coverage at a rate of 2.5% and an investment rate of return of 2%. The Operating Margin, Days Cash on Hand, Current Ratio and Net Days in AR will remain the same. Board members were in agreement with the recommendations and the updated Finance Pillar shall reflect the same for 2016 – 2018. The remaining pillars will be covered in upcoming board meetings. 7 EXECUTIVE SESSION A motion was made by Ellsworth, second by Anderson to enter into executive session at 6:45 p.m. in accordance with SDCL 1-25-2(1), discussing personnel. Motion carried. Members present were Sell, Wosje, Morgan, Anderson, Baker, Booher, Ellsworth, Englund and Peterson. The Board exited Executive Session at 7:10 p.m. and reconvened in open meeting. There was discussion about how the board should best handle some of its ongoing duties that are not now specifically assigned to a committee, with various alternatives being considered. A motion was made by Ellsworth, second by Anderson to establish an Administrative Committee. The responsibilities for this committee would include nominating functions, CEO compensation, board self -evaluation and other functions as may from time to time be identified by the board for this committee. The newly formed Administrative Committee will begin working on the CEO compensation and board evaluation immediately. Action: All present voted yes; motion carried. A motion was made by Morgan, second by Englund that Sell, Baker, Wosje, and Anderson be appointed to the Administrative Committee. Action: All present voted yes; motion carried. Morgan will review the bylaws and make suggested changes thereto for consideration by the board to incorporate the Administrative Committee.
