INFORMATIONAL ITEMS Three articles of interest were provided: “The Kiplinger Letter”, “You Need Partners”, and “Efficient purchasing habits linked to higher performance”. Merkley indicated the Kipling Letter provides a forecast of future changes that are coming for entitlements; Medicare, Medicaid, and Social Security. Also noted was the article on partnerships for efficient purchasing of supplies. Even small changes in supply efficiency can make a difference for hospitals and health systems, since supply‐chain spending accounts for hospitals’ biggest expense after labor costs. Brookings Health System is leveraging our purchasing power with our Group Purchasing Organization (GPO) Avera PACE Premier, Inc., one of the largest group purchasing organizations in the U.S. The more that can be purchased from a sole vendor the bigger the savings. 4 REPORTS Operational CEO Report From his report, Merkley made note of the Employee Engagement Survey that was conducted last month. There was an 81% participation which exceeded our goal of 80%. The results from the blind survey will be taken seriously and will provide opportunities to develop an action plan for areas of improvement. Results will also be shared with the Board. CFO Report From his report Lindemann noted Owens & Minor, which is a distributor of medical and surgical supplies, is now able to ship supplies directly to both the Neighborhoods at Brookview and the hospital instead of offloading supplies just at the hospital. This one change saves time, money, and keeps staff from having to reload onto pallets and deliver to NBV. Lindemann also shared the Medical Health Information department showed improvement in their Discharged Not Final Billed (DNFB) days which dropped from 23 in March to 21 in April and now down to 16 in June. The Business Office also improved the days in Accounts Receivable which are down to 57. These are both very good improvements for MHI and the Business Office. CNO Report From her report Hillestad noted EEG’s (Electroencephalogram’s), which detects electrical activity in the brain, are now provided in‐house by trained staff through our Respiratory Therapy department. EEG services were previously provided by an independent contractor which was not convenient for our patients. This has provided an improvement in quality and available services for Brookings Health System. In addition to her report, Hillestad informed the Board as of last Friday, Brookings Health System received notification that the White Care Center will be closing their doors in 60 days. The Care Center has approximately 30 residents that receive long‐term care. Tealwood Corporation, owners of the building, plan on keeping the building operational for the White Clinic portion which is located in the Care Center. A letter is currently being drafted to assure residents of White the clinic will remain open and Brookings Health System will continue to be a community partner. Board Committees Building Committee: The Building Committee met on June 18, 2015. The topics of discussion included the Hospital Expansion/Renovation, Volga Medical Clinic, and the Groundbreaking Ceremony. There were no action items. 5 Finance Committee: The Finance Committee met on June 22, 2105. The committee reviewed and approved the payables, adjustments, and financials for May. Other topics of discussion included the Project Financing. A motion from the Finance Committee recommending approval of a Charity Care case was seconded by Morgan. Action: All present voted yes; motion carried. Quality Committee: The Quality Committee meeting for June was cancelled. Strategic Planning Committee: The Strategic Planning Committee met on June 18, 2015. The topics of discussion included the Hospital Project Financing, Hospital Expansion/Renovation, Capital Campaign, RCHD Project, Safe Room, and the Northern Plains Health Network. There were no action items. UNFINISHED BUSINESS Capital Campaign Merkley provided an update on the status of the Campaign. We currently have commitments of approximately $1.5M that have been obtained during the silent phase. A few of the major asks are still under consideration. The team is trying to get as many of those requests wrapped up prior to the Groundbreaking Ceremony. Anderson, Merkley, and the volunteers are working hard to follow up with major donors. There is still a lot of work to be done, but we are optimistic that we will still meet our goal. City and County officials stated they are currently working through their budgeting process. Rural Community Hospital Demonstration Program Merkley stated that the Bill has passed out of the Senate Finance Committee and will most likely move through the House to the Ways & Means Committee. Merkley feels optimistic the 5‐year extension will be passed prior to sun‐setting on October 1. Letters of thanks have been sent to Senator Thune, Senator Rounds, and Representative Noem. NEW BUSINESS Medical Staff Credentialing A motion was made by Englund, second by Wosje to approve the credentialing requests as recommended by the Medical Executive Committee. Action: All present voted yes; motion carried. Northern Plains Health Network, LLC Merkley provided an overview and explanation of the Business Model Brief regarding Northern Plains Health Network and Accountable Care Organization Opportunities. Much discussion took place surrounding this topic. This is an important opportunity for Brookings Health System and others to develop a collaborative network to do many things jointly and help streamline health care. The network includes Brookings, Watertown, Huron, Madison, and Sisseton. Avera is planning to join the National Rural ACO and has asked Brookings Health System to consider joining their model. BHS could potentially be part of two ACO’s. The final application is due July 31st and the Network, if accepted into the ACO program, has until November 2015 to decide whether or not it will participate. There is an initial period of 3 years. We need to think about what’s best for Brookings and the community. Merkley asked the 6 Board to consider approval of Brookings Health System becoming a member of the Northern Plains Health Network, LLC as a corporate entity. We will make an initial capital investment of $1,000 and a subsequent investment of $5,000 to pay a portion of the consulting fees associated with the ACO application. Merkley and Rich Helsper will review the LLC’s Articles of Incorporation and Operating Agreement. A motion was made by Morgan, seconded by Englund to approve that Brookings Health System become a member of the Northern Plains Health Network, LLC as a corporate entity and the Board of Trustees grant authority to the CEO to negotiate appropriate changes to the LLC’s operating agreement on behalf of Brookings Health System. Action: All present voted yes with the exception of Ellsworth, who abstained; Motion carried. STRATEGIC DISCUSSION Hospital Expansion/Renovation & Financing Merkley presented Kraus‐Anderson’s phase plan for the duration of construction. Patient and staff parking areas were discussed as well as plans for the main entrance. Patients and visitors will continue to utilize the main entrance for as long as possible. When the main entrance renovation begins, patients will be directed to utilize the dialysis entrance on the southwest. In addition to developing the phasing plan, work has begun on power and data outlet locations and hardware and furniture needs. Merkley also provided recap of the financing meeting that took place with Jack Arnold and Toby Morris from Dougherty. Arnold and Morris did a good job in explaining the pros and cons and timing of obtaining financing. It was in the opinion of all that financing begin this year versus next year based on potential interest rate risk. Discussion also took place regarding FF&E financing.
