Merkley shared that today; November 20th, is National Rural Health Day. In recognition of this, BHS’s head Chef, Matt Pasco, prepared Peach Kuchen, the South Dakota State dessert. National Rural Health Day is an opportunity to “Celebrate the Power of Rural” by honoring the selfless, community-minded, “can do” spirit that prevails in rural America. It also gives us a chance to bring to light the unique healthcare challenges that rural citizens face. INFORMATIONAL ITEMS Two articles of interest were provided: “How Mobile Health is Changing Care Delivery”. Merkley noted that mobile health apps are not very prevalent in SD yet, however e-visits are becoming more popular. BHS’s IT department continues to investigate ways to develop our services from a technology standpoint, i.e. the MyHealth Patient Portal. The Patient Portal currently has approximately 400 active users. “Above? Below? Status Quo – Benchmarking Your Benefits”. The Human Resources team does a market analysis each year to show how BHS compares to other health care facilities. BHS is very competitive from a benefits standpoint and seems to be inline with what Avera and Sanford provide. BHS has a high utilization rate of health care which translates into a higher cost of insurance. The State of SD retirement plan is a great benefit in which BHS employees participate. For 2015, BHS will offer more choices with varying deductible and co-insurance amounts. BHS employees also can choose the HSA for the high deductible option. REPORTS Operational CEO Report From his report, Merkley noted that five (5) employees were recognized by their peers in October under the new program, Inspiring Local Health Peer Recognition. The employees received a BHS gift basket and recognition across the health system for going above and beyond as it relates to BHS’s Pillars of Success. CFO Report VanMeveren noted that all Department Directors have submitted a first draft of their 2015 operating budget. The process is very similar to last year in that all directors are responsible for creating and working their own budgets. All expenses have been laid out with justification of each. A rough draft will be completed next week for final adjustments. The Avera clinic has also been working on their budget with forecasts based on the providers and what they anticipate for visits and how that will translate into revenue. Merkley added that BHS is steering away from cost allocations to other departments. All departments need to know what their expenses are and who is responsible for them. In the end, this will make the cost reporting process much more accurate. VanMeveren also shared that the Health System is doing quite well. October YTD, BHS is on target with budget in operations. Gross revenue is up nicely due to higher volumes in several areas during the last few months. The Volga Clinic transition to a Rural Health Clinic (RHC) was recently approved by Medicare and will become an official RHC after it passes inspection by the SD Department of Health. The clinic will then become a clinic of BHS similar to the clinics in Arlington and White. Rural Health Clinics receive a greater 5 rate of reimbursement. Operations of the clinic will become final once the State Department of Health completes their survey. There is a specific set of guidelines and policies that are required in order to be considered a Rural Health Clinic. The Volga Clinic is open 1 ½ days per week with Rod King as the provider. He has a nice following and sees a fair amount of patients. Renewal of skills takes place every fall. Situation simulations included respiratory arrest and cardiac arrest case scenarios, as well as working with medications, disaster preparedness and several other skills and equipment practice. A learning environment provides for a higher level of comfort and confidence with the job the nurses are doing at BHS. The OR staff also completed a Sharp safety survey. A Glove indicator system is being considered which helps surgeons detect if there has been a break in their gloves. This is becoming standard practice for the protection of staff and patients. Flu Vaccination Program – As of today, there are 60 employees left to vaccinate. A reassessment will be done prior to the December 8th deadline. Board Committees Building Committee: The Building Committee met on November 17, 2014. The committee discussed the A/E selection and interview process. Englund reported that there were a total of 10 firms invited to submit their proposals, of those there were four that made the final list to be interviewed. After a competitive interview process, HGA Architects out of Minneapolis was chosen to work on the design portion of the upcoming project. It was not an easy decision as all four firms were very qualified. HGA has teamed up locally with Banner Associates to provide some civil work on the project. HGA’s healthcare experience stood out from the rest. The next step will be to begin the selection process for the Construction Manager. There were no actions items. Finance Committee: The Finance Committee met on November 18, 2014. The committee reviewed and approved the payables, adjustments, and financials for October. The committee also discussed and recommends approval for a 5% rate increase for private payers at The Neighborhoods at Brookview which will go into effect January 1, 2015. Action – motion to approve from the Committee, second by Englund. All presented voted yes, motion carried. Quality Committee: The Quality Committee met on November 17, 2014. The Committee reviewed Q3 2014 Infection Control Report, Patient Safety Report, and the Clinical Quality Report. An update on the Flu Vaccination Program was also given. There were no action items. 6 Strategic Planning Committee: The Strategic Planning Committee met on November 17, 2014. The topics of discussion included the Hospital Renovation, Board Evaluation Tool, CEO Evaluation, State Legislators, and the 2015 Board/Committee dates. There were no action items. UNFINISHED BUSINESS AHA Rural Health Leadership Conference Merkley reminded Board members that the AHA Rural Health Leadership Conference is coming up in February. Five Board members have expressed their interest. Merkley encouraged those who feel they can attend to please contact Miller. Registration will begin early December for the early bird rate. NEW BUSINESS BHS Board & Committee Meeting Dates A draft of potential Board and Committee meeting dates for 2015 was provided. The start time for the monthly Board meetings will be addressed in the Board Evaluation Tool. Medical Staff Bylaws Hillestad provided a list of modifications that have been made to the Medical Staff Bylaws. The bylaws were very outdated and did not meet certain required regulations. Dr. Sarah Smith served as the physician representative and worked closely with Hillestad to make the necessary updates. Title changes, Medical Staff Conduct, modifications to privileges, and general verbiage were among the changes. Another positive change relates to physician reappointments which occurred in the month of October in the past. Reappointments will now take place on their anniversary date. A motion was made by Peterson seconded by Wosje to approve the modifications to the Medical Staff Bylaws. All present voted yes, motion carried. Medical Staff Credentialing A motion was made by Booher, second by Morgan to approve the credentialing requests as recommended by the Medical Executive Committee. Action: All present voted yes; motion carried. STRATEGIC DISCUSSION Hospital Expansion & Renovation Merkley shared that all of the firms that were interviewed had done extensive CMR projects and had a lot of experience with the methodology. Confirmation was given that the CMR method will be the best process for the Brookings Health System expansion project. The Construction Manager RFQ will be developed with the assistance of HGA and will be sent out the first week in December. Merkley also noted that it will be important to establish an internal decision making and committee structure for the project. The physicians need to have the opportunity to be a part of the process as well. 7 Hospital on-site visits have begun. Merkley, Hillestad, and Karen Weber, ED Director, traveled to Sioux Center, Iowa to tour the new hospital which was also an HGA project. Everyone was very impressed with the facility and provided some great ideas that can be incorporated. Merkley encouraged Board members to attend upcoming site tours if time allows. Front end Capital Campaign work is in process. Anderson has drafted an initial case statement and will start to formulate other materials. Three different proposals have been received on the feasibility study. Financing We have engaged Toby Morris and Jack Arnold from Dougherty and Associates. Toby has worked extensively with the city and has a significant amount of experience in researching financing opportunities. Beireis excused himself at 7:42 p.m. VanMeveren is looking into all options to make sure that the hospital receives the best interest rate and source of funds for the project and for the city as a whole. Toby is looking into some potential creative options and tax credits for financing. Modeling VanMeveren stated that a piece of the financing will be to enter information into the forecasting model from Eide Bailly. The model provides a way to run different scenarios of financing to see the outcome of ratios and debt service coverage. Timeline It could take up to three to six months to come up with the right model for our financing. Once that is done, information will be presented to the City and public.
