Board of Trustee Members: Al Baker, Jeremy Beireis, Jim Booher, Daryl Englund, Ann Getting, Jim Morgan, Dick Peterson, Justin Sell, Walt Wosje; Ex-Officio: Keith Corbett, John Kubal, and Tom Yseth. Guests: Gavin Weber, Rehabilitation Services Director, Jason Merkley, CEO, Tammy Hillestad, CNO, and Sheri Miller, recorder. Baker called the meeting to order at 5:00 p.m. Recognition was given to Arne Brown who served as a Board of Trustees member since 2011. Arne was extremely helpful in the planning process for NBV. Baker stated that he is grateful for his contributions to the board.
EDUCATION Weber, Rehabilitation Services Director, provided an overview of the Rehabilitation Services Department. This department includes three sub departments; Physical Therapy, Occupational Therapy and Speech Language Pathology, with a total of 18 therapists. OT provides therapies for upper extremity, post-surgical, splint fabrication, fit and train adaptive equipment, home environment assessment, and many other therapies. PT works to treat and improve movement. This can include helping patients get out of bed, walk, throw, and also fit and trains assistive devices such as walkers, crutches, orthotics and prosthetics. Speech Language Pathology works with patients on several different speech and voice disorders. The therapy department services inpatient, swing bed, observation, HH, outpatient, and provides outreach services to neighboring communities. They provide services to approximately 55 patients a day that vary from pediatrics to geriatrics. Rehabilitation Services has received a 92.5% positive response on patient satisfaction surveys.

INFORMATIONAL ITEMS Two articles of interest were provided to the Board: “Doulas ease stress, increase satisfaction with birthing experience”, SDSU Research and “Medical advice without visit to a doctor”, Argus Leader. Merkley mentioned that Doctor’s Day is on March 30th. Flyers are up in the hospital in appreciation of the physicians providing quality healthcare at BHS. Please wish a Happy Doctor’s Day to any physicians you may encounter and thank them for their service to our community!
REPORTS
Operational CEO Report In addition to the information provided in his report, Merkley mentioned that BHS has engaged the assistance of an interim CFO, Mr. Gordy Forbort. CNO Report Hillestad provided more detail on the fact that BHS was named one of 2014 America’s Best Hospitals for Emergency Care by WomenCertified, Inc., home of the Women’s Choice Award. The selection for this honor is based on seven core quality measures for emergency care as rated by CMS. The award is a seal reserved for hospitals who partner with WomenCertified in its mission to empower women to make smart healthcare choices. BHS is one of 240 ED’s that were chosen from across the United States.

Board Committees Building Committee: The Building Committee met March 18, 2014. The main topic of discussion was the Sanford Jackrabbit Athletic Complex and the joint venture rehab opportunity with Sanford Health in the new complex. Discussions will continue on the joint venture opportunity with scheduled build out to begin this summer. Discussion of the Master Campus Plan will continue next month. Finance Committee: The Finance Committee met on March 19, 2014. The committee reviewed the payables and adjustments for February and the financials for January. February and March financials will be completed by the next board meeting. Quality Committee: The Quality Committee met March 18, 2014. The committee reviewed the BHS Customer Experience Report for the ED, Inpatient, Outpatient Surgery, and Outpatient Testing as well as the Hospice Quality Reporting Program. Strategic Planning Committee: The Strategic Planning Committee met on March 24, 2014. Topics of discussion included the Professional Services Agreement, BHS Outreach, and Recruitment.
UNFINISHED BUSINESS SD DOH Surveys SD Department of Health CLIA was on site to review BHS Laboratory. The result was only 4 minor deficiencies which are easily corrected. NBV recently received results from the survey conducted on February 19, 2014. NBV Administration is disputing one of the deficiencies that resulted in a “G” scope/severity on a skin related issue. Plan of correction and internal dispute resolution (IDR) paperwork has been submitted to the SD Department of Health and a hearing date has been set to review the “G” deficiency rating in order to determine accuracy of such determination. NBV will know the outcome of the IDR within 10 days post hearing. Committee Meeting Dates/April Board Meeting An updated listing of meeting dates was provided to the board. The April Board meeting will be rescheduled due to the SDSU Foundation event. Miller will send out an email on the suggested date.
NEW BUSINESS GPO Merkley provided an update to the board on the transition from our GPO Amerinet to PACE/Premier. May 31st is the expected start date with PACE. This change should save BHS approximately $80k per year in the supply spend/expense. BHS will continue to work with local vendors as it is important to keep those relationships. More information will come as the conversion date nears.

Medical Staff Credentialing A motion was made by Booher, second by Wosje to approve the credentialing requests as recommended by the Medical Executive Committee. Action: All present voted yes; motion carried. Inspiring Local Health – The BHS Story Hillestad provided information to the board on the Inspiring Local Health – The BHS Story campaign which began this year. A story written by an employee in the ED of an experience she had with a patient was included in the packet for the Board to read. Healthcare workers have many compassionate stories to tell and BHS wants to have a collection of them made into a book. We have asked all staff to share their stories if they so choose. The finished product (Inspiring Local Health – the BHS Story) will be shared internally as well as externally for others to read and understand the experience, commitment, and passion our employees bring to BHS.
STRATEGIC DISCUSSION Follow-up – Board Retreat A handout that summarized the Annual Strategic Planning Retreat was provided to the Board. Baker reviewed the specific areas of discussion.
EXECUTIVE SESSION A motion was made by Booher to move into executive session at 6:23 p.m. citing SDCL – 1-25-2. (1) Personnel. In attendance: Al Baker, Justin Sell, Walt Wosje, Jeremy Beireis, Jim Booher, Daryl Englund, Ann Getting, Jim Morgan, and Dick Peterson. Executive Session concluded at 6:40p.m. A motion was made by Booher, second by Sell to approve the 2013 incentive payment of $4,600 for the CEO and adopt the proposed incentive pay tables for 2014.
