Wicks, III, Walt Wosje; ex-officios: John Kubal, Keith Corbett and Ryan Krogman Guests: Lynne Kaufmann, BHS Home Health Hospice Department Director, Steve Lindquist and Dr. Matt Stanley, Avera Behavioral Health, Jason Merkley, CEO, Kevin Coffey, CFO, (excused at 7:13 p.m.) Tammy Hillestad, CNO, (excused at 7:20 p.m.) and Deb Davis, recorder Baker called the meeting to order at 6:01 p.m. EDUCATION Kaufmann, Department Director of Home Health, Hospice and HEARTH gave a presentation regarding her areas of responsibility within BHS. She indicated she oversees three areas: Home Health, Hospice and HEARTH. Home Health services have been certified by Medicare since 1985 and require an order from a physician or mid-level that needs skilled services such as a nurse or rehabilitation therapist. The patient also must be homebound. Examples of services that fall into this category include recovery after joint replacement, chronic heart failure and aftercare for circulatory or cancer surgery. Hospice provides palliative care not curative care. The service has been Medicare certified since 1995. Hospice provides care to patients with a terminal illness, with life expectancy of 6 months or less. Care can be provided wherever the patient calls home. The goal is to maximize comfort, ensure quality of life and physical and emotional support at end of life. Bereavement support for family for one-year following death of patient. BHS does not have a hospice house but does have a vast support team for the family to care for their loved one (nursing, social worker, chaplain, aides, volunteers). Health conditions that Hospice can serve include advanced cancer, cardiac disease, COPD, neurological conditions and other chronic diseases. Since 1986, HEARTH (Helping Elderly Adults Remain in Their Homes) has been in existence. The goal of care is to keep people in their own homes as long as possible. Care provided can range from housekeeping, meal preparation, errands, shopping, and personal care assistance to medication assistant and assessment of health condition. Kaufmann stated 2012 statistics surpassed previous records. Payment for services is contingent on many factors. Current staff consists of a chaplain, a social worker, 7 aides, 2 secretaries, 1 LPN and 10 RNs. The service area is 35 miles from Brookings and is licensed only in South Dakota. Merkley thanked Kaufamnn for her dedication and noted as the health care model changes, this department will play a critical role in the success and future of BHS. INVITED GUEST Invited guests Steve Lindquist, Assistant Vice President at Avera McKennan and Dr. Matt Stanley, Medical Director of Behavioral Health Services talked about the state of behavioral health. Lindquist provided information on national trends. He confirmed the Community Health Needs Assessment recently conducted by BHS, which Brookings is lacking in this area for providing enough support for the need. Lindquist indicated national trends show one in every five adults experience issues in mental disorders and substance abuse. It is the number one leading cause of disability in the U.S. The stigma associated with mental health is declining. People recover better when their treatment is focused on meeting their individual needs. Stanley noted mental health will become more integrated into health care, more people will have insurance coverage and the demand for services will continue to exceed the number of medical personnel available. There are new delivery models (i.e. ACO) that will change the way medicine is delivered. Avera Behavior Health currently employs 24 psychiatrists in Sioux Falls (8 of those are child psychiatrists), provides outpatient services, employee assistance programs, partial hospitalization services and addiction recovery program. Lindquist and Stanley were excused at 7:11 p.m. INFORMATIONAL ITEMS Several articles were included in the packet regarding robotic surgeries. Merkley noted that BHS has seen some early success from the robot and cases continue to add up and get scheduled. The equipment has also become a useful recruitment tool in attracting future surgeons to Brookings. Baker read a note of appreciation sent from Don Boone, Coordinator of the Volunteer Service Bank for the $5,000 contribution. REPORTS Operational CEO Report Merkley asked the Board to hold the afternoon of May 31st as the date the open house will occur for the new skilled nursing facility, The Neighborhoods at Brookview. Invitations will be sent out in the near future. CFO Report 5 of 7 Besides his paper report, Coffey noted medical records released over seven million dollars in claims. Activity has not been strong this past quarter but BHS is not alone as others throughout South Dakota are experiencing the same trend. The Board expressed their appreciation to Coffey for his years of service to the organization and wished him well in his new role as CEO at the Winner Regional Healthcare Center in Winner, SD. Charity write-off for the first two months of the fiscal year was $1,821. Fiscal year 2012 audited figure was $298,750, in 2011, $305,024, in 2010, $311,830 and in 2009, $284,470. Total cash disbursements for January totaled $4,278,316.78. Payroll and benefit expenses (excluding MRI and YEC) were $1,473,849. There were no action items. Building project continues to go well with no delay in the completion date. The demolition of the old nursing home and the remodel of the outreach space will occur simultaneously. Bids for the projects will be sought in the very near future with a project start date of July 1st. Finance Committee: The Finance Committee met March 21, 2013. A motion came from the Finance Committee, seconded by Sell to approve the bid from Omnicare for $172,738.68 to purchase four medication-dispensing units. The purchase will be funded in 2013 and 2014 ($100,000 in 2013 and $72,728.68 in 2014). A savings of $27,261.32 will result if approved. QI/Personnel Committee: The QI/Personnel Committee met March 19, 2013. The committee approved two new policies. Certification Award Policy and Military Training & Service Leaves of Absence. The Certification Award Policy supports staff in obtaining National Certification in their specialty area. The other policy, Military Training & Service Leaves of Absence, is to establish guidelines and provisions for reviewing requests for military training and service leaves of absence in accordance with the Uniformed Services Employment and Reemployment Rights Act (USERRA) of 1994. The annual summary of quality reporting for 2012 was reviewed. As a result of the recent SD Department of Health visit, the committee reviewed a quality assurance report on contracted services. Strategic Planning Committee: 6 of 7 The Strategic Planning Committee met March 19, 2013 to continue discussion of the PSA. The Department Director Retreat was rescheduled to April due to the recent visit by SD Department of Health. Outcomes from the retreat will be the Board’s Strategic Topic for April. UNFINISHED BUSINESS Department of Health Survey Merkley noted the Department of Health conducted a recertification survey on March 6th, 7th and 8th. The surveyors were very focused and found some areas of opportunity and improvement within the organization. Merkley’s goal for BHS is to have deficiency free surveys in the future and the organization is taking appropriate steps to achieve this in future surveys. The plan of correction for this survey has been submitted to the DOH with a completion date of April 20, 2013. DaVinci Robotic Surgery The event at HyVee on March 25th was very successful. A great job was done by the Surgery and Marketing areas. Five cases, using the robot, were done in March and so far, seven surgeries are scheduled in April. Merkley reminded the Board, the surgery and machine are FDA approved and numerous studies have been completed on the benefits associated with minimally invasive robotic surgery. Surgeons need to be credentialed and competently trained; however, as with all surgery, there are risks associated with each case and this holds true whether surgery is completed robotically or non- robotically. NEW BUSINESS Master Campus Plan A meeting has been scheduled with the original firm that conducted the master campus plan, done in 2007. Merkley will report his findings to the Building Committee. Chief Financial Officer – Interim / Plan The CFO position has been posted in several venues. A number of resumes have already been received. During the interim Merkley will have Coffey’s division report to him. Depending on the experience of the new CFO, restructuring of the organizational chart may occur. Part of the interview process may include an evening meal with two or three Board members. Medical Staff Credentialing Merkley summarized the process that takes place when medical staff are credentialed. Depending on specialty, medical staff committees review in detail all credentialing applications as well as review updated information on each applicant during the recredentialing process that occurs every other year, after their one-year provisional appointment. Merkley feels the Board needs to be aware and informed of any outliers during the process. He noted the medical staff is doing a thorough job in the recommendation/evaluation process but reminded the Board they are ultimately responsible.
