Wicks, III, Walt Wosje; ex-officios: John Kubal and Keith Corbett Guests: September Bessler, BHS Human Resource Director, Jason Merkley, CEO, Kevin Coffey, CFO, (excused at 6:50 p.m.) Tammy Hillestad, CNO, (excused at 6:50 p.m.) and Deb Davis, recorder Baker called the meeting to order at 6:03 p.m. EDUCATION Bessler, Human Resource Director for BHS gave a presentation regarding the role Human Resources plays in the organization. Bessler provided a summary of responsibilities for she and her three full-time staff. Statistics such as number of employees in the organization, wages paid, current turnover rate and worker compensation were also highlighted; noting healthcare typically has a higher female to male ratio (84%/16% at BHS). She summarized some of the enhancements HR has made in 2012 such as the Safety/Ergonomics Committee, implemented several quality standards for example, random drug screening for pre-employment and current employees and updated the current employee handbook. Bessler noted in 2013, 45 employees would be recognized for their years of service at BHS’s Employee Recognition Evening scheduled for March 1st. A live band will be the entertainment for the evening and Board of Directors and spouses are encouraged to attend. Bessler was excused at 6:18 p.m. INTRODUCTION/FAREWELL Baker welcomed Jeremy Beireis, who replaced Debra Johnston as the physician representative on the Board. Beireis indicated he has been in Brookings Community and an Avera Medical Group Brookings physician for the past three and one-half years. He is originally from North Dakota and did his residency in Sioux City, Iowa where he met and recently married, this past August, his wife. Deb Johnston was out of town and unable to attend this evenings meeting, but Baker summarized the many accomplishments during her six-year tenure she was on the Board, citing her compassion for quality and wanting the best health care for the community. Baker also noted the many undertakings the Board accomplished during Johnston’s tenure. Mentioning several land purchases, acquisition of three clinics, the remodel/expansion of Emergency Department and Laboratory areas and the inception of the new skilled nursing facility now named “The Neighborhoods of Brookview”. Baker clarified the committee structure to the full Board. The bylaws indicate three members are named to the four main committees (Building, Finance, QI/Personnel and Strategic Planning) however; anyone who wants to attend any of the committees can do so by contacting the chair of the committee. He noted as long as there is not a majority of members (more than 4) present at a committee meeting, the organization does not have to do a meeting disclosure. REPORTS Operational CEO Report Merkley called attention to the Medical Staff Leadership for 2013. Dr. Richard Gudvangen has been named Chief, Dr. Rebecca Vande Kop has been named Vice Chief and Secretary is Dr. Shelby Eischens. Merkley extended his appreciation, noting the roles require time commitment on all of their parts without monetary compensation. Merkley then noted one of the key issues in the current legislative session is the potential expansion of Medicaid eligibility. Governors and legislative bodies across the country are tasked with the decision of whether or not to expand their Medicaid eligibility standards consistent with the Affordable Care Act. Merkley noted if South Dakota Governor Daugaard proposes this, there would be an impact to BHS, but the degree of financial impact is not known. Merkley will continue to monitor. CNO Report Hillestad expressed appreciation to Dr. Jeremy Beireis for taking on an arduous task of conducting case reviews. Board Building Committee: The Building Committee met on January 15, 2013. There were no action items. Building project continues to go well with no delay in the targeted completion date of June 1st, of this year. Sell noted the committee’s focus would be spent planning for future building expansion and master campus plan prioritization. Merkley noted the glycol spill is cleaned up. The company took full responsibility for the spill and coordination between insurance companies is in process. Finance Committee: The Finance Committee met January 22, 2013. A motion came from the Finance Committee, seconded by Whaley to approve the surplus of ten beds. Merkley noted because of limited storage space, a similar request would come forth when the transition to the new skilled nursing facility occurs. QI/Personnel Committee: The QI/Personnel Committee did not meet in January. 7 of 7 Strategic Planning Committee: The Strategic Planning Committee met January 15, 2013. There were no action items but Merkley noted discussions regarding the professional service agreement continue. He noted paperwork is being received and evaluated as well as ongoing discussions. Next month the committee will be reviewing data and will determine if the PSA will continue to be pursued. Other discussion that took place was to invite the County Commissioners to be an ex-officio of the Board, similar to what is done with the City; currently two City Councilors are ex-officios of the Board. UNFINISHED BUSINESS Board Education Two Board members (Wicks & Wosje) and the CEO plan to attend the AHA Rural Health Care Conference that takes place in February. Conference reports will be presented to the full Board in March. Intuitive Surgical Next Steps Merkley indicated the contract has been signed and the equipment has arrived. Next steps involve physicians and staff members being a part of the rollout, which includes off-site and on-site training along with putting a marketing plan in place. NEW BUSINESS Dashboard – 4th Quarter The Performance Dashboard for the 4th Quarter of 2012 was presented. Merkley noted most of the performance scores are going in the right direction after coming off a great year in 2012. Merkley and Davis were excused at 7:27 p.m. EXECUTIVE SESSION Executive Session A motion by Wicks/Sell to move into Executive Session at 7:34 p.m. citing SDCL 1-25-2.(1) Personnel. Executive session ended at 8:35 p.m. A motion by Sell/Wicks to approve the recommendations by the Finance Committee, which included: the incentive pay for Jason Merkley for 2012, the base salary for Jason Merkley for 2013 as well as the incentive package offered for 2013.
