Wicks, III, Walt Wosje; ex-officios: John Kubal and Keith Corbett Guests: Tim Watson, BHS Diagnostic Imaging Director, Roberta Olson, BHS Foundation President, Jason Merkley, CEO, Kevin Coffey, CFO (excused at 7:42 p.m.), Tammy Hillestad, CNO (excused at 7:45 p.m.), and Deb Davis, recorder Baker called the meeting to order at 6:05 p.m. EDUCATION Watson, Diagnostic Imaging Director for BHS gave a presentation on the many different areas in diagnostic imaging. The 16-member team is cross-trained to do multiple modalities and is on call 24/7. The organization currently has a general radiographic room and a radiographic / fluoroscopy room; a portable C-arm; DEXA scanner, newly purchased wireless, portable x-ray machine (the new technology displays the image instantly with no processing film time); 16-slice CT (requested in 2013 capital budget to move to a 32 slice CT); MRI; ultrasound and nuclear medicine. Currently a radiologist is on-site 4 ½ days per week with night coverage provided by Nighthawk. Merkley noted imaging has many capital needs because of the advancement in technology. Watson was excused at 6:32 p.m. GUEST Olson, BHS Foundation President provided a quarterly update to the Board. She stated the Foundation Board meets monthly. Current members are herself as president, Ardelle Roberts, vice-chair, Jason Merkley, secretary and Bruce Lushbough. The original plan, as proposed by consult firm Hillary Lyons, was to create six different committees (Major Gifts, Special Prospects; Annual Support, Community Relations, Planned Gifts, Business Relations), the committee structure has been reduced to three committees (Community Relations, Business Relations, Special Prospects aka Prairie Nightingale’s). Olson noted with a new development officer, it takes time to cultivate relationships, but once relationships are established the board of trustees will be called upon to do gift requests. Olson invited the Board to a social with the BHS Foundation Board, the date has not yet been determined. Olson was excused at 6:40 p.m. Discussion continued about what the Board’s role is to help facilitate philanthropy. With a different concept of care for the nursing home, a consultant, Action Pact, has been hired to help with the staffing plan for the transition to the new skilled nursing facility. The firm specializes in skilled nursing facilities that have made the transition to the social/household model of care and staffing. The Community Health Needs Assessment is progressing. There is a challenge in obtaining data from the Department of Health, but the one-on-one interviews with community leaders and focus groups received good participation and are now complete. Merkley provided information on Initiative 15 that will be on the November ballot. The organization is creating a culture of giving. Two campaigns are currently underway, United Way and BHS Foundation, with a pledge goal of $18,000 between the two campaigns. Thus far, over $12,000 has been pledged. CFO Report In addition to the written report submitted, Coffey noted the new information management director started this week. He indicated with this being an election year, the outcome could bring many changes in healthcare. Charity write-off for September was $26,249, bringing the year-to-date amount to $235,759. Fiscal year 2011 audited figure was $305,024, in 2010, $311,830 and in 2009, $284,470. Total cash disbursements for September totaled $5,775,314.89. Merkley noted emergency department physicians are in high demand. An open house for the public to tour the Sleep Lab occurred this evening in an effort to increase public awareness. Board Building Committee: The Building Committee met on October 11, 2012. There were no action items. Building project continues to go well. Finance Committee: The Finance Committee met October 18, 2012. There are several action items. Due to the urgency of proceeding with re-roofing the hospital building before the weather changed, an email was sent to the entire board to electronically accept or reject the bids. There were six bids ranging from a low of $130,656 to a high of $230,440. The Finance Committee made a motion to accept the low bid from MJ Dalsin in the amount of $130,656. There were no action items. 6 of 6 UNFINISHED BUSINESS SNF Financing / Construction Update Merkley noted the Town Center is the only area that remains to be enclosed. The other buildings now have heat to continue working on the interior. Clark Drew Construction is doing a great job. SNF Name & Survey Results At the September Board meeting, each member was to provide one name of choice to determine the new name of the nursing home. From a marketing and brand awareness perspective, “Brookview” should be a part of the name. Merkley will take the naming suggestions to marketing and report back in November. BHS/SDSU Athletic Scholarship Sell updated the Board on the BHS Health Professions Scholarship in Athletics at SDSU. He noted the scholarship criteria would include all health related areas. The first recipient of the scholarship was awarded to Brittney Sip, a biology pre-med major. In the future, both the Board chair and CEO of BHS will be invited to the scholarship event to meet the recipient. NEW BUSINESS Tour New Skilled Nursing Facility The Board members toured the new skilled nursing facility. Much work remains to be done, but the anticipated completion date is still planned for June 2013. STRATEGIC DISCUSSION Strategic Planning Retreat A draft agenda was presented to the Board. Merkley outlined the process of the retreat. Dave Hewett will kick off the event speaking on health policy and the impact to Brookings Health System. Board Chair will present on governance. Merkley will moderate the retreat. The strategic plan will focus on the five pillars of success the health system is following (Financial, Growth, People, Quality, Service).
