Wicks, III, Walt Wosje; ex-officios: John Kubal and Keith Corbett Guests: Al Heuton and Victoria Blatchford, BEDC, Toby Morris (via phone), Dougherty & Company, LLC, Julia Angerhofer, BHS Marketing Director, Jason Merkley, CEO, Kevin Coffey, CFO (excused at 7:33 p.m.), Tammy Hillestad, CNO (excused at 7:33 p.m.), and Deb Davis, recorder Baker called the meeting to order at 6:02 p.m. EDUCATION Angerhofer, Marketing Director for BHS gave a presentation on what has occurred in her area the past year since she accepted the position. Marketing has two components, tactical and strategic. Both components are critical to the success of BHS’s marketing plan. Her key focus areas currently are the new skilled nursing home and quality. Angerhofer was excused at 6:22 p.m. GUEST At the June 2012 Board meeting a request was made from Brookings Economic Development Corporation (BEDC) for BHS to consider their continued participation and involvement for 2013. The Board requested BEDC come and present the donation request. Victoria Blatchford, current President of the BEDC, and Al Heuton, Executive Director of BEDC, provided an overview of what the BEDC has done the first 7 months of 2012. Heuton also outlined the four key focus areas of BEDC as well as a preliminary health care industry development strategy. The strategy included a flowchart showing how health care fit into the BEDC planning process and could potentially be rolled out for future discussion and planning purposes. Heuton noted that although BEDC cannot create services in the medical area, they can help grow the community, which will ultimately place needs for medical services in the community. He indicated a recent survey was completed from businesses in the community. Based on survey responses it is anticipated six hundred jobs will be brought to the community in the next 5 years. Baker indicated with Merkley being a part of the BEDC Board he will be able to communicate directly to this group the health care needs of BHS, especially since health care reform will play a major role in how communities address the future of health care. Blatchford and Heuton were dismissed at 6:49 p.m. A motion to approve the Brookings Economic Development Corporation’s request for $50,000 for 2013. Wosje/Sell. Board members will have the opportunity to hopefully view a finished room next month. Several specialty outreach physicians will now be providing medical services to the community, utilizing space at BHS. Dr. Brennan, an 5 of 7 independent allergist; Dr. Scott currently seeing patients at the Orthopedic Institute building, will begin seeing patients at the hospital two times a month. A plastic surgeon, Dr. Howard, will begin seeing patients in Brookings. There are two new physicians from Avera Medical Group Brookings. Dr. Teresa Oey-Devine, a general surgeon and Dr. Andrew Ellsworth, a family practice physician. Both are requesting privileges to the active medical staff at BHS. A joint conference committee meeting is scheduled for September. BHS received a health information exchange grant. Howard, Huron and Brookings, are the first three recipients to set up the health information exchange through a portal that will be housed at the state level for information exchange for other entities to access. Merkley provided a sample of the Health System Happenings. It is a communication tool that goes to all staff on a weekly basis. This tool is discussed every week by all staff through gatherings at different locations and time throughout the organization for 5-10 minutes. The information follows the five pillars that the organization uses to drive its course. The five pillars are: Finance, Growth, People, Quality and Service. The quarterly report to the City brought acknowledgement and appreciation of what the Health System Board and management team is doing at BHS. CFO Report In addition to the written report, the results of the 3rd Annual Aiming to Inspire Health sporting clays fundraiser on August 23rd raised over $17,000. Proceeds will go toward therapy equipment for the new skilled nursing facility. Accruals will begin being set aside for potential payout to staff based on the overall TeamShare scores. Since the beginning of 2012, both the financial and quality scores have consistently maintained the highest tiers possible, thus anticipation of dollars being paid to staff will now be earmarked. Results of the interim Medicare Cost Report audit resulted in the liability owed by BHS to be reduced on a monthly basis. An adjustment has been made to more accurately reflect the Medicare liability estimate. Charity write-off for July was $1,427, bringing the year-to-date amount to $209,580. Fiscal year 2011 audited figure was $305,024, in 2010, $311,830 and in 2009, $284,470. Total cash disbursements for July totaled $3,085,427.65. CNO Report Hillestad noted the Maternal/Child Committee supports the Baby Friendly Initiative. This is a 10 step program implemented over a four-year period. If successful, BHS would be the first OB unit in the U.S. to complete. Hillestad commented that the Brookings Health System’s OB Unit is the only OB program in the United States that has a post-partum doula program. Board 6 of 7 Building Committee: The Building Committee met on August 9, 2012. Brown noted Phil Wagner provided an update on the skilled nursing facility. Finance Committee: The Finance Committee met August 21, 2012. There were three action items. One bid received from a data hosting company, Clear Data in the amount of $211,716 per year for a period of three years. Original plans were to provide redundancy of computer data should a major disaster occur. Sell excused himself at 7:33 p.m. UNFINISHED BUSINESS SNF Financing / Construction Update At the July 2012 Board meeting, approval was given to move forward on negotiations with First Bank & Trust (FB&T) on the terms contained within the FB&T proposal. Merkley worked with Jack Arnold and Toby Morris, from Dougherty and Company, LLC. Morris, via phone, presented the findings. FB&T agreed to a slightly higher interest rate (three hundredths of a percent) for the primary deposit relationship to stay with Dacotah Bank. Based on discussions with Brookings Municipal Utilities (BMU) and Brookings City Manager, it was determined their projections for funding needs over the next three years 7 of 7 would allow BHS to enter into a non-bank qualified rate with FB&T with the assumption that the non- bank qualified rate will be converted within the next 3 years to a bank qualified rate based on the City’s debt issuance capacity.
