Wicks, III, Walt Wosje; ex-officios: John Kubal and Keith Corbett Guests: Jack Arnold (via phone) and Toby Morris, Dougherty & Company, LLC, Jesse Walsh, BHS Cardiopulmonary Coordinator, Jason Merkley, CEO, Kevin Coffey, CFO (excused at 7:19 p.m.), Tammy Hillestad, CNO (excused at 7:19 p.m.), and Deb Davis, recorder Baker called the meeting to order at 6:00 p.m. EDUCATION Walsh gave a presentation on the cardiopulmonary rehabilitation program at BHS. The program officially started in 1972 by physician Scotty Roberts. It was the first cardiac rehabilitation program in South Dakota. The program is medically supervised and is designed to help patients return to an active, healthy lifestyle and uses a multi-disciplinary approach that focuses on exercise, education and behavior modification. There are four phases to the program and it is designed for people who have or had heart and/or lung problems. Walsh also informed the group on the other wellness and community education activities that are planned as well as other recent programs. Walsh was excused at 6:23 p.m. GUEST Jack Arnold, via phone and Toby Morris from Dougherty and Company, LLC, presented the results of the request for proposals (RFP) on the financing of the skilled nursing facility. Baker recused himself and Wicks then chaired the discussion. The Finance Committee met on Monday and reviewed in detail the results, as compiled by Dougherty and Company. Seven banks received the RFP. Three banks responded to the RFP. Of the three banks, Dacotah Bank, First Bank & Trust and Wells Fargo, Dougherty and Company then did a side-by-side comparison of the 15 questions that were asked in the RFP. An Interest Cost Summary was shown that outlined the true cost of the loan and the importance of converting the loan from taxable to tax-exempt rates once there is bank qualified bonding authority in the City’s debt capacity. Motion from the committee was made: Based on the responses to the request for proposal from Dacotah Bank, First Bank & Trust and Wells Fargo; and the comparisons made by Dougherty & Company, LLC, the Finance Committee recommends going with the 15-year fixed interest rate option proposed in the First Bank & Trust proposal. (Booher/Brown). There was a concern about converting the primary deposit relationship as proposed within the FB&T proposal. Currently the City determines the banking relationship and the electronic funds 2 of 8 are set up with many third-party entities/payers for payments to go directly into the account, which is currently with Dacotah Bank. Wicks moved to amend the motion as follows: Amended Motion: Based on the responses to the request for proposal from Dacotah Bank, First Bank & Trust and Wells Fargo, and the comparisons made by Dougherty & Company, LLC, the Finance Committee recommends negotiations proceed with First Bank & Trust on the 15-year fixed interest rate option and terms contained within the First Bank & Trust proposal (Booher/Brown). Motion carried. Morris and Arnold will work with CEO Merkley to work through the terms and conditions. Morris and Arnold were excused at 7:11 p.m. INFORMATION A reminder the August Board Meeting will take place on Thursday, August 30, 2012 due to the BHS Foundation event on Thursday, August 23rd. An article in the Brookings Register recognizing the Home Health staff for performing in the top 25 percent of home health services nationwide for the past nine months as surveyed by auditing firm NRC Picker. Ninety-two percent of patients surveyed in the past nine months rated overall care by home health at a nine or a ten on a scale of zero to ten. Merkley noted the emergency department area is being utilized for specialty outreach clinics. In addition to CORE Orthopedics, an ENT and Allergy clinic will be serviced there. Brookview Manor received the results of the resident satisfaction survey. A fifty percent response rate was received and 20 out of 21 questions saw an increase in satisfaction with 91% recommending the facility to others. Merkley commended Jason Hanssen and his team for all the great work and results as indicated in the survey. This data will now be reflected in the TeamShare Dashboard. CFO Report In addition to the written report, Coffey noted a resignation was received from the IT Director, Brian Sterud. The position is now being advertised. Charity write-off for May was $46,159, bringing the year-to-date amount to $208,153. Coffey noted if requests stay on pace, it will exceed the 2010 charity figure. UNFINISHED BUSINESS Dialysis Update Transition from the dialysis service previously provided by Prairie Lakes Healthcare System and new provider Avera McKennan is now complete. New dialysis machines are being installed by Avera throughout the month of July. An additional chair is being proposed to increase the number of patients that can receive dialysis at the same time. Building upgrades are being made to be in compliance with the State code. A state visit is expected in the near future. BHS Foundation A donation of $5,000 was received from the family of John Gustafson and Dick and Theanne Peterson to purchase a blanket warmer for patients to use while undergoing dialysis. NEW BUSINESS BHS Performance Dashboard Merkley reviewed the recently developed Performance Dashboard. The Dashboard will come to the Board every quarter. The targets were based upon benchmarks from several reputable areas, such as Eide Bailly and CMS. It is also a tool for the Board to see trends and ask questions why something is trending up or down. STRATEGIC DISCUSSION Medical Staff Development Plan & Recruitment Merkley presented data about the present Active medical staff as well as projections of number of physicians to population base. Merkley noted BHS relies heavily on others from a recruitment standpoint and we should consider complimenting what is being done in order to accurately plan for our future and grow our relationship with those who may have an interest in Brookings. The topic will be discussed in more detail at the Board Retreat in November.
