Wicks, III, Walt Wosje; ex-officios: John Kubal and Mike McClemans Guests: Deb Thomas, Laboratory Manager (excused at 6:23 p.m.), Todd Meierhenry (arrived at 6:25 p.m.), Meierhenry Sargent, LLP, Jason Merkley, CEO, Kevin Coffey, CFO (excused at 7:44 p.m.), Tammy Hillestad, CNO (excused at 7:13 p.m.), and Deb Davis, recorder Baker called the meeting to order at 6:04 p.m. EDUCATION Thomas provided education to the Board about what the Laboratory Department does at Brookings Health System. The department is staffed 24 hours a day, seven days a week. In addition to providing services for the entire health system, other entities such as both community medical clinics, SDSU Student Health and Ambulatory Surgical Center have testing conducted at BHS. With a physician’s order, outpatient laboratory services can also be obtained in the facility. The newly remodeled lab has 9 testing sections: Chemistry, Hematology, Blood Bank, Microbiology, Urinalysis, Coagulation, Phlebotomy, Serology and Urine Drug Screen/Breath Alcohol Testing. Dr. Karla Murphy from Physicians Lab is the medical director. Thomas emphasized the importance of quality in the Lab and indicated every two years the department is audited by CLIA (Clinical Laboratory Improvement Amendment), which is regulated by CMS (Centers for Medicare & Medicaid Services). She noted in February the department was inspected and passed the survey. Thomas was excused 6:23 p.m. GUEST Todd Meierhenry, a bond attorney with Meierhenry Sargent, LLP , presented to the group the legal involvement necessary for the purchase of COPs (certificates of participation). Meierhenry provided an overview of his experience throughout South Dakota working 501(c)3 entities and municipalities, such as Brookings. He indicated the completion time is approximately 20 days once the size and scope of project is determined and the fiscal viability is determined. At that point Request for Proposals will be sent to banks in the community. Meierhenry noted since South Dakota has a constitutional borrowing limit for state and city municipalities, the certificates of participation is a viable way for public entities to build. He noted this type of financing is quite prevalent throughout the state. He stated now is a good time to seek this type of funding. Once dollars are secured specific requirements of the IRS code need to be followed throughout the duration of the note. Meierhenry was excused at 6:42 p.m. 2 of 8 INFORMATION Baker noted ordinance 07-12 was approved by the City Council. The payment the Board now receives will be considered self-employment income. From a planning standpoint, he wanted to make the members aware of the potential tax liability. He asked the Board to consider using a portion of the payment toward a donation to the Brookings Health System Foundation. In June the new Foundation Development Officer will attend the Board meeting and talk more about the Foundation and opportunity to donate. The construction crew working on the new facility is ahead of schedule. A press release was issued on May 23rd noting the change in management of the dialysis unit. Merkley indicated Avera has requested minor remodeling be done to ensure the unit passes survey certification. Rob Meese of HGA has been corresponding with Merkley regarding campus master planning. This topic will be discussed in detail with the Strategic Planning Committee for preparation of the Board Retreat. The third annual “Aiming to Inspire Health” will occur on August 23rd. The Board of Trustee meeting will be moved to accommodate the event. Merkley presented the Performance Dashboard. The dashboard, which will provide a snapshot of the organization’s key indicators, will be presented to the group on a quarterly basis. The targets were based on the historical performance of the facility as well as data obtained from the yearly audit done by Eide Bailly. CFO Report In addition to the written report, Coffey indicated Yorkshire Eye Clinic will be undergoing a face-lift by installing new carpet and furnishings. Charity write-off for April was $31,559, bringing the year-to-date amount to $93,266. Fiscal year 2011 audited figure was $305,024, in 2010, $311,830 and in 2009, $284,470. Cost estimates were presented by Wagner to repair the existing sidewalk and curb to be ADA compliant on the recently purchased building, Yorkshire Plaza. Once the request for proposals are returned, which Doughtery & Company will send out and present to local banks, Todd Meierhenry will be the legal representative for Brookings Health System/City of Brookings to complete the necessary paperwork. A motion from Whaley/Faltemier to move forward with the proposal from Dougherty & Company to be the financial advisor of the COPs financing and engage Todd Meierhenry as legal counsel for the process. The proposed practice, as recommended from the Infection Control Committee, is to put accountability back to the employee by showing proof they are immunized from MMR and if proof cannot be shown, the new hire needs to be vaccinated/tittered, at their expense. NEW BUSINESS Annual Board Retreat Based on the results of the calendar scheduling, it was decided the Strategic Planning Retreat would be two half days in November, the 2nd and 3rd. UNFINISHED BUSINESS Future Financing / Campus Master Plan Merkley noted there were no updates. Dialysis Update Merkley noted the Brookings Register printed an article about the upcoming transition to Avera within the on-site dialysis unit. There were no further updates. Coffee with the Mayor Baker and Brown (representing Wicks) each attended separate meetings with the Mayor. Brown commented the meeting he attended was informative and hoped the meetings would take place on a frequent basis. Sell agreed by saying the health system needs to be part of the strategic conversations.
