Baker called the Hospital Board of Trustee Meeting to order at 6:00 p.m. Education Tammy Hillestad presented to the Board, BHS’s Journey to Excellence. Healthcare is changing and future reimbursement will be based on how well BHS and other non- critical access hospitals (CAH) do on providing quality care. Since BHS is not a CAH the organization must compete with all other facilities that are not CAH. The overall goal is to be the provider of choice for those in the community. Tools are in place, such as the patient satisfaction scores, to help monitor the progress made. To assist the organization to thrive in this changing healthcare environment, Studer was the vendor of choice, since it meshed with the uniqueness of BHS. Hillestad noted a core team has been working for several months rolling out the program. There are three phases (build a foundation; implement the tactics and align the processes) and five pillars (Service, Finance, Quality, People, Growth) of the program. Hillestad noted the journey will be long, but is confident BHS will attain the goal, to hardwire excellence and be the community’s provider of choice. Informational Whaley noted she attended the 2nd Annual Rural Leadership Conference. Booher and Faltemier indicated they attended the SD Independent Trustee Conference. All indicated both conferences were very educational. Reports Operational CEO Report Page 5 of 7 Merkley noted the CFO and CNO will include in their monthly reports information that will include happenings in the areas they oversee. Highlights of the CEO report included an update on the skilled nursing facility, noting the bid opening will occur on March 15th. The TeamShare plan approved last month by the Board is being rolled out to the employees via the department managers. The Department of Health accepted the plan of correction. The outpatient therapy area will move to its new area April 1st. The White Healthcare Clinic will open as BHS White Healthcare Clinic on April 1st. The annual Employee Appreciation event will be March 30th at the Swiftel Center, with entertainment provided by The Cavern Beat, a Beatle’s Tribute Band. The recently acquired building located at 22nd and Yorkshire will officially be called Yorkshire Plaza. CFO Report Coffey provide the Board Cash Flow Projections as the committees look at growth. Charity write-off for January was $18,675. Fiscal year 2011 unaudited figure was $305,024. Fiscal year 2010 Charity write-off was $311,830 and in 2009 Charity write off was $284,470. CNO Report Hillestad noted BHS participated in the 3M health fair and now provides speech therapy services to Flandreau Indian School. Board Building Committee: The Building Committee met on February 9, 2012. There were no action items. Finance Committee: The Finance Committee met February 16, 2012. A motion came from the Finance Committee to approve the bid received from GE on a mobile digital radiography system in the amount of $193,500. QI/Personnel Committee: The QI/Personnel Committee did not meet in January. Strategic Planning Committee: The Strategic Planning Committee met on February 1, 2012. There were discussion items only. Page 6 of 7 New Business AHA Conference/Environmental Assessment Four Board members attended the 25th Annual Rural Health Care Leadership Conference in Arizona at the beginning of February. Baker commented the conference was excellent. He noted one of the presenters that discussed Strategy and Metrics for Improved Performance indicated a board should spend at least 60% of its time on strategic issues. The BHS strategic planning retreat is scheduled for September, which may incorporate some of the ideas presented at the session. Baker also commented on a session devoted to prioritizing the patient experience, which was presented by a well recognized MD that stated the doctor group must be involved and help lead the push for better service for it to be successful. Merkley indicated many of the sessions talked about collaboration. Merkley also commented BHS needs to do research to understand more about their service area and the needs associated within such area. BHS will strive to conduct a community needs analysis over the next 6 months. Unfinished Business Dialysis Update Merkley noted he has received communication from all four of the facilities that received the request to provide dialysis service at the hospital for those in the community and surrounding areas (Avera, Davita, Prairie Lakes and Sanford). Since the BHS Board of Trustees wants the dialysis to be an open unit, where all qualified nephrologists can use the service, Merkley asked the Board if there were any other criteria or recommendations from the Board prior to pushing forward with a new provider. Wicks made a motion that the CEO has the discretion to do what he feels is in the best interest of BHS and to bring back to the full Board such recommendation. Whaley seconded the motion. BHS Bylaws At the January meeting Baker noted BHS’s legal counsel, Rich Helsper, needed to review the revisions in the Bylaws before they are adopted. Merkley communicated Helsper’s legal comments. Helsper noted based on the city ordinance, Board compensation is not allowed at this time and in order for this to occur, the ordinance would have to be changed by City Council authorizing payment to Board members. A motion by Wicks to take the line item to City Manager Weldon to propose to the City Council that the wording be changed authorizing compensation to Board members. Whaley seconded the motion. Chamber Resolution Page 7 of 7 At the January Board meeting the Board asked Merkley to review the language of the resolution as presented by Susie Ryks, Chamber Director, regarding use of local providers for professional services. Merkley presented a draft of the resolution pertaining to the procurement of professional services for Brookings Health System as drafted and proposed by the City of Brookings City Manager Weldon. A motion by Wicks/Faltemier to approve the resolution as presented. A motion by Whaley/Johnston to table the motion pending City Council review and approval. Motion tabled.
