The agenda as presented would then be followed. Introductions were made. Julia Angerhofer, the new Marketing and Public Relations Specialists, introduced herself to the group. She is a graduate of SDSU and the past 14 years has worked at Daktronics. Julia was excused at 6:08 p.m. Informational Items Jones called the Board’s attention to the Rural Health Care Leadership Conference scheduled for February 5 – 8, 2012. He noted Board members have attended this conference in the past and it is one of the better conferences he has attended. Motion carried. Reports Operational CEO Report: The computer upgrade (Meditech 5.6 conversion) went seamlessly. A ribbon-cutting ceremony was held on June 3rd in recognition of the completion of phase one of the campus master plan, the emergency department and laboratory expansion. On June 4th a community-wide open house that included a tour of the hospital and the remodeled areas was held. One year ago Brookings Health System purchased the Arlington Medical Center. An open house was held June 8th. The event was well attended, with approximately 100 people enjoying Root Beer floats and cookies. Toured Russian Delegates through the newly expanded Emergency Department and Laboratory areas of the hospital. New equipment is in place that does ABI (ankle brachial index)/Vascular screenings. ABI screens for peripheral artery disease (PAD) in the lower extremities. It was determined re-zoning of the building at 100 22nd Avenue was not needed. A Weight Watchers at Work program is being offered to employees. CFO Report: Timpe summarized the May financials. He noted May was the first month the organization did not make the budgeted corporate profit. This resulted in a Corporate Net Income for May of $1,399. Wages and benefits were at 59.8% of net revenue from a budgeted 58%. Charity for May $11,420 with year-to-date deduction of $51,682. Fiscal year 2010 Charity write-off was $311,830 and in 2009 Charity write off was $284,470. Total cash expenditures for May totaled $2,899,327.86. CNO Report: A Safe Sitter Class was held with 15 participants completing the course. Another class is being planned for Fall. First graders throughout the community toured specific parts of the facility. The tour is sponsored and organized by the Auxiliary. An implementation plan has been developed to attain recognition for the OB Unit to meet “Mother Friendly” criteria through the Coalition for Improving Maternity Services. A pediatric therapy clinic for children ages infant to 21 with special challenges is now available. The primary focus is occupational therapy but does include physical and speech therapy. Speech camp is also being offered for children ages 4 – 11 in need of additional speech and communication development. 5 of 7 Board Executive Committee: Did not meet in June. Finance Committee: Wicks presented the Finance Committee report. The committee met on June 21, 2011. There were two recommendations from the committee. A recommendation by Brown, seconded by Wicks that the facility would reimburse employees $20.00 per month for gym reimbursement provided the employee could document 10 visits per month. Motion carried. The Committee discussed how many dollars should be set aside for the new skilled nursing facility. A motion by Brown to meet with the mayor, two city councilors, two county commissioners and two board of trustee members regarding the skilled nursing facility project. Johnston seconded the motion. Brown volunteered to be one of the members. Unanimous approval. Motion carried. QI/Personnel Committee: The QI/Personnel Committee met on June 9, 2011. The first quarter statistics on falls, medication errors and acquired infection frequencies were reviewed. HR Manager, Bessler, talked about the Weight Watchers at Work program as well as the Gym Reimbursement. A recommendation from the Committee to approve the two items provided Finance Committee approves the dollars to fund the Gym Reimbursement program. Bessler also noted HR is currently doing OIG background checks on new hires to check for abuse and neglect. She proposed this be expanded to conduct criminal background checks on all new hires. Since BHS is a city owned municipality, there is no charge for the service. The committee also recommended all currently employed staff have a criminal background check done. Bessler then presented a draft copy of a new policy, Social Media. The policy will be brought back to the committee with a recommendation to approve the policy once the suggested changes are made. Strategic Planning Committee: The Strategic Planning Committee met on June 14, 2011. Items are discussed under New and Unfinished Business. New Business Funding Options Toby Morris from Northland Securities provided an overview of what his firm does. The City of Brookings used this firm recently in their restructuring of debt. Northland Securities will find the best outcome for the company (Brookings Health System) seeking funding by matching the company with a lending group that is willing to provide the funds. Morris noted BHS has a large sum of cash but it is also important to maintain a healthy margin in order to continue the day-to-day operations of the organization as well as move forward with the other phases of the master campus plan. Morris indicated being a city owned hospital complicates any type of funding. He indicated borrowing done by a city entity is unlike borrowing for a house loan since you cannot put a mortgage on city property. Morris discussed two considerations, a bond and a loan. Bonds are sold to the public, therefore, they require substantial supporting documentation, a determination if a bond rating is desired and substantial fees to prepare the disclosure document. A loan through a bank is the other option. Morris noted due to the new banking regulations in place, a bank does not always find borrowing to a city hospital appealing, but it is often the most efficient way of financing and is less restrictive than a bond. Morris indicated because of the amount of paperwork, the timeframe to complete takes several months. Morris was excused at 7:18 p.m. Helsper excused himself at 7:58 p.m. 6 of 7 Unfinished Business Project Representative’s Update Wagner presented updates on the following items: re-roofing the hospital, chiller farm, remodeling of building located at 100 22nd Avenue and skilled nursing facilities. Re-Roof the Hospital – Wagner presented two options. Re-roof the north and south circles as well as the main section of the original building. The TREMCO series had three options 1) a new roof membrane with a 25 year life expectancy; 2) a new roof with a 30 year life expectancy or 3) a new roof with a 35 year life expectancy. The second option is installing a VERSICO series new roof with a 25 year life expectancy. Wagner noted the VERSICO option would re-use the existing ballast and insulation and would have less disruption during the replacement. Coffey noted the 2011 budget included $100,000 to replace the roof over the hospital. A motion made by Whaley/Wicks to bid out for the roof replacement with a timeline to be complete before it snows. Johnston added to the motion the dollars should not exceed the minimum estimate received of $107,569. Whaley agreed. Unanimous approval. Motion carried. Wagner noted the specifications for the roof need to be written. He noted Banner could write the specifications for $20,000 - $25,000. A motion by Whaley/Johnston to go back to Banner and negotiate the price. There was discussion how the price was determined, since it was almost 20% of the total project. Whaley withdrew her motion. A motion by Whaley/Johnston to give authority to the Executive Committee to decide how and who will write the specifications so the legal posting requesting bids for the roof project can be publicized. Unanimous approval. Motion carried. Chiller Farm - Wagner has evaluated the existing equipment, taking into account the age of the facilities, the current electrical panels and the efficiency of the existing units. Based on the complexity of the issue, he is recommending the Strategic Planning Committee evaluate the short term and long term needs of the entire campus, especially since a new facility is being considered in order to make a decision which will provide for future growth. A motion by McKnight/Faltemier to have Strategic Planning Committee bring back a recommendation to the full Board. Unanimous approval. Motion carried. 100 22nd Avenue – Approval has been received from the City Engineer regarding zoning to proceed with selling medical products at this site. Remodeling of the main floor of the building is now underway to accommodate selling durable medical equipment. Mills Construction is doing the work. Skilled Nursing Facility – The contract to hire Horty-Elving as the architect for the new skilled nursing facility (SNF) has been signed. The SNF Building Committee has toured three skilled nursing facilities in Minnesota that Horty-Elving designed. Horty-Elving will be on site next week to begin the programming phase of the project. Once the scope of the project is defined a budget can be determined. Other items that have been completed are the site survey and the wetlands study. The outcome of the wetlands study determined since less than 1/10 of an acre of land is impacted there are no major steps that need to be taken on the land. Nursing Home Building Committee Brown summarized his findings during the tours of the three skilled nursing facilities that Horty-Elving designed. He noted it is a good experience to hear first hand from staff things that work well and things that they would change if they could do it all over again. Pictures were shared. Brown was concerned that there may not be enough land and felt more time is needed to evaluate. Whaley commented the Board made a decision which was to move ahead with the new facility. Coffey noted the architect has been hired and the programming phase will help bring focus to the project. Wagner informed the members that the existing nursing home is in need of repairs that would run approximately $1 million dollars, which includes $300,000 for a new sprinkler system. Coffey noted a letter by the Board’s Chair was sent to the South Dakota Department of Health (SD DOH) asking for a waiver to not install a 7 of 7 sprinkler system in Brookview Manor in lieu of building a new facility. McCaskell, Medical Facilities Engineer with SD DOH is recommending to Centers for Medicare & Medicaid (CMS), Denver office, that a time based waiver will not constitute a significant risk to the safety of the residents. Timpe presented a projected cash flow statement covering the time period 12/31/10 through 12/31/15. Based on a number of assumptions taking the cash balance at the end of 2010 of $19,298,625, and carrying the numbers out, at the end of 2015 after expending $6.26 million for a new nursing home would leave and estimated cash and investments balance of $16,813,625. Baker noted this data is a great start and would like to see the projections in more detail and include the entire master campus plan. CEO Search Update Baker who is chairing the CEO Search Committee indicated 25 applications have been received thus far. HR Manager, Bessler is screening the applications to ensure the candidates meet the qualifications that the Board approved. Based on the criteria, there are 10 applications that qualify. Financial ROI Update Jones has not had an opportunity to follow-up with the City regarding return on investment dollars. By-Laws Sub Committee A meeting date and time is being established.
