At a previous meeting, the Board requested a meeting with senior management from Avera. Rob
Jones, Chairman, called the special Board meeting to order at 6:10 p.m. There were two other
items under old business also addressed.
Old Business
Property Purchase
Wagner provided an update on the minor remodeling that is needed at the recently purchased
property located at 100 22nd Avenue. Jones noted the re-zoning of the building is being reviewed
by legal. Reed noted there would be different zoning and code requirements.
Nursing Home
Wagner indicated Jeri Zuber from Horty-Elving was out of the office last week. The contract is
expected to be received sometime the second week in May. The plan is to use the AIA document
and modify it to fit the architect’s need. The engineers have been given the authorization to do a
wetland study and soil boring on the site location where the nursing home would go. Banner is
working on a drainage pond.
At 6:33 p.m. a motion by Johnston, seconded by McKnight to move into executive session citing
SDCL 1-25-2(5), Marketing.

Executive session ended at 8:37 p.m.
Present: Chair Rob Jones, Vice Chair Al Baker, Jim Booher, Sandra Faltemier, Debra Johnston,
MD, Teresa McKnight, Julie Whaley, John Kubal, ex-officio and Mike McClemans, ex-officio,
Kevin Coffey, Interim CEO, Tammy Hillestad, CNO, Dave Timpe, consultant, Phil Wagner,
consultant and Deb Davis, recorder.
Coffey noted there is a potential to partner with Avera and United Retirement Center/Avera on an
information technology grant. There was a meeting May 6 with key individuals. All of the
specifics of the requirements of the grant are still being uncovered, but there is potential to
receive a grant of $900,000 divided evenly between the three entities over a three-year period. A
motion was made by McKnight, seconded by Faltemier to put a proposal together for the
Strategic Planning Committee to evaluate if the partnership would be advantageous to Brookings
Health System. Since the deadline for the grant occurs before the next scheduled Board meeting,
there may be the need for an electronic vote. There was unanimous agreement. Motion carried.
Jones polled the Board members as to how they want to proceed with the planning of the new
nursing home. He asked if there needed to be a separate Board committee to oversee the project.
A motion by McKnight to recommend names of key individuals to be a part of the committee and
bring the information to the May 26 Board meeting. Faltemier seconded the motion. There was
unanimous agreement. Motion carried.
A motion by Baker, seconded by Johnston to adjourn the meeting at 9:56 p.m.
