Total $ 1,905,089.68 Unanimous approval. Motion carried. Reports Operational CEO Report: Coffey presented the CEO Report for April. Coffey attended a SDAHO Board of Trustee Monthly Business Meeting. At the May 26, 2011 Board meeting Eide Bailly will present the year end audit to the full Board. A job offer has been made to Jason Hanssen for the Nursing Home Administrator. His start date is May 31st. Closing on the property at 100 22nd Avenue was finalized on Wednesday. Rocky Hayes last day on the job was April 15 as the Marketing/PR manager. Interviewing for the marketing position will begin next week. CFO Report: Timpe summarized the March financials. He noted for the third month in a row the organization exceeded the budgeted corporate profit by $118,417, which brings year-to-day figures to $285,262. Contractuals were right on at 39.4%. Timpe indicated the managers are doing a good job in managing staffing in their areas by responding to the changes in census. Wages and benefits were at 54.3% of net revenue from a budgeted 58%. Baker inquired if the CEO’s salary is budgeted for 2011. Timpe stated the interim CEO is drawing on this; however, the CFO’s wage is not being drawn on. Charity for March was low at $497 with the year-to-date deduction of $6,225. The new charity policy in now being implemented. Fiscal year audited 2010 Charity write off was $311,830. Total cash expenditures for March totaled $2,984,326.68. Payroll and benefit expenses (excluding MRI and YEC) were $1,486,730. March and April have averaged 17 patients per day which is up from a five-year average of 13. Radiology and nursing are working collaboratively to improve the care of the patients undergoing breast ultrasound biopsies. Program enhancements will be additional support and education prior, during and following the procedure. Programming meetings are underway to evaluate the most appropriate use of anticipated vacated space within the hospital. A meet and greet luncheon was held for BHS’s new chaplain, Gregg TeBeest. Board Executive Committee: The Executive Committee met at 1:00 p.m. on April 21, 2011. There will be another Board Meeting scheduled for Monday, May 9, 2011 at 6:00 p.m. There will be one main agenda item. Fred Slunecka from Avera McKennan will be present to talk about joint ventures and nursing homes. Jones also shared remarks he had with Brad Schipper from Sanford Health earlier in the week. Schipper stated Brookings has a well managed independent facility and will hold up well to the changes that are taking place in healthcare. He expressed an interest in pursuing joint ventures with BHS. A Joint Conference Committee is scheduled in May between the Medical Executive Committee and the Board Executive Committee. Jones indicated many of the other discussion topics will be discussed under New and Unfinished Business. Finance Committee: Booher presented the Finance Committee report. The committee met on April 21, 2011. The committee brought forth two recommendations which are addressed under New Business. Wicks suggested a sub- committee be formed to bring forth a recommendation to the full Board about fiscal responsibility and the nursing home. How much can the Health System afford to invest in the nursing home and still maintain stability to keep the operations stable. McKnight asked that the BHS Foundation step up to the plate. Whaley indicated that both the City Council and County Commission need to financially assist in the mission. Wagner provided an update on the chiller farm. There are currently four chillers. One is no longer operational and another one is over 30 years old. Wagner is recommending a 225 ton be purchased to replace the 90 and 100 ton units. Wagner is searching specs to send out for bids. Summer is approaching and if the unit was purchased two week ago, it would not be received until July 8th. Coffey is checking with HGA to determine the load that would be placed on the chillers in light of the pending nursing home build. Motion by Wicks to authorize the purchase of a 225 ton chiller. McKnight seconded the motion. Unanimous approval. Motion carried. Wagner also is obtaining a second opinion on the second floor roof area. He will bring back a proposal once this is obtained. Coffey noted there are dollars in the 2011 budget for both items; however, some of the dollars will have to come from the contingency dollars in 2011. Q/I Personnel Committee: The QI/Personnel Committee met on April 14, 2011 to review the most recent NRC Picker results. The tool has been a good instrument thus far. The report provides items that can be improved but also items that should continue to be in place. The HR manager, September Bessler, who assumed her duties in November of 2010 conducted an assessment of her area and made a report to the committee. High priority items in 2011 include evaluating the current timekeeping system as it does not communicate well with the Meditech system. Evaluating and updating the HR policies as well as the employee handbook. There were no action items. Strategic Planning Committee: The Strategic Planning Committee met on April 12, 2011. Jones was unable to be present. Baker and McKnight reviewed the video tape of the City Council’s special meeting, which unbeknownst to the Board members that they were to attend the meeting on April 5. Coffey then updated the members of items happening in the hospital and are addressed under Old Business. 6 of 7 New Business Construction Manager Selection for the Nursing Home Project Discussed in executive session. Presentation on April 26, 2011 to City Councilors A PowerPoint was sent to the city clerk for the meeting on Tuesday, April 26th. Brookings Health System was asked to present on their quarterly financials and recent activities of the hospital. Bids – Nurse Call/TV System One bid was received for a nurse call system from United Technologies for $132,995. The line item budgeted amount in fiscal year 2011 was $175,000. Motion from Wicks, seconded by Booher to approve the expenditure in the amount of $132,995. Unanimous approval. Motion carried. The TV system, which integrates into the nurse call system, was received from United Technologies for $73,846. Dollars were budgeted for two years for $47,500 each year (2011 and 2012). A motion from Wicks, seconded by Booher to approve the expenditure in 2011 for $73,846 to purchase all of the TV’s in this fiscal year. Unanimous approval. Motion carried. Unfinished Business ED/Lab Construction Update Coffey noted lose ends to the project are almost finalized. Active Medical Staff will receive a tour of the new areas. Staff will have the opportunity to tour the area during Hospital and Nursing Home Week (May 8 – 14, 2011). A community open house is planned for June. Exact date is contingent upon installation of new carpet and signage. BHS Foundation Budget for 2011 Update Deferred until the May Board meeting. CEO Search Update Baker had sent an email to Board members on April 11 informing them of the CEO search being suspended as a result of the City Council work session on April 7 followed by a newspaper article appearing in the Brookings Register’s weekend edition. Baker had been meeting with BHS’s HR Manager September Bessler during the entire process. Whaley inquired why the full Board’s input was not sought. Baker indicated a CEO search would be detrimental at this time. Good candidates would not consider moving to the community. McKnight commented the Board’s role is to bring the best health care to the community. The negative comments from the City Councilors need to stop. The two groups need to meet and discuss the facts. Wicks expressed concern about the City Councilors are not receiving agendas and meeting minutes from the Board. He made a motion that paper copies of the agenda and Board meeting minutes are mailed to the City Councilors. Whaley seconded the motion. Jones noted the entire process will be reviewed from top to bottom to determine what is required by state law. In favor of the motion: Booher, Faltemier, Jones, McKnight, Whaley, Wicks. Opposed: Baker. Motion carried. VA Nursing Home Update Coffey noted since VA grant funds would not be available until 2015, the request for proposals (RFP) will be reissued to see if the four sites that had expressed an interest are still interested in light of no grant funding. Glacial Lakes Update Coffey indicated the closing has been finalized on the building located at 100 22nd Avenue.
