Others: Rich Helsper, legal council, Kevin Coffey, Interim CEO, Tammy Hillestad, CNO and Deb Davis, recorder Rob Jones, Chairman, called the Board meeting to order at 5:35 p.m. The Brookings Economic Development Corporation Board of Directors was invited to talk about partnership efforts and expectations and ways to collaborate. There was a 30 minute tour of the hospital provided to those in attendance. During the meal Coffey and Hillestad presented to the members of the BEDC highlights of what has been happening at Brookings Health System the past 24 months. Coffey talked about the support that Brookings Health System has given to the community either through partnering to help bring physicians to the community or to provide new or increased services such as orthopedics. Hillestad spoke to the various outreach services that are provided by Arlington Medical Center, Home Health, Hospice and Hearth. There was mention of the technology that is in place at BHS such as the electronic medical record (EMR) and another upgrade will take place in June. Coffey then summarized the total donations, charity, and bad debt for the past three years. Lastly 75% of the over 400 employees employed at BHS resides within Brookings County. Fishback asked what BEDC can do for BHS. Heuton expressed his appreciation for the support that has given by BHS to BEDC and in the future they will put health care on their agenda. Jones noted in 2003-2004 there was discussion as to whether the Health System should sell, be managed or remain independent. The Board felt at that time what is best for the community is to remain independent and the Board still feels that way today. Bender commented that the hospital needs to get the message out to the community of the great things that are happening at the Health System. Otsuga commented that the new software the BEDC recently purchased could assist the Health System to become more strategic in their marketing efforts. It was agreed by all that tonight’s meeting was informative and would like to meet more frequently to keep the lines of communication open. At 7:42 p.m. the BEDC Board Members were excused. Motion carried. Reports Operational CEO Report: Coffey presented the CEO Report for March. Coffey made a presentation about the completion of the ED/Lab project as well the plans for the nursing home. The upgrade to 5.6 in the electronic medical record is progressing. June is the target date for the transition. Coffey has been holding a bi-weekly “Soup and Sandwich with Coffey” lunch to visit with staff on any topic they may wish to know more about. CFO Report: Coffey summarized the February financials. He noted for the second month in a row the organization 4 of 6 exceeded the budgeted corporate profit. Contractuals were at 38.8% versus a budget of 39.3% as well as actual wages and benefits coming in at 54.9% of net revenue from a budgeted 58%. Charity for February was low at $81 while awaiting Board approval of revisions to the charity policy. Census was strong in the nursing home for the month. Total cash expenditures for February totaled $2,025,247.11. Payroll and benefit expenses (excluding MRI and YEC) were $1,044,799.43. Year-to-date charity for 2011 $5,728. The unaudited total for Charity in 2010 was $317,467, this amount exceeded the 2009 calendar year’s audited total of $284,470. CNO Report: Hillestad provided data regarding the Arlington Medical Center and the revenue that has been generated to BHS. She noted the intent of the clinic was two fold. To provide a service to community of Arlington and to help protect Brookings’ market share. Board Finance Committee: Booher presented the Finance Committee report. The committee met on March 17, 2011. The committee brought forth two recommendations which are addressed under New Business and Unfinished Business. Q/I Personnel Committee: The QI/Personnel Committee met on March 15, 2011 to review the fourth quarter data for Infection Control along with other quality updates. There were no action items. Strategic Planning Committee: The Strategic Planning Committee met on March 15 and March 23, 2011. The group had received several days prior to the meeting proposals from 7 firms who expressed an interest in providing architectural/engineering services for the nursing home. The members, again prior to meeting, individually ranked the proposals. References were also conducted by NEXT, Inc. and presented to the committee. The cumulative outcome from the group ranged from most preferred 1.5 to least preferred 6.8. The top three firms were contacted and interviewed by the Strategic Planning Committee on March 23, 2011. The committee then narrowed the top three firms to one firm. The firm of choice was Horty Elving. Because of the community’s political environment, the two local firms, who previously submitted a proposal (Banner Associates and DesignArc), will be asked, along with the top ranked candidate, Horty Elving, to present their proposals to the entire Board at a date within the next two weeks. Executive Committee: The Executive Committee met at noon on March 24, 2011. Jones indicated many of the discussion topics will be discussed under Unfinished Business. 5 of 6 New Business 2011 BHS Foundation Budget A motion was brought forth from the Finance Committee (Wicks/Booher) to recommend approval of the 2011 BHS Foundation Budget. Baker questioned Wicks if the Finance Committee was satisfied with the Foundation’s long term plan. Wicks noted expectations were set. There was unanimous approval of the motion. This motion was later rescinded by Wicks, seconded by Whaley, expressing the need to obtain further detail regarding contractual services and to relook at the proposed budget at the next scheduled Board Meeting. Unfinished Business Construction Update Coffey noted the new water line needed to be used in March when the City’s main water line burst on 22nd Avenue. The City opened the valve on the new waterline that BHS installed in October located on the north side of the building and was able to maintain water flow to the facility. The dollars spent on the redundant water line was well spent. New internal signage is being put in place throughout the organization. Project Delivery Systems A sub-committee composed of Jones, Faltemier and McKnight was tasked with evaluating the four project delivery systems to determine and recommend to the full Board which system is the best fit for the nursing home project. The sub-committee’s recommendation to go with option two, Construction Manager (Not at Risk) delivery system, which is similar to what was done with the ED/Lab Project. A motion by Whaley to accept the sub-committee’s recommendation to choose the Project Delivery System – Construction Manager (Not at Risk). Wicks seconded the motion. The motion was approved by all Board members present. Jones noted there were several firms that have indicated an interest in interviewing for the construction manager on the nursing home project (Mills Construction, NEXT, Inc., Waltz Construction). A motion by Baker to limit the number of construction managers (CM) interviewed to three. McKnight seconded the motion. It was suggested that Phil Wagner write the criteria for questions the three interview candidates need to respond to. There was lengthy discussion as to whether a CM is needed and if so, when do you bring the CM on the project. A motion by Wicks to hire the CM first and then the architect. Whaley seconded the motion. There were pros and cons discussed. Wicks removed his motion. The original motion was voted on and approved unanimously by all Board members present. A full Board meeting will be scheduled in the near future to interview the three candidates. Due to the amount of business items, a motion by Whaley for the Board to meet two times a month in April, May and possibly June. Faltemier seconded the motion. Motion carried unanimously. Davis will follow up with the new dates. Nursing Home A/E Request for Proposals Discussed under Strategic Planning Committee CEO Search Baker, along with two other Board members (to be determined) agreed to take the lead and research the options regarding the CEO Search. Whaley asked that all options be considered. Baker indicated he would design the process and bring back to the full Board. A motion by Wicks to give Baker the authority to design the process and bring back to the full Board. Faltemier seconded the motion. Whaley amended the motion to include Baker be open minded and look outside the box. She withdrew her motion. The main motion was voted on and approved by all Board members in attendance. 6 of 6 VA Nursing Home Coffey noted the Lieutenant Governor Matt Michels will be going to Washington, DC to discuss the VA Nursing Home. Glacial Lakes The purchase agreement to buy from Glacial Lakes Capital II, LLC the building located at 100 22nd Avenue has been drawn up by legal. The agreed upon purchase was $1,050,000 with $10,000 due as a deposit at signing and the remaining amount due and payable at the time of closing. Personal property in the amount of $21,050 has been inspected and agreed on. The Finance Committee (Wicks/Booher) recommended to the Board to authorize the $10,000 earnest money on the purchase agreement. Motion carried. Unanimous approval. The purchase and lease agreements will be executed between both parties on Friday. Executive Session Jones indicated an executive session to discuss three items was needed.
