Discussion from the members all agreed it is an excellent conference for both new and seasoned board members to attend. A motion by McKnight to encourage Board attendance at the Rural Health Care Leadership Conference in 2011. Faltemier seconded the motion. Unanimous approval. Motion carried. Lab/ED Expansion: Exterior work: completed. Interior construction work: Lab remodel scheduled completion date of 01/10/11 and ED remodel of 3 exam rooms and a chair care area with a scheduled completion date of 12/10/10. Hospital: Ninety percent of the roof is in poor condition, federal grant funding is being pursued. Estimated costs range from $455,000 to $530,000. One of the four chillers, the second oldest one that serves Brookhaven Estates and the Hospital, needs to be replaced before the next cooling season, estimated cost is $100,000. Replacement of the carpet throughout the front entrance area will be complete by the end of December. New signage will be placed throughout the hospital. Brookview Manor: Ollerich Engineering has completed the specifications for the sprinkler system. Approximate cost is $225,000 and does not include structural repairs. SD Department of Health is examining the specifications. CHUB insurance carrier toured the facility; there is potential for a slight increase in the premium. The roof is past its normal life expectancy for replacement. Replacement costs are approximately $245,000. Soffits need repair projected cost is $35,000 - $40,000. Repair parts for the boilers are difficult to find as well as the nurse’s call system. There is water migration in the basement where the utilities enter. Jones noted as part of Phil Wagner’s agreement, he will be looking at the items Thompson noted as well as other issues. Thompson was excused. CEO Report: Coffey presented the CEO Report for November. Coffey noted he is rounding throughout the organization, visiting with staff and patients. The evening of November 30th, forty employees will be recognized for their years of service to the organization. On December 9, 2010 BHS will begin their 75th birthday celebration by inviting the public and all employees to birthday cake and a warm beverage. The time is from 2 – 4 p.m. on Thursday, December 9th. CFO Report: Timpe summarized the October financials. He noted the contractuals are about 40%, an organization wants this number as low as possible, but he noted 40% is a good target number. Timpe indicated in the bigger picture, revenue is down for the year; however, wages and benefits are also down, indicating staffing is being adjusted to respond to work flow. Year-to-date profit for just the hospital stands at $31,692. The corporate profit for October is a loss of $93,195 bringing the year-to-date corporate profit to $497,434. There was discussion regarding the return on the investments. Coffey indicated the City historically has bid out investments to obtain a better return. McKnight made a motion for the Board Chair to investigate further and then meet with key City officials on finding opportunities to improve the return on investment dollars. Whaley seconded the motion. There was unanimous approval. Motion carried. Total cash expenditures for October totaled $2,474,094.97. Payroll and benefit expenses recorded on the income statement (excluding MRI and YEC) were $1,461,465 for October, which was below budget. The charity write off for October was $53,126 with the cumulative total for the year of $270,203, compared to 2009 calendar year’s audited total of $284,470. CNO Report: Hillestad updated the Board on happenings in the nursing area. She noted a general surgeon toured the hospital. Pastor Greg TeBeest has accepted the part-time Chaplain position at Brookings Health System. Orientation for Pastor TeBeest began November 17th. 6 of 7 Professional Services Report: Minor informed the Board about the Car Seat Challenge. In coordination with the OB and Radiology departments, infants born prematurely (37 weeks or less) need to be evaluated for car seat safety. These evaluations can now be performed at BHS. Minor noted BHS is now interfaced with Physicians Lab to get immediate access to pathology reports. In addition doctors can order the following new procedures which staff at BHS is now trained to do: first trimester screens for obstetrical patients, renal artery ultrasounds, ultrasound for appendicitis, upper extremity venous doppler ultrasound and pediatric ultrasound for Pyloric Stenosis. Nursing Home Report: Johnson, DON at Brookview Manor briefed the Board on happenings in the nursing home. Census at BVM is as full as it can be. The residents hosted little trick or treaters on Halloween. The Harvest Ball was enjoyed by all. A group of students from Brookings High School are collecting HyVee receipts for monies to go into the activity fund (need $150,000 in receipts to equal $1,000 cash). Federal regulations have been lifted until the end of the year on the MDS 3.0 conversion; this change will impact cash flow. BHS Foundation: Hartneck, Foundation Development Officer, updated the Board of the names of the people that have agreed to be chairs in the seven fund raising committees. She also provided a 5-year revenue projection as well as goals for the first quarter of 2011. Executive Committee: The Executive Committee met at 5:00 p.m. By-Laws will be sent to Board members to review prior to the December meeting. The committee discussed the request for proposals (RFP) regarding the VA Nursing Home. The Mayor wanted United Retirement Center to pursue the RFP for the VA Nursing Home utilizing URC land. Mayor Reed indicated the bonding would be coming from the City. Finance Committee: Booher presented the Finance Committee report. The committee met three times in November with two action items to bring forth. The Finance Committee recommended a Nursing Home rate increase of 3.71%, based on the consumer price index (CPI). Unanimous approval. Motion carried. The second recommendation was to approve the 2011 capital budget of $2.6 million. Coffey noted the $2.6 million is an average dollar based on the past several years. Unanimous approval. Motion carried. The committee will meet several times in December to finalize the 2011 budget. Coffey noted he was waiting for health insurance quotes as he finalizes the budget. QI/Personnel Committee: The QI/Personnel Committee met on November 12, 2010. The committee reviewed the quarterly dashboard. It was noted many of the lower scores were a result of documentation, not care issues. A representative from NRC Picker will be on site at the end of November to provide training to managers and service teams regarding the scores. The committee reviewed the annual evaluation tool for the Board members. It was decided to stay with the same tool and members can complete their evaluation on-line. Discussion occurred regarding mandatory immunization. There was an error noted in the March 2010 Board minutes. A recommendation by the committee to correct the PTO policy to reflect what the three tiers correspond to based on what was intended at the March 2010 QI/Personnel Committee meeting. McKnight amended the motion to include an audit be done to bring all PTO current. Johnston seconded the amended motion. Unanimous approval. Motion carried. 7 of 7 Strategic Planning Committee: The Strategic Planning Committee met with Phil Wagner on November 3, 2010. At 9:59 p.m. the Board went into an Executive Session to discuss contractual matters as noted in SDCL 1-25-2.4. Those present in the executive session were: Jones, Baker, Faltemier, McKnight, Booher, Whaley, Johnston, Coffey, Hillestad and Davis. Executive session ended at 10:19 p.m. New Business Mission and Vision Statement McKnight presented the mission statement to the members taking into consideration comments made from other Board members. After minimal editing, a motion by Whaley to approve the new mission statement, effective 01/01/11 as follows: “Brookings Health System: Dedicated to providing quality, patient-centered health care with excellence and compassion through attention to safety, value and community health promotion while cultivating partnerships and community involvement to demonstrate our passion and commitment to those we serve”. Faltemier seconded the motion. Unanimous approval. Motion carried. Donations As a result of last month’s visit by Al Heuton from Brookings Chamber of Commerce and Jay Bender, Brookings Economic Development Corporation (BEDC) Chair, the Charitable Donation policy was reviewed. A motion by Baker, seconded by McKnight to agree to make a commitment of $50,000 for 2011 to BEDC. There were two dissenting votes (Johnston and Booher). Motion carried. The Board asked the Finance Committee to review the Charitable Donation Policy. Request from the City The City is requesting the Brookings Municipal Utilities (BMU) and Brookings Health System (BHS) present quarterly reports to them. There was discussion as to why this is needed since there are currently two city councilors that are ex-officios on the BMU and BHS Boards as well as joint meetings that occur between the health system and the city councilors. A motion by Whaley, seconded by McKnight to move into executive session at 10:19 p.m. citing SDCL 1-25-2.1 Personnel matters. Those present in the executive session were Rob Jones, Al Baker, Sandra Faltemier, Jim Booher, Debra Johnston, Teresa McKnight, Julie Whaley, Kevin Coffey, Tammy Hillestad and Deb Davis. At 11:13 p.m. the executive session ended. A motion by Baker to approve revised organizational chart and advised CEO to direct administration to implement the applicable changes.
