A change to the agenda to move new business item BEDC Presentation as the first item on the agenda. Jones noted that Next, Inc. would arrive around 7:00 p.m. and the Board, at that point, would move to Old Business to hear a Construction Update from Steve and Chris Larson. Jones appointed Whaley to the QI/Personnel Committee, she will replace Schroeder. Schroeder, a County appointment, resigned October 14th from the full Board. A new appointment has been requested. New Business Presentation from BEDC Al Heuton from Brookings Chamber of Commerce and Jay Bender, Brookings Economic Development Corporation (BEDC) Chair presented to the Board. Heuton did a recap of why BEDC reorganized in 2005 and the creation of Vision Brookings. Heuton thanked the Board members for their commitment to BEDC the past 5 years. The contribution of $50,000 a year the past five years has assisted in the vision and goals BEDC has in place. As a result of the contribution made, BHS has representation on the BEDC Board. Zeno Wicks, III, represents BHS on the BEDC Board. Baker inquired who determines how the money is spent. Heuton indicated the BEDC directors make the decisions based on their approved strategy plan. Heuton and Bender were excused at 6:46 p.m. Old Business Consultant Agreement Will be discussed in Executive Session. Mission and Vision Statement Further changes will be considered and brought back to the November Board meeting. All members should submit any suggested changes to Debra Johnston. Search Committee Jones indicated he will call a meeting with the Board’s Executive Committee members to 2 of 7 discuss the search for a new CEO. Reports Finance Committee: Booher presented the Finance Committee report. The committee met on October 21, 2010. All agenda items were addressed in the Board’s consent agenda. The committee has started working on the 2011 budget. Baker inquired as to why the depreciation adjustment of the surplus sale items was not taken all at once. Coffey noted he would make the full depreciation adjustment in the October financials. QI/Personnel Committee: The QI/Personnel Committee on October 14, 2010. Johnston noted word was received that day of Ruth Schroeder’s resignation from the Board. Johnston also noted, due to the change in customer service survey providers there was no data to present on quality this month. The committee is reviewing the current Board Evaluation tool. CEO Report: Coffey presented the CEO Report for October. Four new providers were welcomed by having a lunch with the Medical Staff. Dr. Chris Wangsness, ED physician, Dr. John Jerstad, ED physician, Dr. Trisha Morehouse, Ophthalmologist at Yorkshire Eye Clinic and Tonya Froehlich, PA, at Arlington Medical Center. New carpet and fresh paint in the Rehabilitation Therapy area. Other areas throughout the organization will receive new flooring in the near future. The Inspiring Health magazine will expand to 8 pages. The hospital will celebrate 75 years as a city owned hospital. CFO Report: Coffey summarized the September financials. He noted the hospital in September saw a profit of $28,435. Year-to-date profit for just the hospital stands at $23,198. The corporate profit for September is $68,121 bringing the year-to-date corporate profit to $590,527. Coffey noted no word has been received from Eide Bailly who is doing an interim cost report to review if 6 of 7 allotment of additional Medicare dollars is appropriate. Total cash expenditures for September totaled $2,862,763.21. In addition $8.5 million was moved into long term investments. Payroll and benefit expenses recorded on the income statement (excluding MRI and YEC) were $1,419,711 for September, which was below budget. The charity write off for September was $59,393 with the cumulative total for the year of $217,077, compared to 2009 calendar year’s audited total of $284,470. CNO Report: Hillestad updated the Board on happenings in the nursing area. She noted the Diabetic Nurse Educators are now able to offer iPro, a continuous glucose monitoring system (CGM). CGM will be an additional therapy service to diabetic patients. Heidi Faehnrich, RN, has been certified to be a Safe Sitter instructor. Heidi offered an updated “Safe Sitter Class” in October that was well attended. The annual 2010 Influenza Vaccine campaign is underway for employees. Nursing Home Report: Johnson, DON at Brookview Manor briefed the Board on happenings in the nursing home. Resident Council had a pizza fund raiser and netted over $1,100.00. Residents went to Bramble Zoo in Watertown as well as a fishing trip at Oakwood. The new communication system, Vocera, is working well. Johnson noted residents have appreciated the reduction in noise levels as a result of the new system. BHS Foundation: Hartneck, Foundation Development Officer, is progressing with building the seven fund raising committees. Six of the committees will be comprised of community members and the seventh committee will be a BHS employee committee. She indicated a year end appeal letter will go to the community to request funds for two more glucose monitors that will tie in to the Aiming for Healthcare fundraiser that raised over $10,000. A 10-week program is being developed by dietitian, Katy VanderWal to work with children with weight issues. Education has been provided to physicians about the program. Unfinished Business Construction Update Steve Larson and Chris Larson from NEXT, Inc. provided an update on the new construction and remodeling project in the Emergency Department and Laboratory areas of the hospital. Steve Larson noted the total project was bid at $4.3 million. The amount included all construction costs, fees and equipment. The bid was one million below what was originally estimated. Larson indicated as the project finishes there should be minimal unforeseen conditions. He noted early on in the project there were many unexpected finds underground, which is typical in a project such as this. Larson stated that the main contractor, Mills and architect HGA, have been great to work with. Mills has done an excellent job doing the constructing and remodeling as well as HGA with their design of the two areas. Larson noted as the project nears its completion there should be no surprises regarding additional dollars being owed. Although the project will finish over the original projected date, the new date of April 1, 2011 should be met. Steve and Chris Larson were excused at 7:31 p.m. 7 of 7 Nursing Home There was discussion on the square footage of the existing land and how much physical space would be needed if a new facility is built. Coffey noted there is approximately 200,000 square feet of land south and east of the hospital. Current square footage of the existing nursing home is 90,000 square feet. It is anticipated a new structure, depending on number of beds, would require double the existing square feet of the current nursing home. A motion by Johnston, seconded by Whaley to move into executive session at 8:26 p.m. citing SDCL 1-25-1.3, contractual matters. Those present in the executive session were Rob Jones, Al Baker, Jim Booher, Debra Johnston, Julie Whaley, Zeno Wicks, III and Kevin Coffey. At 9:00 p.m. the executive session ended. A motion by Wicks to hire Phil Wagner for 15 hours a week to provide options and estimates for the nursing home. The motion was seconded by Johnston. Motion carried.
