HomeMy WebLinkAboutBHSMinutes_2010_08_261 of 8 Brookings Health System Board of Trustees August 26, 2010 Members: Al Baker (left 8:15), Jim Booher, Sandra Faltemier, Debra Johnston, MD (arrived at 6:35), Rob Jones, Teresa McKnight, Ruth Schroeder, Zeno Wicks, III, Julie Whaley, Mike McClemans and John Kubal, ex-officios Guests: Roger Oberg, CEO, Kevin Coffey, CFO, Tammy Hillestad, CNO, Brenda Johnson, DON Brookview Manor, Linda Minor, Professional Services, Kandace Hartneck, BHS Foundation Officer and Deb Davis, recorder Rob Jones, Chairman called the meeting to order at 6:05 p.m. Jones noted the new sections of the ED and Lab areas will be opening to the public on Monday, August 30th. The group toured the two new areas. Jones noted the remodeling of the existing areas will begin next week. A grand opening for the public will be held in the future when the entire project is completed. Committee Reports Finance Committee: Booher presented the Finance Committee report. The committee met on August 23, 2010. Discussion at the committee level whether or not usable items could be donated to non profit institutions. Coffey consulted with City Clerk Thornes who indicated state statutes prevent items being donated. QI/Personnel Committee: The committee met on August 12, 2010. Faltemier indicated that second quarter quality measures were reviewed. She noted the data are useful to assist the quality department to monitor areas to improve as well as maintain the areas that are at or above the established 2010 goals. The behavior based patient satisfaction surveys are now being sent out by the new vendor, NRC Picker. Two new areas will be measured via this instrument. Strategic Planning Committee: The committee met on August 6, 2010. Jones noted there were no action items and other topics will be addressed under New and Old Business. Executive Committee: The Executive Committee met just prior to the Board meeting. Discussion occurred regarding items listed under New Business. Informational Items Jones noted at the September Board of Trustee Meeting the City Council will attend. The meeting, to take place at the hospital, is scheduled from 5:00 – 7:00 p.m. on the 23rd. It was noted since many of the councilors are new in their positions; general information about healthcare would be helpful. Davis will inquire if there are particular agenda items the City Councilors would like addressed at this meeting. 2 of 8 The Board of Trustee Planning Retreat is planned for October 15 and 16 (Friday and Saturday). An electronic vote was requested from the Board members on August 11th. Seven of the nine Board members that responded concurred with the bid recommendations. Coffey noted the companies have been notified. Planning Retreat Agenda A very preliminary draft agenda was presented and suggestions were given by the Board for staff to pursue. 6 of 8 Campus Master Planning – BVM “Options” Oberg noted a decision needs to be made in the near future on the nursing home. The nursing home appears to be in the way of any future growth of the organization. Jones noted financial models were also done to determine the cost feasibility of the entire project as well as the development of different phases. The model compensates for lean years the organization may incur. McKnight noted she needs more information before she could make a decision. Johnston noted a decision needs to be made sooner rather than later. Oberg noted the Executive Council compiled, summarized and ranked 10 possible options for the nursing home, half of the options are not recommended. Options ranged from building new to keeping status quo. To provide back ground to the new members, he handed out schematic design drawings of the hospital, as well as calculations to support the square footage, that were developed in July 2009 that outlined the expansion of Brookings Health System. Further discussions will continue. Unfinished Business Construction Update Oberg noted the new area of the Lab was in full operation on Wednesday, August 25. The new area of the ED will open for business on Monday, August 30. The panels on the outside of the building will be installed next week and the asphalt in the parking lot will be laid Friday with the new parking spaces stripped on Saturday. Outdoor signage is in place as well as a marketing news release to the public. The construction contingency dollars are almost exhausted; however, there are reserves in the furniture and equipment budget to help off-set any future unexpected issues should they arise during the remainder of the remodel. Completion date for the entire project is April 2011. Support Service Building The question still remains as to the final configuration and tenants of the property. Spiritual Care Program Hillestad noted the job description is finalized as well as the program and philosophy. The position has been posted and applications are being received. Community clergy will be invited to a lunch in September to update them on the status of the program. Long Term Care Study Oberg noted there has been no response regarding the letter that was sent from Attorney Rich Helsper to The Lewin Group regarding the terms of the contractual agreement. Helsper will be asked to prepare the appropriate documents to finalize the situation. Reports CEO Report An update to his report, Oberg noted attendance at the all staff picnic that was held yesterday was good, approximately 255 people enjoyed the food and nice weather. The final repair to the roof leak and walls at Brookhaven Estates is estimated at $17,000. CFO Report Coffey summarized the July financials. He noted the discounts were higher than anticipated which attributed to the corporation as a whole reporting a loss of $118,752 for the month. Coffey pointed out that net patient/resident revenues were lower than budget ($445,848), so too were 7 of 8 salary and benefit expenses by $130,082. Total expenses for July of $3,392,645.06. Payroll and benefit expenses (excluding MRI and YEC) for July were $1,444,567. The charity write off for July was $35,204 with the cumulative total for the year of $149,729, compared to 2009 calendar year’s total of $303,063. There was detailed discussion about possible causes for the corporate loss as well as other revenue generators that have recently been implemented and others that are on hold pending a decision on the support services building. Oberg provided a summary of marketing efforts that are in the development phase. Effective October 1st the swing bed program regulations will change to be more in line to the nursing home regulations. The new ambulance was driven in the Arlington Day Parade. Dr. Jensen, an EENT from Sanford is increasing his practice from one day to two days here in Brookings. Brookview Manor Johnson indicated a resident/family picnic was held August 20th. Very well attended and everyone had a good time. As noted last month training and preparation continues on the transition of Minimum Data Set (MDS) 2.0 to MDS 3.0. Resident Council will be planning fundraising events to raise money for activities, such as musical entertainment and bingo prizes. Foundation Hartneck reminded the members of the Sporting Clay Event, scheduled for Friday, September 10th. She asked them to watch for the invitation that was mailed earlier this week and encouraged their attendance. Also noted, consultant services from Hillary Lyons were purchased for up to one year.
