Corbett resigned his position in April after being elected to a City Council post. Corbett expressed his thanks and excused himself to attend another commitment he had. Auditor, Geoffrey Knoblock from Eide Bailly presented the 2009 Audit, including a series of ratio analysis graphs of the 2009 audited financials. Knoblock had provided a detail report to the Finance Committee at their May meeting. He noted overall, financially, an organization of BHS’s size is doing well. Future items the Board may want to focus on include Electronic Medical Record Stimulus dollars; Enterprise Risk Management (this currently does not impact BHS since BHS does not have any bonded debt), Healthcare Reform (may want to weigh the current Rural Demonstration Project with anticipated changes in healthcare reform by conducting an interim cost report). Knoblock was excused at 6:44 p.m. Committee Reports Finance Committee: Coffey presented the Finance Committee report. The committee met on June 17, 2010. He noted the committee was apprised of a bid opening the following Monday. He indicated bids were received from two vendors for ten stretchers for the emergency department in May. Neither bid met specifications and the committee rejected the bids. New specifications were written and advertised. One bid was received in the amount of $61,459.41. A motion by Baker seconded by Faltemier to accept the bid from Stryker in the amount of $61,459.41. Unanimous approval. Motion carried. QI/Personnel Committee: Committee met June 10, 2010. A motion came from the committee (Schroeder/Faltemier) to recommend NRC Picker as the vendor of choice for CAPHS (Consumer Assessment of Healthcare Providers and Systems). Hospitals have been mandated by CMS (Centers for Medicaid and Medicare) to participate in the CAPHS program. CMS will tie amount of dollars received from CMS to quality of service patients receive. In October 2010 Home Health will be required to participate. The current vendor is Press Ganey. Fraser presented a side-by-side 2 of 7 comparison of the two vendors. Strengths, in addition to what the current vendor provides include: additional support options, survey responses based on target response goal and not by surveys sent out, more tools available resulting in less in-house number crunching, pediatric population can be surveyed, costs less, and utilizes behavior based questions (current vendor uses satisfaction based questions). Unanimous approval. Motion carried. Fraser was excused at 7:12 p.m. Executive Committee: The Executive Committee met an hour prior to the Board of Trustee Meeting. Committee attended a webinar titled “Hospital Physician Integration: The Next Wave”. A copy of the handouts from the web based seminar will be forwarded to all board members. Informational Items Jones thanked McCoy for his four years of service to Brookings Health System and wished him the best in his new endeavor as a training instructor with Avera. A copy of the Campus Master Plan (initial bubble phase), as presented in 2008, was included in the Board material as information to the new members of the Board. The financial information in the handout was updated. Jones noted the Strategic Planning Committee will continue to discuss future planning of the health system. Last month Thompson, Environmental Services Manager, brought forth an issue regarding the sprinkler system at Brookview Manor. He updated the group that a Request for Proposal (RFP) is being developed. Oberg noted BHS continues to follow the Department of Health’s process and procedures to ensure safety of the residents and staff. Thompson noted another issue has arisen with the location of the second water line that will be installed as part of the current ED/Lab remodeling project. The City has no plans on replacing the existing line that is used. The second line will be added to prevent loss of water to the facility that has occurred twice this past winter due to water main breaks. There is concern where the placement of the new line should be, as the proposed location may be too close in proximity to the sprinkler system. Engineers from HGA will be on site next week to determine where the best location should be. Thompson will keep the Board updated. Thompson also updated the members regarding the roof leak and water damage in Brookhaven Estates. The building opened in 2004. The exact cause is yet to be determined. Intek a firm from Sioux Falls came in, confirmed there was mold and removed and replaced the affected area. Intek is not concerned with mold migration and will do air quality tests to confirm and provide assurance to BHS. Status updates will be provided. Total $ 1,827,252.96 Unanimous approval. Motion carried. Unfinished Business Construction Update Oberg noted Phase 2 of 5 will be finalized around the last week in August. The entrance to the ED will be open and patients will be seen in the new area. Phase 3 will begin August 30, 2010. This third phase is the remodeling of the existing parts of the ED and Laboratory areas. HGA is developing for BHS review a Design Package for internal signage and decor throughout the building that can be done in stages throughout the organization. Ambulance Service Building and/or Support Service Building Two plan options were presented for the support service building. Plan A would house the Ambulance, Home Health and Hospice and is 9,000 square feet and Plan B is 11,000 square feet and would be home to Ambulance, Home Health, Hospice and retail for durable medical equipment. Cost estimates thus far are $880,000 and $1,150,000 respectively. Plan B does require additional land of 35 feet for landscaping and for additional parking as required by city code. Spiritual Care Program Oberg presented an update from the meeting that occurred with clergy within the community of Brookings on June 3rd. There was good discussion and those present were in favor of filling a 6 of 7 part-time position. A motion from Faltemier to develop a position description. Johnston seconded the motion. Members felt a program should be further developed over time. Community resources will be consulted to help develop the program. Unanimous approval. Motion carried. Reports CEO Report Oberg noted the analysis is nearing completion on the GPO (group purchasing organization). Mr. Rocky M. Hayes will be the marketing and public relations specialist. His start date is Monday, June 28th. Orthopaedic Consultants (OC) have verbally agreed to come and do outreach at the hospital. Starting out, OC plans to be on-site two Monday’s a month as they initially establish themselves. CFO Report Coffey summarized the May financials. The corporation as a whole reported a loss of $104,411. Coffey pointed out that wage expenses to net revenues were 64.42%, compared to a budget of 59.63%. Total expenses for May of $2,911,131.72. Payroll and benefit expenses (excluding MRI and YEC) for May were $1,435,319. The charity write off for May was $8,254 with the cumulative total for the year of $74,209. Coffey noted surgeries and admissions are down which is contributing to the 2010 revenue budget shortfall. Word was received from Department of Social Services; underpayment will be made to the facility in the amount of $95,830 for Title XIX. Coffey also noted a new optometrist will be starting at the Yorkshire Eye Clinic. Dr. Piearson has resigned and Dr. Morehouse will start in August. She obtained her bachelors degree from SDSU and is excited to be coming back to Brookings. CNO Report Vocera, a wireless communication system utilized for patient care staff to communicate internally, will begin the implementation process. Emergency Department staff were recognized with ice cream treats for reaching the patient satisfaction goal in the first quarter of 2010. Emergency room physician, Dr. Driver, presented an educational session on Acute Coronary Syndrome to the emergency room nurses. Arlington Medical Center has already seen an increase in number of patients being seen over what was projected. Foundation Hartneck indicated information about BHS Foundation was placed in Inspiring Health, Hospice and BVM Newsletters. She is developing policies for an annual campaign and major giving 7 of 7 areas. The June 19 Fun Run/Walk Event was well received by the community. There were 88 participants. A Sporting Clay Event is being planned for September 10th. Research is being finalized to recommend a consultant to assist the Foundation in its start-up.
