Baker made a motion to approve the agenda as amended. Wicks seconded motion. Motion carried. Informational Items Sterud was present to summarize the recognition BHS received from HIMSS Analytics. Sterud noted only 86 of over 5,000 health systems in the nation are at stage 6 designation. BHS is the only health system in South Dakota at a stage 6. The criterion of a stage 6 includes physician adoption of the electronic medical record (EMR). BHS is well positioned to be successful with achieving the American Recovery and Reinvestment Act goals, measurements and funding through 2013. Committee Reports 4 of 6 QI/Personnel Committee: QI/Personnel Committee met on March 22, 2010. Four policies (new and existing) were reviewed. Detail under New Business. Strategic Planning Committee: Strategic Planning Committee met on March 16, 2010. There were no action items. One informational item. Currently the hospital is in the final stages of negotiations with Mr. Redfish and the Arlington Economic Development Corporation regarding the purchase of the Arlington Clinic. Finance Committee: The Finance Committee met on March 18, 2010. The committee brought forth three items requiring Board approval. Brookings Health System now has a Foundation with 501(c)3 status, and two resolutions, as recommended by the auditors came forth from the committee. The first action item was to move dollars designated for Brookings Health System Hospice to Brookings Health System Foundation. Wicks/Booher. Motion carried. The second motion, made by Wicks, all future donations received will go to the Brookings Health System Foundation and earmarked appropriately. Motion seconded by Booher. Motion carried. Clinic recruitment of an OB physician continues. In order to assist during the search the Finance Committee (motion Wicks/second McKnight) recommends BHS signs an OB Department Availability Contract with Avera Brookings Medical Clinic at a cost not to exceed $230,000 per year per OB locum physician. Motion carried. Executive Committee: Committee met prior to the Board Meeting. The Executive Committee also discussed the locums’ contract. Unfinished Business Construction Update Oberg provided an update. The ED/Lab remodel project continues to be on budget. Medical and non-medical equipment will go to bid April 15. Project is approximately 25-30 days behind scheduled. There have been no life safety or infection control issues. Ambulance Service Building and/or Support Service Building Oberg noted contingent upon land availability, which he is currently in discussions over, a recommendation, will be made at the April Board meeting to do either the Ambulance Service Building or the Support Service Building. Remodeling Projects Oberg updated the members regarding possible projects. He noted enhanced revenue streams may result. Planning is in the early stages and as viability of projects unfolds, he will keep the Board informed as well as provide an implementation and feasibility plan. New Business Policies 5 of 6 Extended Illness and Injury Bank (EI&I) Policy. The EI&I is a new policy. In order to transition to a true PTO (Paid Time Off) system this new policy will bridge a current employee's sick leave hours for use on any FMLA related OR an infectious disease that precludes the employee from working, as outlined in the existing Infection Control policy. There was considerable discussion regarding the proposed policy. The Board realizes BHS is facing difficult financial times and benefit costs need to be reduced. A motion from Schroeder, second by Faltemier to approve the policy as written. The adoption date will be May 1, 2010 with staff education in April regarding the changes. Motion carried. Paid Time Off (PTO) Policy. The current policy factors in holidays and vacation time based on number of years employed at BHS with sick leave accrued separately at a specified rate based on full time or part time status. In order to bring the current policy into a true paid time off policy the following changes were proposed: eliminate the accumulation of sick time and establish the EI&I Bank for employees who have hours in their sick leave account; change the time frame of completed years of service to completed paid hours (proposed tiers: 0-8320 hours; 8321-20799 hours; 20800+); increase the accrual rate (proposed per hour: .081; .100; .121); only regular scheduled employees working 20 or more hours/week will earn PTO; reduce the maximum accrual of PTO to 360 hours (currently employees with 21 or more years of service can accumulate 544 hours, PTO hours would be paid to bring balance down to 350 hours). A motion from Schroeder second by Faltemier to approve the policy as written. The adoption date would be May 1, 2010 with staff education in April regarding the changes. Motion carried. On Call/Call Back Policy. The existing policy 8311.105 titled Shift Differential & Call Pay outlined the pay difference that would be paid based on differential in shift. The employee handbook addresses call pay. The two have been combined into the policy presented. A motion came from the QI/Personnel Committee to recommend approval of the On Call/Call Back Policy adopted April 1, 2010 as presented. Motion carried. Computing Password Policy Computing Password Policy was another new policy presented for review and approval. The purpose of the policy is to establish acceptable password selection and maintenance to maximize computer system security throughout BHS. The policy is common place throughout businesses. It was noted in the future only new operational policies will be brought to the Board for review. A motion came from the QI/Personnel Committee to recommend approval of the Computing Password Policy adopted April 1, 2010 as presented. Motion carried. CEO Report In July 2009 paperwork was submitted to Centers for Medicare & Medicaid Services (CMS) for provider-based status for Brookings Health System Yorkshire Eye Clinic. Approval was granted on March 22, 2010. The Executive Summary from the Operational Analysis Report was received. From the results of the study both Minor and Hillestad are working on staffing models in their respective departments. Oberg noted there are no layoffs planned in the immediate future and hopes the staffing models being developed will result in improved financial performance. CFO Report 6 of 6 Coffey noted the net patient/resident revenues for February were $8,662 higher than budgeted. Wages, benefits and professional fees were 55.4% of net revenue and less than budgeted. Total organizational expenses for February $2,707,043. Payroll and benefit expenses (excluding MRI and YEC) for February $1,345,047. Charity write off for February $23,842 total for the year $41,406. A physician interested in the Avera Brookings Medical Clinic toured the hospital. A seminar titled Stress Management 101 was presented by staff member Jeri Nelson, MSW. Recently purchased teleconference equipment is used to bring continuing medical education to the medical staff as well as employees. Future plans for the equipment will include the ability to do E-Consults between patients, patient’s local physician and specialists. A motion to adjourn the meeting at 8:17 p.m. Faltemier/Jones.
