June 15, 2009
Members: President Keith Corbett, Vice President Roberta Olson, Secretary Jim
Booher, Dan Little, Al Baker, Debra Johnston, Rob Jones (arrived at 6:44 p.m.), Dianne
Evers, Sandra Faltemier (arrived at 6:37 p.m.), Jeff Weldon, ex-officio
Guests: Kevin Coffey, CFO and Interim CEO and Deb Davis, recorder, at 7:00 p.m.
Christine Harff, Ron and Judy Waltz arrived
President Corbett called the meeting to order at 6:30 p.m.
At 6:33 p.m. motion by Johnston to go into Executive Session, citing SDCL 1-25-2.5.
Baker seconded the motion. At 6:44 p.m. a motion by Faltemier seconded by Olson to
come out of executive session.
A motion by Baker seconded by Little to sign the contracts to purchase Yorkshire Eye
Clinic. Motion carried.
Coffey and Davis were excused at 6:48 p.m.
The first CEO candidate turned down the offer. The second CEO candidate, Harff
returned to answer additional questions that the board had. Citing SDCL 1-25-2.1, a
motion by Little, seconded by Johnston to move into executive session at 9:02 p.m. At
9:58 p.m. the board members came out of executive session. A motion by Little
seconded by Olson to have President of the Board contact Christine Harff and let her
know she was still being considered, but we have one more individual to interview, who
will not be available to interview until July 2 or 3, 2009. Also in the motion, asked Ron
Waltz to contact the individual and schedule a time for him to come for an interview.
Motion carried.
