President Corbett called the meeting was called to order at 7:00 p.m.
At 7:04 p.m. motion by Evers to go into Executive Session, citing SDCL 1-25-2.1. Olson
seconded the motion. At 8:46 a motion by Evers seconded by Olson to come out of
executive session.
A motion from Search Committee Member Olson to recommend extending an offer to
CEO finalist Patrick Branco. Evers seconded the motion. Motion carried.
A motion from Board Member Johnston to recommend extending an offer to CEO
finalist Patrick Branco. Evers seconded the motion. Motion carried.
Informational Items
If any member is interested in attending the MHA Trustee Conference, let Davis know by
June 10th. Boys & Girls Club sent an update regarding their “It Just Takes One”
campaign. A reminder the Joint City Council/Board of Trustee Meeting is July 23rd from
5-6:30 p.m.

At the April 23, 2009 Board of Trustee meeting, a motion to approve the attendance
policy was made. Before presenting the policy to staff, the policy was re-reviewed by
legal. There were several changes recommended, which are now reflected in the policy
as presented. A motion by Evers to accept the policy as amended. Johnston seconded the
motion. Motion carried. McCoy noted the policy will be implemented July 1 and
department managers will receive training in June. (McCoy was excused at 9:20 p.m.)
CEO Report
Coffey noted Meditech modules continue to be developed. Currently the POM
(physician order management) is being finalized and ORM (operating room module) will
begin the planning stages. The customer service program is underway. The director of
therapy services has resigned. An underground line for the PACS has been laid. Cabling
for the OBIX Perinatal Data System is underway with training for the system in June and
a go-live date of mid-June.

Coffey highlighted the April financials. Cash was reduced by 9 million because of
moving dollars into investments. Contractuals were less resulting in net revenue of 10.4
million compared to a budget amount of 10.1 million. Wage expense to net revenue
continues to be under budget. Coffey noted the purchased services would have been
under-budget if it were not for expenses incurred with the long-term care study and CEO
search firm expenses. Activity for April was strong. Total organizational expenses for
April were $2,352,449. Payroll and benefit expenses (excluding MRI) for April
$1,433,221.
Little expressed concern about monies being swept from the accounts without
notification. Weldon indicated the policy does stipulate BHS can give input, but it has
always been done as it is currently done. He indicated willingness to make modifications
with the process.

CNO Report
Hillestad announced Julia Althoff is the new medical/surgical nurse manager. Althoff
replaces Tammy Fraser, who was promoted to the Performance Improvement Director.
Althoff will be fully transitioned to her new position by mid-July.
Committee Reports
QI/Personnel Committee: The QI/Personnel Committee met on May 14, 2009. The
committee recommended approval of Policy 8311-10 Service Recovery (formerly titled
Policy and Procedure for Handling (Non MHI related) Patient/Resident/Client
Complaints). Hillestad noted the reason for the proposed changes is to be in compliance
with CMS guidelines. It was decided the policy should go back to committee for editing.
Press Ganey scores for the last quarter of 2008 were presented. It was suggested that
Fraser be present at the next Board meeting to talk about the scores.
Strategic Planning Committee: The committee met twice in May. As a result of the
motion at the March 26, 2009 Board meeting to authorize NEXT, Inc. to do concurrent
programming to determine the cost of a hospital support building. NEXT, Inc. hired
Avant Architects to do the job. Two options were presented to the Strategic Planning

committee. Option B was selected. The next steps by Larson are to bring an engineer
into the hospital support-building project. At the May 21, 2009 meeting, HGA is
wrapping up the schematic design phase of the hospital. A rendering of the exterior of
the existing building and the proposed ED entrance was viewed. It was discovered as a
result of the schematic design phase it is more efficient to go to two floors in three phases
rather than three floors in four phases. The timeline has been moved back a month, to
September. Land appraisal is due back by June 5. There was discussion regarding the
need for checks and balances and the Finance Committee wants to be kept abreast of the
spending.
Finance Committee: The committee met prior to the March Board of Trustee meeting to
review in detail the results of the audit conducted by Eide Bailly. The committee met
again May 21, 2009, to review the monthly financials.
Unfinished Business
CEO Search Update: The contract has been reviewed by legal. President Corbett, Vice
President Olson and CEO Search Firm were involved in the process. Information was
provided on the salary range of the position based on experience and similar size
hospitals. A motion by Jones, seconded by Baker, to authorize Corbett to initiate the
contract negotiations with the CEO candidate, but to consult with members of the
Finance Committee as to the maximum dollars, as established by the Board. Motion
carried.
Construction Administration: Updates were discussed under Strategic Planning
Committee.
New Business
At 10:26 p.m. an executive session was called by Johnston, citing SDCL 1-25-2.5. Little
seconded the motion. A motion by Olson, seconded by Evers to come out of executive
session ended 10:37 p.m. A motion was made by Baker, seconded by Olson, to purchase
the Yorkshire Eye Clinic Practice and present a process for purchasing the property that
the practice is on. Motion carried.
