A retirement party is scheduled April 18 and members are invited to attend. Corbett asked that agenda item 8A be moved to the first item on the agenda. Steve Larson from NEXT, Inc. updated the members on the status of construction administration. NEXT, Inc. has met frequently with the Strategic Planning Committee since their being hired as construction manager. Larson provided a brief history of the various firms that have been involved with the health system on various building projects (Ellerbe/Beckett; Banner, Walker and Associates and HGA). Larson also revisited the six phases of design and construction as well as the costs noting a cost savings of nearly $178,000 for the programming and schematic design of the campus master plan and programming, schematic design, design development, construction documents, bidding and construction administration of the emergency department (ED). The aggressive timeline was reviewed by Larson, citing an August 1st target date for construction to begin on the emergency department remodel. Since Larson represents the owner’s interest, the timeline presented also noted each phase will require the board’s approval throughout the entire process. Larson noted the board needs to make a decision as to where to put the ambulance during the ED remodel. It was proposed a hospital support building be evaluated. Evers made a motion, seconded by Olson to have the Finance Committee look at the financial feasibility of purchasing land to house a hospital support building. Motion carried. Larson proposed the board authorize NEXT to pull together an A/E team and have Banner do the civil engineering. A motion was made by Johnston, seconded by Faltemier to do concurrent programming to determine the cost of a hospital support building. Motion carried. Having no further business, NEXT, Inc. was excused. Brookview Manor received several F tags. A full report will be presented once the official paperwork from DOH is received. There was an all-staff meeting. Several public seminars have been presented. Currently an ED recruiting firm is being retained for a second physician in the ED. Meditech implementation continues to progress. CFO Report Page 5 of 6 The January and February financials were presented. Salaries have been under-budget for the second month in a row. Investment rates are low. Auditors will be at the April meeting to summarize the 2008 figures. Total organizational expenses for January and February were 2,667,201 and $2,314,316, respectively. Payroll and benefit expenses (excluding MRI) for January $1,491,564 and February $1,339,750. Personnel Information Salary Changes: New Hires: T. Dahl, $10.25; A. Gjerde, $12.43; T. Johns, $11.20; J. CNO Report Hillestad introduced a dashboard of service quality. The benchmarks were established by a number of facilities in our area. She also highlighted what BHS plans to do to provide excellent patient care to every patient every time. Hillestad also noted a new quality director has been named. Tammy Frazier, the current medical/surgical nurse manager, has accepted the position. Frazier holds a master’s degree in microbiology and a bachelor’s degree in nursing from SDSU. Committee Reports QI/Personnel Committee: The QI/Personnel Committee met on March 12, 2009. There were not action items to report. Strategic Planning Committee: The committee met on March 17, 2009. A motion made by Olson to further investigate if a joint venture with Avera on a DME (durable medical equipment) service would be a viable venture. Jones seconded the motion. Motion carried. Finance Committee will need to evaluate the pro forma. Arlington Economic Development Corporation is interested in BHS having a clinic in their community. Coffey noted as part of the strategic plan and the recently approved rural demonstration project funds, this would fit well. Finance Committee: The committee met twice in March. March 11, 2009 and March 19, 2009. Executive Committee: On March 23, 2009, the Executive Committee met with Rich Helsper. See Unfinished Business. Unfinished Business CEO Search Update: Olson updated the members. Thus far there have been 15 resumes submitted. Fourteen have master’s degrees and 13 have over 10 years experience. The due date is April 30. The CEO Search Committee will meet again in May. A CEO Page 6 of 6 Reference Questionnaire was handed out. This form will be further developed by the CEO Search Committee and brought back to the April Board Meeting. Long Term Care: The Executive Committee had invited BEDC’s director Heuton to attend tonight’s meeting to clarify the intent of the contract, but Heuton’s schedule did not allow him to attend. The board members expressed concern about the additional research and it delaying the health systems timeframe to move forward with the campus master plan. It was further noted that BHS’s attorney advised the board not to sign the current contract since the contract is between BEDC and Lewin Group. A motion was made by Evers to sign the contract once the language is cleaned up. Olson seconded the motion. Jones amended the motion to include Brookings Health System is the owner of the data. Motion carried. New Business Patient Satisfaction Scores for the fourth quarter of 2008 were reviewed. Executive Session At 9:13 p.m., Baker made a motion, seconded by Booher to go into Executive Session citing SDCL 1-25-2.5. At 9:26 p.m. a motion was made by Faltemier, seconded by Evers to come out of Executive Session. Informational On April 27, 2009 at 5:00 p.m. the Board of Trustees and City Council Members will meet at the hospital. The CEO Search Firm and Project Manager will be present to update the council members. Corbett also noted the first reading to have two ex-officio’s on the Board of Trustees has occurred.
