President Corbett called the meeting to order at 7:02 p.m.
Corbett asked that there be one addition to the agenda under new business, an executive
session at the end of the meeting, citing SDCL 1-25-2.5.
A motion by Olson to move consent agenda items B and C to the February meeting
Consent Agenda
A motion by Olson, seconded by Evers to approve the following consent agenda items:
December 18, 2008 Board Meeting Minutes; Credentialing: 2-year Reappointments from
Medical X-Ray Center for Susan Duffek, M.D.; Matthew Helgeson, M.D.; Randal Welter,
M.D.
The Accounts Payables for December 2008 and December 2008 Bad Debt Report will be
moved to the February meeting.
CEO Report
Carda informed the Board that Paul Kreber joined the staff in January as a physical
therapist. Prior to his hire, Avera Brookings Medical Clinic provided the service on a
contractual basis. Kreber will oversee all of the therapy areas. Carda noted he has been
transitioning with the Interim CEO Kevin Coffey. The director of radiology will be
retiring after 35 years. The new ambulance director, Gordon Dekkenga, is now on staff.
Coming from Yankton, he brings 29 years of experience to the organization.

CNO Report
Hillestad indicated she is working on a dashboard report and it will be brought forth in
February.
Committee Reports:
QI/Personnel Committee
QI/Personnel Committee recommended two Brookings High Schools scholarships be
awarded for 2009. A motion by Evers, seconded by Little to approve the two $1,000.00
scholarships.
Strategic Planning Committee
Discussed under unfinished business.
Finance Committee
Discussed under new business.
Unfinished Business
Construction Administration
Strategic Planning Committee recommended NEXT, Incorporated to be the project
manager for the ED project. There was lengthy discussion regarding what the project
manager’s role would be. A motion by Olson, seconded by Evers to move directly to a
vote. The vote was called to hire Steve Larson from NEXT, Inc. Motion carried.
By-Law Review
Olson provided a summary of the changes being proposed to the by-laws that were
reviewed in detail at the December meeting. A motion by Little to approve the by-laws,
seconded by Faltemier. Motion carried.

Search Firms
Olson noted the search committee met. Five firms were interviewed. BESmith,
Larson/Allen, MSA, Waltz and Witt Kiefer. Olson outlined the questions asked of each
firm and responses given. The recommendation was to hire either MSA or Witt/Kiefer. A
motion by Little, seconded by Jones to elect Waltz as the firm of choice. There was a
lengthy discussion regarding the five firms. The vote was called. 3 were in favor of
Waltz; three opposed. President was the tiebreaker voting in favor of Waltz.
New Business
Habitat for Humanity
A request was received from the Brookings Area Habitat for Humanity requesting a
financial donation in the amount of $26,000.00 to purchase building material to build a
four-bedroom Habitat home. The request died due to a lack of a motion.
Brookings High School Scholarship
Action taken under QI/Personnel Committee
2009 Strategic Plan
The 2009 Strategic Plan was presented to the Strategic Planning Committee at their
January meeting. Carda noted accountabilities from the 09 plan are now in place for 2009
for divisional directors and monthly updates will be brought to the board. There was
discussion as to when the next strategic planning session should take place.
Corbett asked for summaries from those who attended the Rural Healthcare Conference
could be included in next month’s agenda.
A motion by Little seconded by Faltemier to move into executive session. SDCL 1-25-
2.5. Hillestad excused herself. At 9:26 p.m., the committee went into executive session.
At 9:40 p.m., a motion by Little, seconded by Faltemier to come out of exec session.
Corbett, and other board members, expressed their appreciation to Carda for his years of
service serving as CEO at Brookings Health System and wished him well in his new
endeavor.
