She noted many positive changes are happening at Brookings Health System and it is a perfect time to retire. Tammy Hillestad, CNO, was introduced to the board members. Hillestad noted she has been a nurse for 21 years. Her B.S.N. was from SDSU and recently completed the Healthcare Executive Study & masters in public health administration from the University of Minnesota. The last 13 years she had been the director of nursing at Madison SD. Al Heuton of Brookings Economic Development Corporation updated the members on the Long Term Care Study. He noted BEDC is looking at two different market areas – Brookings County and areas outside of Brookings County. He also noted Brookings is considering a senior living focus. Long Term Care Study proposals have been sent to nine firms. He provided a brief summary of the key changes, noting alignment of all Nursing Services under the direction of CNO Hillestad. A new ambulance director has been hired, Gordon Dekkenga. CFO Report Coffey noted inpatient revenue rebounded in November. He also noted salary and wages continue to be high as the Meditech computer conversion continues. There was clarification as to the bad debt write off and how the number of days the debt is outstanding determines if it is written off from the fiscal accounting and he anticipates once the computer conversion levels the bad debt numbers will lessen. Total organizational expenses for November were 2,313,379. Payroll and benefit expenses (excluding MRI) for November $1,396,972. Personnel Information New Employees: A. Boyd, $13.06; T. Rickard, $20.49 Committee Reports: QI/Personnel Committee The QI/Personnel Committee received all organizational dashboards and are now up to date with organizational information. Additionally the committee reviewed Press Ganey reports and will add a scored indicator page to be included in the board report. Strategic Planning Committee Discussed under unfinished business. Page 5 of 6 Finance Committee The committee reviewed the health insurance bids and recommend switching to Wellmark Blue Cross Blue Shield and fund 3 of the 4 percent increase. Motion carried. Executive Committee No action items to report. Unfinished Business Campus Master Plan From a previous Board recommendation, the Strategic Planning Committee interviewed a third firm, Walker & Associates, as a potential construction administrator. Carda did reference checks and the Strategic Planning Committee will provide a recommendation to the board at the January meeting. By-Law Review An ad-hoc committee consisting of Dianna Evers and Roberta Olson met and reviewed the current by-laws. Olson summarized the changes recommended as well as the rationale for the changes. There was a detail discussion regarding the role of the executive committee. A change in wording in article IV, section 6c to read “The Executive Committee may meet on an as needed basis at discretion of Board President and CEO.” New Business 2009 Budget Coffey highlighted the proposed budget numbers. Finance Committee recommends approval of the 2009 Operating Budget projecting a 5.56% return, which would take into consideration the Rural Healthcare Demonstration Project. Motion carried. The Finance Committee then recommends approval of a Capital Budget of $3,064 million for 2009. Motion approved. Coffey brought forward information on Radiology bids received. A motion by Booher, seconded by Little to accept the bid by Siemens of $179,000 to purchase a new ultrasound machine. Motion carried. A motion by Johnston to approved a room rate increase. Faltemier seconded the motion Motion carried. Election of Officers for 2009 President A motion made by Evers to nominate Keith Corbett as President. Faltemier seconded the motion. A motion to cease the nominations made by Evers. Faltemier seconded the motion. Motion carried. Keith Corbett is elected as Board Chairperson for 2009. Page 6 of 6 Vice President A motion by Jones, seconded by Evers to nominate Jim Booher as Vice President. A motion by Faltemier, seconded by Booher to nominate Roberta Olson. A motion by Evers for nominations to cease. Corbett seconded the motion. Motion carried. Roberta Olson as Vice President via paper ballot. Secretary Faltemier nominated Jim Booher for Secretary. Corbett seconded the motion. Evers motioned to cease nominations. Corbett seconded the motion. Motion carried. Jim Booher is the new Secretary. Executive session called citing SDCL: 1:25-2.1. At 8:50 p.m. a motion and second by Johnston/Faltemier to move into executive session At 9:10 p.m., members came out of exec session. A motion and second by Little/Evers to give CEO Carda a 2.73% pay increase for 2009. Motion passed. President Olson announced the next BOT meeting would be held on January 29, 2009 given the fact many of the Board will be returning from Phoenix on January 21, 2009 and would not have adequate time to prepare for a meeting if it were held on 22 January 2009.
