President Olson called the meeting to order at 7:00 p.m.
There was one change in the agenda to move the Radiology Bid from the Consent
Agenda to the Finance Committee Report.

CEO Report
Carda informed the Board that Tamera Hillestad has accepted the Chief Nursing Officer
position. Hillestad will replace Jan Clites who has been with the organization for 30
years. He noted a retirement party for Clites is being planned for January 9, 2009. The
Emergency Department module went live, with limited operational issues. On December
1 the clinical module is slated to go live. The search for an emergency department
physician continues. Carda will ask Al Heuton of BEDC to come and update the group
on the long-term care task force in December. The all staff Holiday Event will take place
February 6 and 7, 2009.
CFO Report
Coffey noted the cash position was up from last month. Brookview Manor’s loss for
October was discussed and as interest rates decline, investment income will be less
favorable. Due to the sluggish economy, the number of bad debts is increasing. There
was lengthy discussion as to what the board can do to enhance market share. Total
organizational expenses for October were 2,549,610. Payroll and benefit expenses
(excluding MRI) for October $1,498,371.

QI/Personnel Committee
The committee reviewed the Equipment Safety Reporting Procedure Policy. Also
reviewed changes to the organizational chart. McCoy updated the committee on what the
Finance Committee is recommending for a wage increase in 2009.

Finance Committee
The committee reviewed the bids on the R&F Machine and recommended to the board to
accept the GE bid. Motion carried. The bids were reviewed for the C-ARM with Merry
X-ray as the low bid. The committee recommended the bid be accepted. Motion carried.

Unfinished Business
Campus Master Plan
From a previous Board recommendation, the Strategic Planning Committee interviewed
two firms as potential construction administrators. Little asked if Walker & Associates
was interviewed. After much discussion, it was decided to contact Walker & Associates
and bring the information back to the December Board meeting. Carda noted the Banner
& Associates contract would need to be put on hold until the third firm can be
interviewed.
New Business
Boys & Girls Club
Vanessa Merhib, Executive Director of the Boys & Girls Club presented a proposal to the
Board. The proposal was to have Brookings Health System partner with the Boys &
Girls Club in 2009 to fight childhood obesity and the many health issues youth face
because of the increasing obesity rates and healthcare crisis for at-risk youth and families.
A motion by Booher, seconded by Little to approve the request to support up to $40,000
on a 1:2 matching challenge with the stipulation that there be a set of accountabilities
developed along with an annual report. Motion carried.
Review Board By-Laws
The board by-laws were reviewed. There was a lengthy discussion regarding the purpose
of the executive committee. It was decided to create a sub-committee to review the by-
laws and bring forth recommended changes. The sub-committee members are Dianna,
Dan and Roberta.
Brookview Manor Rates for 2009
After reviewing the proposed 2009 budget, the finance committee recommended a 3%
rate increase for Brookview Manor rates. Motion carried.
Olson handed out CEO evaluation material to the board members to complete and return
to her by December 7, 2008.
