President Olson called the meeting to order at 7:00 p.m.

Reading & Information
There is an educational opportunity in January for board members to attend the Rural
Health Care Leadership Conference. Board members who attended the last conference
noted this is an excellent symposium. Those interested in attending the conference
should let Davis know so dollars can be included in the 2009 operational budget.

CEO Report
Carda noted that the Long Term Care Clinical Meditech module went live October 1,
2008. The Medication Administration Record, or MAR, operated. However, this module
operated but was discontinued for a while while it was debugged. The EDM module
will go live November 4th. Carda anticipates an offer of employment to one of the three
finalists for the CNO position being accepted. It is possible this candidate could start as
early as December 1. Other project updates included the EMS search, capital and
operational budget meetings for the 2009 fiscal year, updated tentative construction
timeline, and the LTC Study. A lengthy discussion ensued about being more proactive in
reviewing the possible financial scenarios of LTC.
CFO Report
Coffey noted the budget figures were very favorable for September and the profit for the
month was higher than budgeted. He noted that census for the year in the nursing home
has not been at full capacity, which in turn affects swing bed usage, which in turns affects
negatively the bottom line. There was a lengthy discussion as to how profits can be
increased. Total organizational expenses for September were 2,193,605. Payroll and
benefit expenses (excluding MRI) for September $1,318,598.

Committee Reports:
QI/Personnel Committee
The committee met three times during the past month to interview each of the CNO
finalists.
Strategic Planning Committee
The Strategic Planning Committee reviewed the top eight focuses for fiscal year 2009.
Finance Committee
The committee discussed major budget assumptions for 2009. These assumptions will be
modeled for the committee in order to make recommendations to the full board in
November/December. Additionally, ENUFF modeling will be completed and discussed
with the Finance Committee.

An update was provided regarding the nursing candidate search.

Unfinished Business
Campus Master Plan
Carda noted the figures from Walker & Associates had been received. He noted there
were two key items that he is following up with HGA and Banner & Associates for
clarification 1) a quantity shortage in phase 1 and 2) enclosure costs in phase 2.
However, the construction budget at this early stage appears to be in a satisfactory range.
To that end, the next steps in this process are to evaluate and determine construction
administrator/project manager and finalize the schematic and design development
contract for the emergency department
Executive Session SDCL 1-25-2.4
At 8:27 p.m. Carda, Coffey and Davis were excused.
At 8:28 p.m. a motion by Evers with a second by Little to enter into Executive Session
citing SDCL 1-25-2.4. At 8:31 p.m. came out of executive session. A motion by
Johnston, seconded by Little to honor the commitment to the CEO for deferred
compensation for 2006 and 2007. Motion passed.
At 8:34 p.m. a motion by Johnston seconded by Little to enter back into Executive
Session. At 8:41 p.m. came out of executive session. A motion by Evers seconded by
Booher to direct the Board President to develop an objective evaluation form to evaluate
the CEO for 2008 based upon the goals presented to the Board by the CEO and to
develop objective criteria to be used to evaluate the CEO for 2009. Motion passed.
