CEO Report Carda noted a simulated HAZMAT event occurred on September 16th. The event was in collaboration with 3M. In response to 3Ms incident, the hospital activated a Code- Orange plan. He noted after each exercise a debriefing occurs to determine what worked well and what could be improved. The exercise was a great learning experience noting three areas identified for further training. Another exercise on September 20th was a mock drill of a community wide pandemic incident. This exercise identified two areas to improve. In addition, Carda noted the CNO position is progressing. On-site interviews are being held with three finalists. The Meditech Long Term Care module will “go-live” October 1, 2008. EDM module will go live on November 4, 2008 and the PCS module will go live on December 1, 2008. McCoy noted, November 5th a POD (point of dispensing) exercise will take place to disseminate the flu vaccine. All employees and their families can receive the vaccine for free during the hours of 6:30 a.m. and 11:30 a.m. at the Swiftel Center on November 5th. CFO Report Carda presented the report. The Statement of Operations showed a $96,000 loss for August. Overall year-to-date income is over $750,000. Total organizational expenses for August were $2,368,988.70. Committee Reports QI/Personnel Committee – The QI/Personnel Committee met on September 11. McCoy was present and discussed the Wage and Compensation theory he and staff members developed. The committee recommends the Wage Compensation Plan that will be discussed under new business. Strategic Planning Committee – The Strategic Planning Committee met on September 23. The group was updated on progress to-date with the 2nd set of estimates that Walker & Associates are preparing. Reviewed in draft form, a letter from the CEO of Brookings Health System (BHS), Administrator of United Retirement Center/Avera (URC/Avera) and Director of the Brookings Economic Development Corporation (BEDC) requesting a long term care study be jointly conducted to determine the LTC needs of the Brookings community. Finance Committee – The Finance Committee meeting on September 18 discussed the long term care study and recommends Brookings Health System appropriate funding for a long term care study in collaboration with BHS, URC/Avera and BEDC. A vote was called with unanimous consensus to make a motion to the Board of Directors to fund the long term care study. Unfinished Business Campus Master Planning Carda noted he presented the Master Campus Plan to the Chamber group. He noted the plan was well received. Two main themes resulted: 1) Prior to large investment, should sale of the hospital occur? 2) What is the economic return on building a nursing facility? New Business Wage/Compensation Theory McCoy presented the wage/compensation theory to the Board. The organization currently practices the step-grade based on longevity. A performance based compensation philosophy was introduced as a replacement for the current system. The methodology was outlined. A multi-disciplinary team was created that reviewed all job analyses/job descriptions, rating all positions and classify and put them into grades. Positions were benchmarked against the Van Norman Healthcare study. The other comparison that was evaluated was shift differential and on-call pay. It was noted if the Page 4 of 5 Page 5 of 5 board approves the philosophy presented, the Finance Committee would evaluate and model the projected costs and determine a plan to implement this compensation theory in next years budget. The vote was called with unanimous approval of the plan as presented. Olson reminded the Board of last month’s decision to move the October 23rd board meeting to Thursday, October 30th. Carda, McCoy and Davis were excused at 8:18 p.m. Executive Session SDCL 1-25-2.4 At 8:18 p.m. a motion by Faltemier to move into Executive Session citing SDCL 1-25- 2.4. Jones seconded the motion. A motion by Johnston, seconded by Booher to come out of executive session at 8:45 p.m. A motion by Johnston, seconded by Faltemier that the Board acknowledge its financial obligation owed to the CEO and direct the Finance Committee to work out the details to settle the organizations obligation to the CEO.
