Joint Meeting with City Council and Board of Trustees
At 7:00 p.m. the Brookings City Council convened in a joint session with the Brookings
Hospital Board.
Carda presented to the City Council the current master plan under consideration relative
to the expansion and remodeling of the Brookings Health System campus. The project
will be conducted in multi-year phases and includes the demolition and re-construction of
the nursing home on the current site followed by hospital expansion on the site of the
current nursing home. Several sections of the hospital will be remodeled. A phased
construction schedule would allow the hospital to finance the project with cash flow and
reserve and would not require the issuance of debt. The major purpose is to modernize
the facility and improve the overall quality of health care. There was discussion about
whether or not Brookings Health System should continue to be in the nursing home
business as it is a loss leader. The Hospital Board has a position that even though other
parts of the operation subsidize the nursing home, it was still part of the overall
community mission of health care to have a nursing home. There was also some
discussion about whether or not the city should continue to own the facility or if it should
be sold to the private sector. The group thought the discussion was timely given the fact
that a major investment is being contemplated. The Hospital Board shared their thoughts
with the City Council relative to the reasons and rationale as to why the overall health
care of the community is best served by continuing as a community-owned facility. No
action was taken. This portion of the meeting concluded at 8:38 p.m.
At 8:47 p.m. the regular board of trustee meeting was called to order by President Olson.
Executive Session SDCL 1-25-2.3
A motion by Corbett to go into executive session, based on SDCL 1-25-2.3. Little
seconded the motion.

Executive Session started at 8:50 p.m. Attorney Rich Helsper was present.
A motion by Little, seconded by Johnston to come out of executive session. Executive
session ended at 9:09 p.m. Helsper was excused.
A motion was made by Johnston to hire a professional estimator. Evers seconded the
motion. Motion carried.
A motion made by Johnston to look for a professional project manager. Faltemier
seconded the motion. Motion carried.
A motion by Little to make an offer to Bob Walker of Walker & Associates as one of the
estimators. Johnston seconded the motion.
Consent Agenda
The minutes were pulled from the consent agenda. There was one change to the minutes.
The vote should have read 7 nays and 2 ayes. Evers motioned to approve the minutes.
Corbett seconded the motion. Motion carried.

CEO Report
Brian Sterud, has accepted the position, Director of Information Technology. Sterud’s
first day of employment will be July 29. Applications are being received for the Chief
Nursing Officer position. At present we have received 13 applications. Phone interviews
will be complete by the end of July. Staff are continuing to work with the annual
scheduling module in an effort to improve this product. Marisa Gustafson has been
named as Emergency Medical Services interim director.

Coffey noted that gross revenues were lower than budget and salary and benefit expenses
were over budget for June. Total organizational expenses for June were $2,174,715.38.
Payroll and benefit expenses (excluding MRI) for June $1,264,401.

Committee Reports
QI/Personnel Committee – Customer Care Results were shown for the 2nd quarter.
Strategic Planning Committee – The Strategic Planning Committee reviewed and
authored final changes to the Master Campus Functional Plan presentation. The
committee requested the presentation be forwarded to the Board Member prior to the
meeting with the City council. Also, a FAQ document was discussed.
Finance Committee – The Finance Committee reviewed the contracts for design
development and schematic design for the hospital and nursing home. Several changes
were recommended by the committee. Additionally, the committee suggested that a cost
estimator be hired to examine the overall project costs.
Executive Committee – The Brookings Health System By-laws were reviewed and will
be put on the November agenda for yearly review.
There being no further business a motion by Little with a second by Johnston to adjourn.
Meeting adjourned at 9:56 p.m.
