Consent Agenda Minutes from March 27, 2008 were pulled from the consent agenda. A motion made by Corbett to approve the remaining consent agenda items. Evers seconded the motion. A letter from SD DOH indicating no deficiencies were cited during the recertification of the Laboratory. Final reading of Ordinance number 12-08. Auditor Jeff Knobloch, from Eide Bailly, presented the FY 2007 draft audit. The audit is in draft form until the State of South Dakota Department of Audit Review finalizes the document. The anticipated completion of the desk review is June 2008. Although the auditor identified no material weakness (significant deficiencies) the firm identified several areas that the organization should focus for improvement in the next 12 months. The areas identified for improvement include: segregation of duties, preparation of financial statements and accounts payable process. These deficiencies are common and difficult to correct in a health system of BHS’s size. Other items noted were payroll accruals, check sequence and numbering and resident trust fund. Coffey will prepare a plan of correction and present to the Finance Committee and Board at May meeting. Page 3 of 5 CEO REPORT. Nursing Services Division Director, Clites, updated the board on a decontamination drill that staff completed this week as part of emergency preparedness. She also noted the patient education channel is now operational. Ferguson, Long Term Care Division Director, informed the board South Dakota Department of Health conducted its annual re-certification survey. She commented that the long-term care area begins Meditech training in May. McCoy, Administrative Services Division Director, talked about the progress made on the strategic plan initiative, tomorrow’s workforce. Eighty-five percent of the performance based job analyses are done and the standardized job descriptions are 42% complete. He also handed out an advertisement for the director of nursing position, which will appear in the Dakota Nurse Connection May 1. CFO REPORT. CFO Coffey noted Dr. Jim Walery starts working in the Emergency Room on May 1. Recruitment is currently underway for a second ER physician. Materials Management has now moved to bar coding of supplies. One of the next Meditech modules is central scheduling, this module will centralize all patient scheduling. Total organizational expenses for March were $2,052,099.65. Payroll and benefit expenses for the month were $1,065,002. QI/Personnel Committee – Evers noted the memorandum of understanding was just received from SDSU and will be reviewed and brought to the May Board Meeting. Strategic Planning Committee – Committee discussed strategic ways to roll out the functional plan. Carda provided a strategic quarterly update. Finance Committee – The committee recommended approval of purchasing the MRI building for $120,000. The vote was unanimous by all present. Executive Committee – Timeline reviewed for the recruitment of the director of nursing position. Page 4 of 5 Page 5 of 5 Unfinished Business. Campus Master Planning With the Board of Trustees supporting the functional plan layout, the Strategic Planning Committee is focusing on phasing of the project. In particular, the committee is reviewing combinations of projects to provide the full Board with recommendations on how to stage the activity. Additionally, the committee is in process of planning the best way to mass communicate the functional process with employees, physicians, city council members and the community. Strategic Plan Update The Board of Trustees reviewed the first quarter’s strategic activities on the organizations seven initiatives. New Business Education Without Walls – Ferguson presented the plan Education Without Walls. The goal of this project is to enhance and standardize a body of knowledge common to licensed nursing staff across the continuum of care. This plan ties in with the BHS University plan. There will be a minimum of three training sessions each calendar year (only two for 2008). Chamber – Little requested Al Heuton from BEDC be invited to attend the next board meeting to talk about lobbying activities in Pierre. Johnston made a motion to go into Executive Session noting SDCL 1-25-2.5. Little seconded the motion.
